Claims索 赔Any claim by Buyer stating that the Goods is not in compliance with this Contract must be made to Seller without delay.买 方 因 货 物 与 合 同 不 符 合 而 向 卖 方 提 出 的 任 何 索 赔 要 求 不 应 有 延 误。 2. Transfer of Risk 风 险 的 转 移All risk of loss of or damage to the Goods shall be transferred from Seller to Buyer according to the applicable Incoterms as per Article 5 of this Contract.货 物 发 生 灭 失 或 损 坏 的 一 切 风 险， 应 根 据 相 应 的 国 际 贸 易 术 语 解 释 通 则 按 照 合 同 第 5 条 的 规 定 由 卖 方 转 移 至 买 方。 3. Retention of Title to Goods 货 物 所 有 权 的 保 留The Seller retains ownership to

the Goods until Buyer has paid the Contract Price in full.卖 方 享 有 货 物 的 所 有 权， 直 至 买 方 付 清 合 同 的 款 项。 4. Delay 延 期(1) Seller shall deliver its Goods in accordance with the delivery time that is stated in Article 9 of this Contract.卖 方 应 按 照 销 售 合 同 第 9 条 规 定 的 交 货 时 间 交 付 货 物。(2) Compliance by Seller within the delivery time shall be conditional upon the timely fulfillment by the Buyer of its obligation hereunder including the rendering of down payment as per Article 10 of this contract as well as, upon supply of all necessary licenses and approvals (if any). The liquidated damages are limited to 5% of the part of the Goods so delayed. Any further rights or claims based on a delayed delivery are excluded. Both Buyer and Seller are aware that such liquidated damages do not reflect the actual damages but that they save both parties from calculating the exact amount of the actual damages. Payment Delay 延 期 付 款If Buyer does not effect the agreed payments as scheduled, Seller shall be entitled to charge interest to Buyer at the rate of 2% of the due amount per month.如 果 买 方 不 按 规 定 的 时 间 支 付 议 定 的 款 项， 卖 方 有 权 向 买 方 收 取 月 利 率 为 到 期 金 额 2% 的 利 息。 6. Warranty 保 证Seller warrants that the Goods delivered under this Contract shall be free from defects in design, material and workmanship at the time of delivery.卖 方 保 证 按 本 合 同 发 运 的 货 物 在 交 货 时 设 计、 材 料 和 工 艺 方 面 无 缺 损。The warranty period is thirteen (13) months from time, the Goods have been delivered in accordance with Article 5 of this Contract.保 证 期 为 自 货 物 按 本 合 同 第 5 条 发 运 后 13 个 月。If during the warranty period, defects are detected and reported to Seller in writing, Seller shall within a reasonable period of time at its own account, take the corrective measures necessary to eliminate such defects by repairing or replacing the Goods.如 果 在 保 证 期 内 发 现 缺 损 并 书 面 报 告 卖 方， 则 卖 方 应 在 合 理 期 限 内 自 费 采 取 补 救 措 施， 修 理 或 更 换 货 物， 以 便 排 除 该 类 缺 损。Buyer has the duty to assist Seller free of charge in correcting defects and shall put personnel and facilities at Seller's disposal.买 方 有 责 任 协 助 卖 方 更 正 缺 损， 并 应 免 费 提 供 人 力 和 设 施 给 卖 方。Seller's warranty does not apply if the Goods have not been handled properly and not in accordance with Seller's instructions. Force Majeure 不 可 抗 力(1) Neither the Seller nor Buyer shall be liable for failure to meet contractual obligations under this contract due to force majeure. Software 软 件Unless otherwise provided in the Contract, Buyer has the right to use Software that is delivered with the Goods for the purpose stated in the product description only. The right to use is non-exclusive and nontransferable. The Parties shall amicably attempt to agree on new provisions of equal economic effect to the ineffective provisions they replace.本 合 同 的 个 别 条 款 无 效 或 失 效， 将 不 影 响 其 他 条 款。 各 方 应 友 好 协 作 达 成 新 的 条 款， 使 其 具 有 被 取 代 条 款 相 应 的 经 济 效 益。(3)This Contract and its attachments constitute the sole agreement between the Parties concerning the subject matter ereof and supersede all prior agreements. Acknowledgment and Agreement确 认 和 同 意 It is acknowledged and agreed upon that the after-sales services necessary for the Equipment under the Contract (Equipment) will be carried out by Siemens Technology Development Co., Ltd. Of Beijing (STDC) appointed by the Seller for the purpose of timely and qualified services as required. 双 方 确 认 并 同 意 为 达 到 及 时 和 合 格 地 提 供 合 同（设 备） 项 下 所 需 服 务 的 目 的，设 备 的 售 后 服 务 将 由 卖 方 指 定 的 北 京 西 门 子 技 术 开 发 有 限 公 司（STDC） 提 供。2.Application Training应 用 培 训 The training on the operation of the Equipment will be held between the hours of 9:00 a.m. and 6:00 p.m. and will last 5 working days on site. 设 备 操 作 培 训 在 上 午 9:00 至 下 午 6:00 之 间 进 行 并 将 在 现 场 持 续 5 个 工 作 日。3.Response Time for Repair维 修 的 响 应 时 间 Within the warranty period as set forth below (Warranty Period) and where requested by the Buyer/end-user, Seller/STDC will use its reasonable endeavours to respond to a request for after-sales services upon receipt of the same. However in the event of medical equipment is complete down, Seller/STDC shall be response within 24 hours upon receipt of service call at Uptime Service Center. 在 以 下 规 定 的 保 证 期 内，经 买 方/最 终 用 户 要 求， 卖 方/STDC 将 尽 其 合 理 的 努 力 在 接 到 售 后 服 务 的 要 求 后 对 该 要 求 作 出 响 应。但 若 买 方/最 终 用 户 遭 遇 医 疗 设 备 彻 底 停 机 时，卖 方/STDC 将 在 接 到 买 方/最 终 用 户 致 电 即 时 维 修 中 心 报 修 后 二 十 四 小 时 内 作 出 响 应。4.Up-time开 机 率 The Seller guarantees 95% up-time for the Equipment within the Warranty Period. Such 95% up-time is calculated on the basis of eight hours per day for five days per week but with exception of public holidays. In case

where the guaranteed up-time cannot be reached due to failure of the Seller an extension of Warranty Period shall be granted accordingly. 在 保 证 期 内， 卖 方 保 证 设 备 开 机 率 为 95％。 该 95％ 开 机 率 的 计 算 基 础 是 每 天 八 小 时， 每 周 五 天（不 包 括 公 共 假 期）。 如 因 卖 方 原 因， 设 备 未 能 达 到 所 保 证 的 开 机 率， 保 证 期 应 相 应 地 延 长。5.Software软 件 Within the Warranty Period, the Seller/STDC will have the installed software updated/upgraded (if any) without charging the Buyer/end-user. 在 保 证 期 内， 卖 方/STDC 将 免 费 为 安 装 的 软 件 进 行 更 新/升 级（如 有）。6.Room Preparation for the system installation设 备 安 装 的 机 房 准 备 The Seller/STDC shall, upon conclusion of the Contract, inform the end-user of the required room preparations. The end-user shall execute the room preparation work at its own expense. Within six (6) weeks after receipt of mutually confirmed room layout and project plan proposal from the end-user, the Seller/STDC shall provide an official project plan for end-user’s application. Upon fixing the rough time frame for the site conference by the end-user after his coordination among all involved departments (but the exact time frame for the site conference shall be fixed through mutual discussion), the Buyer/end-user may request the Seller/STDC to send his representatives to participate the site conference for explaining technical requirements of room preparation according to project manual to be submitted by the Seller/STDC whenever applicable. The Seller/STDC reserves the right to postpone the delivery of the Equipment and to adjust the schedule on commencement of the installation based on the room preparation delay status. 合 同 签 署 后， 卖 方/STDC 应 告 知 最 终 用 户 机 房 准 备 的 要 求。 最 终 用 户 应 自 费 完 成 机 房 的 准 备 工 作。 在 从 最 终 用 户 处 收 到 经 相 互 确 认 的 机 房 平 面 图 和 机 房 布 局 规 划 草 图 后， 卖 方/ STDC 应 在 六（6）周 内 出 具 正 式 的 机 房 布 局 规 划 图 以 供 最 终 用 户 做 机 房 准 备 使 用。 在 最 终 用 户 协 调 好 所 有 与 机 房 准 备 相 关 的 部 门， 确 定 了 现 场 会 议 的 大 致 时 间 后 ( 具 体 的 现 场 会 议 日 程 由 双 方 协 商 确 定 )， 可 要 求 卖 方/STDC 的 代 表 参 加 现Version 4/20031/2Sales Contract-China Attachment III场 会 议 并 根 据 卖 方/STDC 提 交 的 项 目 执 行 手 册 向 最 终 用 户 解 释 机 房 准 备 的 技 术 要 求 （ 如 适 用）。 卖 方/STDC 保 留 根 据 机 房 准 备 拖 期 状 况 调 整 设 备 交 货 和 开 始 安 装 时 间 表 的 权 利。 Installation of the Equipment shall be done by the Seller’s/STDC’s personnel under full co-operation of the Buy

er’s/end-user’s personnel. However, the installation of Equipment can only be started when the Buyer/end-user confirms and the Seller/STDC verifies that all requirements as listed on Room Check List submitted by the Seller/STDC have been completely met. 合 同 设 备 安 装 工 作 应 由 卖 方/STDC 人 员 在 买 方/最 终 用 户 人 员 的 全 力 配 合 下 实 施。 但 是， 合 同 设 备 的 安 装 工 作 只 有 当 买 方/最 终 用 户 确 认 并 经 卖 方/STDC 核 实 机 房 已 满 足 卖 方/STDC 提 交 的 机 房 情 况 检 查 表 所 列 要 求 时 方 可 进 行。 7.Buyer's/end-user’s Obligation买 方/最 终 用 户 的 义 务 The Buyer/end-user undertakes at his own cost to conduct the open package inspection upon the arrival of the Equipment on site as per the stipulation of Article 1 of Attachment II to the Contract and to make the Equipment carry in from the place where open package inspection has been conducted into room where the Equipment is to be installed under the supervision of Seller/STDC’s personnel. 合 同 设 备 抵 达 现 场 后，买 方/最 终 用 户 将 自 费 按 合 同 附 件 二 第 一 条 规 定 的 内 容 完 成 货 物 的 开 箱 检 验 工 作 并 在 卖 方/STDC 人 员 的 指 导 下 自 费 将 合 同 设 备 从 开 箱 地 点 搬 运 至 设 备 安 装 机 房 内。 The Buyer/end-user undertakes to make the Equipment available for service. The Seller/STDC’s engineers will have free access to the Equipment and full co-operation from the end-user at the time of each scheduled service. 买 方/最 终 用 户 承 诺 将 合 同 设 备 提 交 维 修 服 务。 卖 方/STDC 的 工 程 师 在 每 次 预 定 的 维 修 服 务 时 均 能 自 由 地 接 触 到 设 备 并 得 到 最 终 用 户 的 全 力 合 作。 No attempt shall be made by any person other than the engineers and/or the dealers and/or technicians authorized by the Seller/STDC to repair the Equipment after the Acceptance Certificate for Medical Equipment.
