三种贸易术语(FOB、CNF、CIF)简介和区别

一、 基本概念

贸易术语(TRADE TERMS)又称贸易条件,价格术语(PRICE TERMS),它是一个简短的概念(SHORTHAND EXPRESSION),它确定了买卖双方相关费用、风险及责任的划分,以及买卖双方在交货和接货过程中应尽的义务,是贸易中价格的重要组成部分。

二、 有关贸易术语的主要国际惯例

主要惯例有三种

A.19xx年华沙牛津规则(WARSAW-OXFORD RULES 1932,简称W.O.RULES 1932)

B.19xx年美国对外贸易定义修订本(REVISED AMERICAN FOREIGN TRADE DEFINITIONS 1941)

C.国际商会制定的《20xx年通则》英文为INCOTERMS 2000,(ICC PUBLICATION NO.560) 国际商会简称ICC是INTERNATIONAL CHAMBER OF COMMERCE三个单词第一个字母大写. 十三

INCOTERMS来源于INTERNATIONAL COMMERICAL TERMS三个单词合并而成。

三、 当前国际贸易中广泛采用的贸易术语惯例

① 是国际商会制定的《INCOTERMS 1990》或《INCOTERMS 2000》

② 国际商会于19xx年成立,会员分布在140多个国家和地区,是全球具有重要影响的世界性民间商业组织,它是联合国的一个高级咨询机构,设立的目的是在经济和法律领域里,以有效的行动促进国际贸易和投资的发展。

③ 中国于19xx年11月获得国际商会成员国地位。

④ 《INCOTERMS 1990/2000在世界上已得到广泛的承认,广泛运用于国际贸易合同及L/C中。

四、 FOB 贸易术语

1、 定义:FOB是FREE ON BOARD三个单词第一个字母的大写,中文意思为装运港船上交货,指定具体装运港名。

2、 适用运输方式:海运和内河运输。

3、 关键点:风险划分点,交货点,费用划分点均在装运港买方指定的轮船舷(实际操作中为装到船舱内)。

4、 卖方的主要义务

A、 负责在合同规定的日期或期限内,在指定装运港将符合合同的货物按港口惯常方式交至买方指定的船上,并给予买方充分的装船通知。

B、 负责取得出口许可证或其他核准证书(商检证,原产地证等)办理货物出口手续(报关、出口订仓等)。

C、 负担货物在装运港越过船舷为止的一切费用和风险(实际为到船舱内为止)。

D、 负责提供商业#5@p和证明货物已交至船上的通常单据(已装船海运提单)。

5、 买方的主要义务

A、 负责按合同规定支付货物价款。

B、 负责订舱或租船、支付运费(海运费),并给予卖方关于船名,装船地点和要求交货时间的充分通知,(实际业务中买方告知卖方其在装运港的货运代理,并要求卖方向其订船,海运费为到付,由买方支付,通常买方支付的海运费较卖方自己订船要便宜10-20%)。 十四

C、 自负风险和费用取得进口许可证(配额在进口国同样由买方向国内行政机构申领)或其他核准证书,并办理货物进口以及必要时,经由另一国过境运输的一切海关手续。

D、 负担货物在装运港越过船舷后的一切费用和风险(实际为装运港船舱内以后的) E、 收取卖方按合同规定交付的货物,接受与合同相符的单据。

6、 实际业务中的注意点

A、 贸易合同中注明启运港:启运港应为海港或河港(南通、重庆港等为内河港)

B、 贸易中要求卖方提供清洁已装船提单,风险和费用的转移点即为装运港指定的船舱内。

C、 船货衔接应在贸易合同中明确规定,空舱费,滞期费以及仓储保险等额外费用由谁支付。

D、 装运港的装货费由谁承担,即THC费用由谁支付,国际贸易原则为谁付海运费谁支付THC费用。

E、 和美国客户以及其他美洲客户订贸易合同时注意客户在确定价格条款中选用《19xx年美国对外贸易定义修正本》这个贸易惯例还是国际上通行的INCOTERMS 1990/2000这个惯例。因为同一个FOB术语两个惯例的解释不同,双方风险、费用、责任和义务都有很大区别。 F、 和客户协商争取其只能指定船公司或船代公司,争取货代由我方按排,目的港货代也应由我方货代指定,这样可以大大减轻贸易风险。

五、 CIF 贸易术语

1、 定义:CIF是COST,INSURANCE,AND FREIGHT(???NAMED PROT OFESTINATION)三个单词的第一个字母大写组成,中文意思为成本加保险费加运费。(指定目的港),指当货物在装运港越过船舷时,(实际为装运船舱内),卖方即完成交货。货物自装运港到目的港的运费保险费等由卖方支付,但货物装船后发生的损坏及灭失的风险由买方承担。

2、 适用运输方式:海运和内河运输,贸易国(货物最终运抵的海港或河港)。

3、 关键点:风险点、交货点在启运港船上,费用划分点至目的港港口船上。

4、 卖方的主要义务

A、 在合同规定的期限内,在装运港将符合合同的货物交至运往指定目的港的船上,并给予买方装船通知。

B、 负责办理货物出口手续,取得出口许可证或其他核准证书(原产地、商检证书等)

C、 负责租船或订舱并支付到目的港的海运费。

D、 负责办理货物运输保险,支付保险费。

E、 负责货物在装运港越过船舷为止的一切费用和风险。

F、 负责提供商业#5@p,保险单和货物已装船提单等。

5、 买方的主要义务

A、 按合同规定支付价款。

B、 负责办理进口手续取得进口许可证或其他核准书。

C、 负担货物在装运港越过船舷后的一切费用和风险。

D、 收取卖方按合同规定交付的货物,接受与合同相符的单据。

6、 实际业务中的注意点

A、 概念上的误区:CIF和FOB,术语中交货点及风险点都是在装运港的船上,卖方在装运港将货物安全地装到船上即完成卖方义务,装运后货物可能发生的风险,卖方不再承担责任。卖方将保险单、提单等交由买方,风险索赔等就由买方去办理。

B、 订舱配载:CIF条件下卖方自主订船,选择船公司货代,自付运费,码头费等,一般不接受买方指定的货代/船公司等,实际业务中客户会选择国外服务较好的马士基、APL等知名船运公司,一般在和买方确认好运费,船期后也可以接受,但一般不可以由买方指定的货代出运。

C、 卖方在装运港办理保险,一般在订立合同时具体规定保险金额,保险险别和适用保险条款,以及保险责任的起讫期限,选择协会或中国保险条款,保险单银行交单时要背书转让给买方。

D、 卸货费用:码头作业费等,CIF中一般用PORT TO PORT即港至港条款,启运港的费用由卖方承担,目的港的费用则由买方承担,

E、 装船通知以及货物的中转、到港日期等。

1、 卖方在装运港将货物装船后,取得海运提单并将主要货运单据给银行或自行交由买方,承保保险取得保险单支付海运费以及装运港杂费后即完成全部交货义务。

2、 卖方在装船后给买方充分的已装船通知。

3、 卖方无保证货物必然到达以及确保何时到达目的港的责任。

4、 卖方无货物装船后的损害、受潮、灭失等承担责任。

5、 若卖方提交单据时,货物已经损坏或灭失,买方仍须凭单付款,买方可凭提单向船公司/船代,凭保险单,向保险公司要求损坏赔偿而不可以向卖方提出索赔。

6、 实际业务中买方以货物在中转港,未按时中转、掉箱,货物在途中两次或叁次中转延误到港日期影响其成衣/成品交货索赔误工费、空运费等是不合理的,如何避免应在订立贸易合同时就注明卖方无装船后保证货物何时到达目的港以及无法保证何日中转的义务。

六、 CFR/CNF 贸易术语

1、 定义:CFR/CNF 是COST AND FREIGHT三个单词的其中一个字母组合而成,中文意思为成本加运费,指定目的港,指当货物在指定装运港越过船舷时,卖方即完成交货,卖方支付将货物运至目的港所必需的海运费,交货后的灭失和损坏的风险自交货时已转移至买方。

2、 适用运输方式:海运及内河运输(至贸易国的目的港,海港,河港均可以)。

3、 关键点:交货点、风险点在装运港船上,费用划分点,海运费付至目的港船上,保险由买方办理并支付。

4、 CFR/CNF和CIF买卖双方义务的区别

CFR/CNF合同中卖方不负责办理保险,不支付保险费,不提供保险单据,海上货物运输保险由买方自行办理。

其他义务和CIF是相同的。

5、 实际义务中的注意点

A、 风险点的转移:风险点为卖方在装运港将货物装到船舱内,风险点即转移到买方,国此买方必须在此之前向保险公司办妥保险,因此实际业务中卖方应于装运前和国外买方就如何发装船通知以及何时发装运通知,商定办法,贸易合同中也应注明装船通知的发送内容,方式,发送时间等。

B、 港杂费,装运港的港杂费,THC费用由卖方承担,目的港的港杂费,提货费等由买方承担。

C、 其他注意点同CIF注意点一样。

七、 FOB/CIF/CFR的共同点

1、 三种价格术语都适用于海运和内河运输(如中国长江河运,美国五大湖地区河运)其承运人一般只限于船公司。

2、 三种价格术语交货点均为装运港船舷(实际为船舱内)风险点均以在装运港越过船舷时(实际为船舱内)从卖方转移至买方。

3、 费用点:卖方均承担货物在装运港越过船舷为止的一切费用。

4、 提单:卖方均需向买方提交已装船清洁提单。

5、 装船通知:装运前后卖方均应及时向买方发出装船通知。

6、 风险点:卖方在装运港将货物装船后的风险即转移到买方。

7、 目的港的进口清关,费用等均由买方负责办理;装运港的装船,陆运,出口报关,办理许可证等均由卖方办理。

8、 卖方都有在装运港安排订舱、配船的义务。

八、 FOB和 CIF价格术语的不同点

1、 价格术语后港口性质不一样,FOB后的港口指卖方所在国的海港或河港,而CIF 后的港口指买方所在国的海港或河港,CIF 价格术语后目的港后应注明港口所属国别,如维多利亚港,在香港有,英国有,巴西有,必须加注国别来区分。

2、 费用构成不一样,报价不一样。FOB价格是考虑货物从原料购进、生产直到出口报关货物装到买方指定船舱同的一切费用和利润为止,而CIF则是在FOB价格的基础上再加上海运费和保险费。

3、 THC码头作业费的支付对象不同。按照谁支付海运费谁支付THC费用的原则,FOB价格条款中THC费用应由买方承担,CIF中THC应由卖方承担,现行国内THC标准为20'柜370元,大柜40'为560元,THC费用应在贸易合同中明确注明由谁支付。

4、 保险费支付、办理不同:FOB、 CNF 保险由买方办理,卖方应于装船前通知买方;CIF 保险由卖方办理并支付保险费,卖方按合同条款,保险条款办理保险并将保险单交给买方。

5、 价格术语国际惯例不同,FOB 价格在美国惯例和国际商会的1990及20xx年通则惯例,CIF大多数为国际商会的19xx年/20xx年惯例,订立贸易合同或客户开出信用证中注意加以区别。

6、 空运货物:FOB 卖方只承担货物上飞机之前的所有费用空运费,空运目的港费用由买方承担。

CIF 卖方除承担FOB空运费用外还需按买方要求承担空运费以及对货物空运投保保险。 空运货物自装运港交付后货物所有权即转移至买方。

7、 租船订船不同:FOB价格由买方指定船公司/船代公司甚至货代公司安排船运,买方能否及时租船订舱,会影响卖方的及时交货以及银行交单等。

CIF价格则由卖方自主选择船公司或货代公司。

8、 装船通知告知买方时间不同:FOB价格和CNF在装船前告知买方,装船内容、装船细节以便买方有充足的时间办理货物海上保险而CIF是由卖方投保可在装船后几天内告知买方装船通知。

9、 装运后跟踪服务不同:FOB价格术语由于是客户指定船代/货代,其二程三程中转一般由买方负责办理,而CIF价格术语,为给卖方提供更好的服务一般由卖方及时联系货代船代将中转情况,目的港代理资料,何时到港等资料告知买方。(但CIF 价格中卖方并无此规定义务,一般实际操作中买方会有此要求)

10、不可抗力风险不同:索赔难度不同

在实际出口业务中若货物已装船,在装运港或运输途中遭受不可抗力自然灾害或意外故,而卖方提交的单据与L/C规定有“不符点”遭到开征行拒付货款情况下FOB、CNF和CIF所承担的风险不同。

在CIF术语上是卖方办理保险,在启运港投保,在客户拒付退单的情况下,卖方可凭保单向当地保险公司索赔。

在FOB和CNF情况下是买方办理保险,保单在买方手里,保险公司又大多在国外,卖方难以向保险公司索赔,尤其是FOB术语上,卖方要找买方指定租船订舱的船公司/船代理及时准确取证就更难。

国际集装箱运输方式(1)

由于集装箱是一种新的现代化运输方式,它与传统的货物运输有很多不同,做法也不一样,目前国际上对集装箱运输尚没有一个行之有效并被普遍接受的统一做法。但在处理集装箱具体业务中,各国大体上做法近似,现根据当前国际上对集装箱业务的通常做法,简介如下:

1.集装箱货物装箱方式

根据集装箱货物装箱数量和方式可分为整箱和拼箱两种。

(1)整箱(Full Container Load,FCL)。是指货方自行将货物装满整箱以后,以箱为单位托运的集装箱。这种情况在货主有足够货源装载一个或数个整箱时通常采用,除有些大的货主自己置备有集装箱外,一般都是向承运人或集装箱租赁公司租用一定的集装箱。空箱运到工厂或仓库后,在海关人员的监管下,货主把货装入箱内、加锁、铝封后交承运人并取得站场收据,最后凭收据换取提单或运单。

(2)拼箱(Less Than Container Load,LCL)。是指承运人(或代理人)接受货主托运的数量不足整箱的#4@p货运后,根据货类性质和目的地进行分类整理。把去同一目的地的货,集中到一定数量拼装入箱。由于一个箱内有不同货主的货拼装在一起,所以叫拼箱。这种情况在货主托运数量不足装满整箱时采用。拼箱货的分类、整理、集中、装箱(拆箱)、交货等工作均在承运人码头集装箱货运站或内陆集装箱转运站进行。

2.集装箱货物交接方式

如上所述,集装箱货运分为整箱和拼箱两种,因此在交接方式上也有所不同,纵观当前国际上的做法,大致有以下四类:

(1)整箱交,整箱接(FCL/FCL)

货主在工厂或仓库把装满货后的整箱交给承运人,收货人在目的地以同样整箱接货,换言之,承运人以整箱为单位负责交接。货物的装箱和拆箱均由货方负责。

(2)拼箱交、拆箱接(LCL/LCL)

货主将不足整箱的#4@p托运货物在集装箱货运站或内陆转运站交给承运人,由承运人负责拼箱和装箱(Stuffing,Vanning)运到目的地货站或内陆转运站,由承运人负责拆箱

(Unstuffing,Devantting),拆箱后,收货人凭单接货。货物的装箱和拆箱均由承运人负责。

(3)整箱交,拆箱接(FCL/LCL)

货主在工厂或仓库把装满货后的整箱交给承运人,在目的地的集装箱货运站或内陆转运站由承运人负责拆箱后,各收货人凭单接货。

(4)拼箱交,整箱接(LCL/FCL)

货主将不足整箱的#4@p托运货物在集装箱货运站或内陆转运站交给承运人。由承运人分类调整,把同一收货人的货集中拼装成整箱,运到目的地后,承运人以整箱交,收货人以整箱接。 二十一

(8)站到场(CFS to CY):从起运地或装箱港的集装箱货运站至目的地或卸箱港的集装箱堆场;

(9)站到站(CFS to CFS):从起运地或装箱港的集装箱货运站至目的地或卸箱港的集装箱货运站。

以上九种交接方式,进一步可归纳为以下四种方式:

(1)门到门:这种运输方式的特征是,在整个运输过程中,完全是集装箱运输,并无货物运输,故最适宜于整箱交,整箱接。

(2)门到场站:这种运输方式的特征是,由门到场站为集装箱运输,由场站到门是货物运输,故适宜于整箱交、拆箱接。

(3)场站到门:这种运输方式的特征是,由门至场站是货物运输,由场站至门是集装箱运输,故适宜于拼箱交、整箱接。

(4)场站到场站:这种运输方式的特征是,除中间一段为集装箱运输外、两端的内陆运输均为货物运输,故适宜于拼箱交、拆箱接。

根据销售订单生成的送货清单,包含双方约定的产品名称规格,包装率,数量,单价和总金额,以下卖方承诺根据销售订单送货,买方承诺根据销售订单购买货物并按规定付款,外贸公司承诺货送出后付清余款.

As follow :The Seller undertakes to deliver、the Buyer undertakes to buy goods by order list and undertakes pay by this contract、 trade agent undertakes to pay the balance of total amount .in accordance with the delivery goods which make the object of the order list,showing specifications,packing,quantities,unit prices,total amount.

首先声明:当订单确定后,任何一方不得更改订单中货物的价格(不管市面上的材料涨与跌)。 First declare: all the prices will not changed by any parter when the order list confirmed(whatever the prices up and down in the market)

1、预付款: 总货款的 预付款(销售订单确定时,卖方开始生产货物之前)

1、deposit:total amount in advance payment(when the order list confirmed,before the Seller starts producing the requested goods .)

2、余款1:货送出后10天内,买方直接汇款,总货款的 50% 到卖方指定银行帐户。

2、balance1: in 10 days after deliver of goods, the buyer send directly the total amout to the bank account appointed by saler.

3、余款2:货送出后45天内,由外贸公司转帐全部余款到卖方帐户。

3、balance2:in 45 days after deliver of goods, the trade agent should sent the total balance to the bank account appointed by saler.

4、预付款只能在最后一批送货款中结算扣除。

4、the deposit will be counted and deducted in the last deliver goods of one order.
