双方经友好协商，特订立本协议书，以共同遵守：

一、居间方介绍之第三方用户限定为工厂类的终端用户（以下称用户），不是贸易公司或工程公司。

二、签订该协议前，双方需向对方提供本公司的注册登记等基本资料，并保证所提供的信息真实有效；

三、居间方须保证自己是在中华人民共和国相关法律条款下允许操作此类中间业务的公司，否则由此引起的一切后果均由居间方自行负责。

四、居间方负责介绍用户购买委托方产品，并协调委托方和用户间的贸易关系；居间方应及时将市场信息反馈给委托方。

五、委托方验证居间方提供的用户商务及技术负责人的联系方式，项目信息后给予项目独家保护。若居间方提供虚假信息则项目保护自动失效，即使与用户的合同生效，委托方也不提供居间方任何报酬（如佣金、交际费、交通费等）。

六、无论能否成交，居间方的各项费用（包括且不限于交际费、食宿费、交通费、通讯费等）全部自理，委托方一概不予负担。

七、居间方所介绍的用户与委托方合作须遵守委托方的销售合同条款。居间方将代理或协助委托方与用户联系，经委托方同意，在委托方未在场的情况下可以与用户商谈价格、质量及相关主要条款。

八、居间方的最高佣金比率如下，按销售额不同而改变，并要从以下佣金里面再扣除税费（人民币是20%，外币是8%）。

1万-30万（销售额）：10%（佣金比率）

31-60: 9%

61-100: 8%

101-150: 7%

151-200: 6%

201-250: 5%

251-300: 4%

301-350: 3%

351-400: 2%

401-500: 1.5%

501-600: 1%

601-700: 0.5%

九、委托方是合同执行的第一负责人，居间人是第二责任人，协议委托方完成合同执行，售后服务等相关事宜。

十、佣金支付方式：委托方和用户业务成交，收到全额货款后，居间方提供以本公司名义开据的全额佣金服务#5@p，委托方在收到该#5@p后两周内将扣除税费后的佣金（人民币是20%税费，外币是8%税费）汇入居间方的公司银行账户。

十一、在本协议有效期内，若居间方未能促成委托方与用户之间的合同成立的，或居间方违规而中断协议的，不得要求委托方支付任何形式的报酬。

十二、居间方主动把市场信息反馈给委托方。二个月以上没有书面有效的信息汇报，或不及时书面准确答复委托方的项目信息询问，或向用户推荐他家同类产品的，则视为居间方放弃此项目跟踪，委托方可另寻新合作方，且不用通告居间方。

十三、本协议在履行过程发生争议，由双方协商解决。如协商不成，提交委托方所在地法院管辖审理。

十四、本协议有效期为一年，自 年 月 日至 年 月 日止。 十五、以上协议只适合用于双方书面同意的佣金合作的用户项目，没有普遍性。

本协议一式贰份，委托方、居间方双方各执壹份，经双方签字盖章确认后生效，传真件具有同等效力。

　　COMMISSION AGREEMENT

　　本佣金协议书于20##年10月 日在中国上海由双方在平等互利基础上达成，按双方同意的下列条件发展业务关系：

　　This Commission Agreement ("Agreement") is between the parties concerned on October 31, 20## in Shanghai, China on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follow: In consideration of the mutual agreements and covenants herein contained, the parties hereto agree as follows:

　　2. 委任

　　Appointment

　　甲方指定乙方为其在中国的全权采购代理，采购甲方指定的合法产品。

　　The Party A appoints the Party B as its Exclusive Purchasing Agency in China, purchasing the goods as Part A refers.

　　3. 双方的职责

　　Duties of two parties:

　　(1) 甲方所需的采购业务应提交给乙方详细的询价单，比如材质、尺寸、数量、品质等具体要求，乙方须在7天内提供产品报价单给甲方(若遇特殊情况和不可抗拒力因素除外)。

　　(2) 甲方直接下订单给乙方，由乙方全权负责从接单到出货服务。包括寻找甲方需要的样品以及物品，为甲方取样、验货、出货等事宜。

　　(3) 乙方应保证所采购产品的合法性以及保证产品符合订单的要求。

　　4. 货款的支付方式

　　甲方正式下单给乙方后，须在两个工作日内支付采购总额的---%定金给乙方以备采购，交货时，乙方须提供有效提单给甲方，甲方在两个工作日内支付余下的货款给乙方，货款须汇入乙方指定银行。

　　5. 佣金的计算、给付方式、给付时间：

　　甲方同意按照每笔采购发票总金额的------%支付佣金给乙方，在出货后的??天内汇入乙方指定银行。

　　(1) 甲方若不按本合同第5条的执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5‰/天。

　　8. 协议的修改

　　Modification

　　此协议书只有经双方共同签字后才能作修改，

　　This Agreement may not be modified except by amendment reduced to writing and signed by both Parties. No waiver of this Agreement shall be construed as a continuing waiver or consent to any subsequent breach thereof.

　　8. 不可抗力

　　Force Majeure

　　由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

　　Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

　　8. 仲裁

　　Arbitration

　　因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会(北京)，依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。

　　All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached throught negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Beijing) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

　　10. 协议有效期

　　Validity of Agreement

　　本协议经有关双方如期签署后生效，有效期为 年，从 年 月 日到 年 月 日。

　　This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.

　　12. 协议的终止

　　在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。

　　During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.
