为明确旧机动车时买卖双方各自应承担的法律责任及义务,经双方自愿同意售车方签定以下协议:

售车方(以下简称甲方):

一、甲方将车主 的 车,车牌号 ,发动机号 ,车架号 转让给乙方,双方达成成交总额为(人民币) 整,小写 元。乙方在此协议签订时交付甲方车辆定金(人民币) 整,小写 元。剩余购车款在办理完车辆过户手续之后一次性付清。

二、甲方应对该车手续及车辆的合法性负责 (包括该车在20xx年 年 日前所发生的交通事故及经济纠纷)。该车自交车之日起(时间20xx年 月 日起)所发生的交通事帮及违法活动均由乙方负责与甲方无关。

三、该车若须办理过户事宜,过户费由 承担,过户时双方应主动配合办理转户所需手续及车辆。该车自交车之日起,该车以后所需费用均由乙方负责购买(包括养路费、年审费及保险费)。

四、因双方交易车车辆为旧机动车车辆,故双方签定协议时均对(车身及发动机工作状况表示认同)。

五、该协议书一式两份,双方签字生效,双方不得违约,不得对成交金额提出异议,不退车及车款。

Sales Deposit Agreement

On the basis of consensus, parties reach the following agreement with respect to the fact that Party A sells his or her house to Party B and charges Party B deposit.

Article 1 Basic Information of the House

1. The transacted house is located at 2, the property right certificate No. is .

2. Party A should guarantee that the house he or she sells has neither debt dispute nor flaw in its property right and meets the selling transaction condition.

Article 2 House Transaction

1. The nature of the house is the one of the following conditions:

(1) Commercial house;

(2) Purchased communal house (including that owned by a central institute in Beijing);

(3) Economically affordable house sold to the public openly;

(4) House managed according to that of economically affordable house, such as movement house, settlement house, fitness house, rural movement house in green isolating region, etc.’

After carrying out on-site inspection on Party A’ house, Party B learns about its property right, equipment, fitment, etc. and confirms that he or shell will purchase it with the total payment of RMB (in Chinese numeral). Article 3 Deposit Amount and Payment

1. Party B should pay a deposit of RMB (in Chinese numeral) to Party A when signing the agreement and Party A should issue a receipt (attached hereinafter) to Party B after receiving the deposit.

Article 4 Agreement about Signing the Sales Contract

1. Party A and Party B should sign Beijing Stock House Sales Contract (“Sales Contract”), Agency Service Contract and other relevant legal documents within working days after signing the agreement.

2. Party A and Party B agree Party C to provide agency service for the transaction. When the Sales Contract is signed, □Party A /□√Party B should pay an agency fee of RMB (in Chinese numeral). After the agreement is signed, if Party A and Party B sign the house sales contract through other agencies, Party C will have the right of asking Party

A and/or Party B to pay all agency service fees.

Article 5 Other Agreement

1. With respect to Party B’s purchasing qualification, parties agree that: (1) Party B should guarantee and promise to submit all documents or materials needed for house purchasing qualification to Party C at least before signing the sales contract and the materials that he or she submits are all true, legal and valid; if Party B fails to gain the approval of purchasing qualification due to providing false materials or deliberately concealing true information, Party A will have the right of not returning the payment that Party B has sent.

(2) Party C will assist Party B in examination of house purchasing qualification; if Party B fails to gain the approval of house purchasing qualification, all parties will not undertake any responsibility and the agreement will be automatically terminated; meanwhile, Party

A should directly return the deposit paid by Party B within 5 working days after the qualification examining result is issued except the condition specified in Item (1) of this article.

2. Any dispute incurred due to or related to the payment of deposit can be settled by all parties through negotiation. If the negotiation fails, they can sue to the People’s Court in the place wherein the house is located.

3. The agreement is triplicate. Party A, Party B and Party C respectively keep one.
