江苏恒隆物流有限公司 国际货运代理协议

甲乙双方为促进国际货物运输业务及进出口贸易的发展，经友好协商，本着彼此平等、相互信任、互惠互利的原则，就甲方委托乙方，代为办理国际货物出口运输业务及提供相关物流服务等事宜，达成如下协议，以资共同遵守。

第一部分 适用范围

第1条 乙方持有有效营业执照或国家主管部门核准的相关业务经营资格证书，营业范围

应包括合法、有效的相关业务经营资质。

第2条 甲方委托乙方作为其代理，办理其在 江苏/上海 地区的货物出口业务及提供

其他配套服务。乙方将在甲方委托范围内提供如下服务：出口运价咨询、出口货

物舱位/箱位洽订、装箱、拆箱、运输现场货运组织、报关、单证缮制、提单签

发，代付海运费、国内运费及港务、港建、港杂费，代办与货物相关的其它业务，

并负责取单、送单、订舱、调货、报关、装箱、缮制单据，并及时提供船期表和

二程信息等工作。

第二部分 双方任责与义务

甲方：

第1条 甲方根据出口订舱规定,及时向乙方提供托运单据，如遇特殊情况，可先电话联

系、传真订舱，然后及时补齐托运单据。

第2条 甲方负责提供随附海关、商检等申报所需的各种文件、资料，不得夹带、瞒报国

家禁止、限制运输之货物与危险货物。

第3条

第4条

甲方所提供的单证、资料需完整、正确。 在货物出运过程中，甲方如需更正有关资料，应出具书面通知。

乙方：

第1条 在收到甲方的托运单据后，按甲方要求洽订舱位、箱位，代为确认运费等，并及

时反馈配舱、配箱资料等信息。如有特殊情况，应及时与甲方沟通，以甲方的操

作指令为准，来实施操作工作。

第2条 根据甲方装箱要求，事先安排好集装箱卡车装箱计划，并跟进集卡动态，确保甲

方的装箱时间。如遇车辆、道路等原因无法准时，应当及时通知甲方，并立即协

商新的装箱计划。

第3条 在操作过程中，如因乙方失误或过错导致的延迟、漏配等后果时，乙方应及时将

实际情况告知甲方，并积极采取补救措施。

第4条 甲方委托乙方集装箱装船的货物，从乙方提货至将货物全部交付给船公司止，期

间所发生的灭失或损坏，由乙方代理甲方追偿损失。在货物运输途中，若有缺损

或灭失情况，乙方作为甲方代理，有责任进行调查、取证工作，并代理甲方按照

甲方意图出面处理，与船舶承运人做相应交涉。

第5条 乙方在货物出运后的2日内将甲方确认无误的全套正本提单送达甲方。乙方在开

船后45天内交付甲方有关核销报关单、退税报关单、外汇核销单等全套退单。

第6条

第三部分 费用标准

第1条 海运费：甲方按乙方公布的现行市场费率，或双方事先书面确认的运费，来支付

所托货物的海运费给乙方。

第2条

国内运输费用，根据货物出运方式，双方事先协商确定的具体数额。 乙方或其代理人、受雇人必须及时向收货人发出到货通知。

第四部分 付款条款

甲方订舱发生的费用，按以下第 1 种方式结算：

（1）甲方在每月的 25 日前，结清前一个月的费用。

（2）甲方在开航日 天内，结清该航次的费用。

（3）甲方在取得有关核销报关单、退税报关单、外汇核销单等全套退单时，结清

该票费用。

第五部分 协议生效

第1条 第2条 本协议一式两份，双方各执一份。 本协议自双方盖章之日起生效，有效期一年。协议期届满，双方无异议，有效期

顺延。

第六部分 其他条款

第1条 协议双方保证对本协议内容予以保密，任何一方泄密而导致另一方损失，则应由

责任方承担。

第2条 乙方应根据本合同及具体协议，完成甲方委托的各项操作。乙方对其未能完成甲

方委托的事项而造成的甲方损失负赔偿责任。

第3条

第4条 遇到运价调整和港口代理包干费率调整，双方通过友好协商解决。 协议生效后,任何一方如果需要修改协议内容,应书面通知另一方。经协商后,书

面确认修改后的条款。后续修改的任何附加条款也是本协议不可分割的部分。

第7条 在协议有效期内双方均有权提出终止本协议，但必须提前30天书面通知另一方。 协议变更或终止前已发生的权利与义务不受变更或终止的影响。 本协议未尽事宜或因本协议未尽事宜而影响本协议的执行，双方应通过友好协

商，妥善解决。协商不成，在甲方所在地法院诉讼。

根据《中华人民共和国合同法》及其他相关法律、法规之规定，在平等、自愿、协商一致基础上，就甲方由中国天津港或秦皇岛港进口道岔配件，委托乙方代理安排货物通关、检验检疫、装卸和内陆运输等相关事宜，达成以下协议：

According to the 《Contract Law of People`s Republic of China》and some other related laws or regulations, we reach to sign this agreement through amicable negotiation whereby Party A agrees to consign its partial Customs clearance、CIQ clearance、transfer、transportation and other relevant business of turnout parts which be imported from China Tianjin port or Qinhuangdao port.

一、 甲方责任和义务

Responsibilities and obligation of Party A

1、 货物到港前，甲方及时向乙方提供进口货物清关所需完整的、准确的和合法的单据，否则由此产生的滞报等费用由甲方承担；

Before the good`s arrival at the port, Party A shall provide the complete、accurate and legal documents required regarding any customs declaring and transportation services. In case of the failure, Party A will be responsible for all the consequences;

2、 甲方有责任就货物形态及货物装载要求等事宜提供给乙方；

Party A shall provide the information with details on the size and loading requirements of the goods to Party B;

3、 乙方运输车队运至甲方厂内后，甲方要积极组织卸车事宜，如因不能及时卸车产生的压车费用由甲方承担；

After the completion of the transportation by Party B to the workshop of Party A, Party A shall organize the discharging actively. In case of failure to discharge in time, the additional costs will be charged by responsible side;

4、 集装箱货物到厂后，甲方开箱卸货时应避免损坏集装箱，如因开箱、卸货原因导致集装箱损坏，甲方承担直接责任；

After the arrival of containers, Party A shall avoid to damage the containers when open it, the damage which done by Party A when open containers and unload, Party

A will be responsible for the consequences;

5、 甲方在收到关税和增值税传真件经审核无误后即刻支付税款，如因甲方支付关税及增值税不及时所产生的滞报、滞港等费用由甲方承担。

Party A shall pay the Duty & VAT in advance after the acceptance of the bill of Duty & VAT which sent by Party B, Party A will be responsible for the customs demurrage、port demurrage etc. if Party A could not pay it in time;

二、 乙方的义务和责任

Responsibilities and obligation of Party B

1、 乙方有责任向甲方提供运输咨询，设计最安全、经济、快捷的运输、装卸方案。对于已运输货物，乙方应按照甲方要求有责任就货物状况做出报告；

Party B is responsible to provide the transportation proposal with safe、quick and economical plan. Party B shall make a report on good conditions according to Party

A`s requirements;

2、 乙方对甲方提供的全套单证在一个工作日内完成审核整理，使之符合报关报检要求。如内容有遗漏，乙方应立刻通知甲方并向甲方索取所需资料信息；

Party B shall examine the whole set of documents which provided by Party A immediately and prepare it to meet the requirements of customs declaring and inspection application. Should there be any missing, Party B shall immediately remind Party A and collect the relevant information from Party A;

3、 乙方应及时、合理的完成清关工作。除因海关、商检原因外，清关放行不超过5个工作日，并使货物及时、快捷运达甲方厂内。货物到厂后，乙方要协助甲方协调卸货事宜并完成货物到达工厂后的相关商检工作；

Party B shall complete the customs clearance and do all necessary acts in a prompt and reasonable manner. The period of customs clearance shall not exceed 5 working days except for custom reasons, with a view to transport the goods to Party A`s workshop as soon as possible. After the completion of transportation, Party B shall support Party A to arrange the discharging and Party B shall complete the CIQ inspection at the factory;

4、 乙方要做好货运业务监督管理工作，合理安排作业流程，维护甲方利益，发现问题必须及时通知甲方，并提供合理化建议积极协助甲方积极解决；

Party B shall make inspection and supervision of transportation, arrange a reasonable transportation procedure. Party B shall protect the interest of Party A and shall notify Party A in time and provide the reasonable proposal and supports when meeting some problems. In case of any unforeseen costs, Party B shall notify Party

A in time;

5、 如因乙方原因造成货物的延期以及因乙方原因造成的货物损坏等情况，由此产生的各种额外费用和滞期费等，由乙方负担；

Party B shall take the responsibilities caused by Party B`s wrong operations;

6、 清关完成后，乙方要首先与甲方确认费用，待甲方确认后应在清关结束后20天内将税单、增值税单和报关单（付汇证明联）等相关报关单据及时交予甲方；

After the completion of customs clearance, Party B should inform Party A about the charges, and Party B shall forward the customs declaration as well as the bill of Duty & VAT to Party A within 20 days;

三、 代理费及结算方式

Clearance charge and payment items

1、 代理包干费（包括港杂费、港建费、换单费和港口装卸费等费用以及内陆运费）由乙方在每票货物到港前三天以《报价协议书》书面形式交予甲方确认，《报价协议书》在甲、乙双方确认后生效（传真件有效）；

All-inclusive charge of clearance(including THC、port construction charge、B/L exchange fee and port load&unload charge and also the inland transportation charge)shall be sent by Party B as a formal 《Quotation agreement》to Party A 3 days earlier before the shipment arrival date, 《Quotation agreement》will go into effect if both parties confirm it(fax version of 《Quotation agreement》is valid) ;

2、 代理包干费、内陆运费等费用实报实销并由乙方先行垫付，关税和增值税由甲方按税单、增值税单传真件及时支付；

All-inclusive charge of clearance、inland transportation charge at cost and shall be paid by Party B in advance, Party A shall pay Duty & VAT against the fax version of it in time.

3、 结算周期：结算前乙方将业务#5@p及结算单交付甲方审核，甲方在收到业务#5@p及结算单后5个工作日内审核完毕，审核无误后25个工作日内付款；

Payment period: Party B shall transfer the invoice and debit note to Party A, and Party A shall check it within 5 working days after receive it, Party A shall pay the payment within 25 working days if accept the charges.

4、 在完成秦皇岛或目的地的商检检验和验货工作后，甲方支付乙方先行垫付的相关商检费用。

After the completeness of CIQ inspection work in Qinhuangdao or other destinations, Party A pay the relevant CIQ clearance charges which have already paid by Party B in advance.

四、 索赔处理

Compensation treatment

1、 若乙方发现货物表面出现异常，应及时通知甲方，并应甲方要求和指示，协助甲方相应处理；

When Party B discover some problem of the goods, should immediately inform Party

A and cooperate with Party A to handle the problem according to the instruction and requirement of Party A.

2、 乙方在提供本协议服务时，若货物在乙方或其指定的分包商运输，包管，储存之下时，由于乙方或分包商的过错或过失导致货物损坏、货差等事故，则应由乙方承担赔偿责任；

If some problem appears during the service of Party B, for example the goods are delivered in a wrong manner or the quantity is wrong and the goods are still in the charge of Party B or the freighter, which is by Party B appointed, Party B must be responsible for the mistake and take the loss on.

3、 甲方提供给乙方的货物运输要求为本协议的附件是不可分割的部分，与本协议具有同等效力。乙方要以本运输要求标准为甲方安排货物运输。

As attachment, the transportation requirement offered by Party A, is an unavoidable part of the agreement, the agreement and the attachment have the same effect. Party B should organize the goods transportation for Party A according to the transportation requirement standard.

五、 争议解决

Settlements of disputes

甲乙双方在货物进口的合作过程中，应密切配合、互助协助，以保障货物运输的顺利进行。凡与本协议有关的争议，甲乙双方应按照《中华人民共和国合同法》等有关的

法律规定，双方友好协商解决。协商无效任何一方都可以向当地人民法院起诉。协商解决期间除有争议待决的事项外，协议其他部分则继续进行；

Both Parties shall cooperate perfectly during the import procedure, with a view to ensure the smooth operation. Both Parties shall negotiate for any problems, in case of failure to reach an agreement, any of both parties can sue to the local court. In the settlement of the problems, the other points of the agreement should be carrying on.

六、 其他本协议未尽事宜，双方依照我国法律进行协商。

Any disputes between the two parties shall be settled by friendly consultation according to the law.

七、 本协议一式三份，甲方两份乙方一份，自双方签字盖章之日起生效，有效期六个月。 This agreement is made out in three (3) originals and each party shall hold one original. And this agreement comes to effect on the date of signature and chops.
