佣金协议书

　　                      COMMISSION AGREEMENT

　　本佣金协议书于20##年10月 日在中国上海由双方在平等互利基础上达成，按双方同意的下列条件发展业务关系：

　　This Commission Agreement ("Agreement") is between the parties concerned on October 31, 20## in Shanghai, China on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follow: In consideration of the mutual agreements and covenants herein contained, the parties hereto agree as follows:

　  2，Appointment

　　The Party A appoints the Party B as its Exclusive Purchasing Agency in China, purchasing the goods as Part A refers.

　　3，Duties of two parties:

　　(1) 甲方所需的采购业务应提交给乙方详细的询价单，比如材质、尺寸、数量、品质等具体要求，乙方须在7天内提供产品报价单给甲方(若遇特殊情况和不可抗拒力因素除外)。

　　(2) 甲方直接下订单给乙方，由乙方全权负责从接单到出货服务。包括寻找甲方需要的样品以及物品，为甲方取样、验货、出货等事宜。

　　(3) 乙方应保证所采购产品的合法性以及保证产品符合订单的要求。

　　4. 货款的支付方式

甲方正式下单给乙方后，须在两个工作日内支付采购总额的30%定金给乙方以备采购，交货时，乙方须提供有效提单给甲方，甲方在两个工作日内支付余下的货款给乙方，货款须汇入乙方指定银行。

　　5. 佣金的计算、给付方式、给付时间：

　　甲方同意按照每笔采购发票总金额的%支付佣金给乙方，在出货后的60天内汇入乙方指定银行。

　　For the Purchasing Agent's services, the Party A shall pay the Party B the following commission percentage within 60 days : ________ % of Part B’s each purchasing aggregate amount of the invoice value against the shipments effected. Commission should be remitted to Party B’s referring bank.

　　6. 费用

　　以下费用由甲方承担

　　EXPENSES: As part of the compensation to the Party B, the Party B shall also be reimbursed for the following expenses:

　　7.违约责任

　　(1) 甲方若不按本合同第5条的执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5%/天。

　　8. 协议的修改

　　Modification

　　此协议书只有经双方共同签字后才能作修改，

　　This Agreement may not be modified except by amendment reduced to writing and signed by both Parties. No waiver of this Agreement shall be construed as a continuing waiver or consent to any subsequent breach thereof.

　　8. 不可抗力

　　Force Majeure

　　由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

　　Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

　　8. 仲裁

　　Arbitration

　　因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会(北京)，依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。

　　All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached throught negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Beijing) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

　　10. 协议有效期

　　Validity of Agreement

　　本协议经有关双方如期签署后生效，有效期为 1年，从2012 年07 月 05日到 20##年07 月 05日。

　　This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.

　　12. 协议的终止

　　Termination

　　在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。

　　During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

　　13. 本协议于 年 月 日在上海签订，一式两份，双方各执一份。佣金协议应与采购订单同时具备才能生效，传真件具有同等效力。

根据《中华人民共和国合同法》和有关法律法规的规定，生产厂家与中间人就佣金事宜，双方经协商一致，签订本协议。

一 甲方责任

1、甲方应保证所生产产品的合法性及保证产品质量。

2、甲方与海外客商交易的具体价格，交货方式，支付方式等由甲方与海外客商双方协商约定，并将签署的协议、合同等法律文书备份一份给乙方，以便乙方知悉。

3、乙方不对甲方与海外客商的交易提供任何信用担保，以及甲方在以后的协议履约时和海外客户发生的一切纠纷，乙方概不承担连带和赔偿责任。甲方应严格按“FOB、C&F或者CIF或其他条款”执行与海外客商所签订的合同。

4、甲方对于乙方介绍的国内外买方之间的一切商业信函，以及附件或者抄送的形式及时通知乙方。

5、甲方承诺不得为回避乙方而采取直接或者间接的手段与乙方已经介绍给甲方国内外买方接触以获得订单。如果甲方实施此行被乙方以相关材料证明后，则甲方除了应付该被查证交易的佣金外，还需向乙方支付不低于改部分佣金50%的违约罚金。本条说是的佣金标准以不低于双方已经发生的改产品佣金的最高标准执行。

二 乙方责任

1、乙方的主要工作职责是为甲方介绍国内外买方。乙方的工作主要是为甲方寻找买方，一旦国内外买方与甲方形成固定交易关系（包括第一笔交易），则所有今后甲方与国内买方之间形成的交易额均视为乙方的工作成果。

2.、乙方对已经介绍给甲方的国内外买方的商业机密严格保密，如果乙方将介绍给甲方的国内外买方的机密直接或者间接泄露，乙方应承担由此造成的一切经济损失和后果。

三 佣金的计算、支付方式、支付时间

1、甲方承诺按每笔FOB合同成交总额的5%- 10%（视具体情况而定），支付给乙方。第

一次介绍，加拿大客户订单，佣金按5%来计算。

2、给付方式及时间：在甲方与乙方所介绍的国内外客商签订每笔合同且国内外客商货款

100%付至甲方后，甲方承诺在五天内将全部佣金一次性支付给乙方，一笔合同支付一次佣

金。佣金汇至乙方指定银行。

四 违约责任

1、甲方若不按本协议第三条的第2款执行，逾期应支付乙方滞纳金，滞纳金系数为：每

天付总佣金的千分之三。

2、甲方同意凡乙方所介绍的国内外客商，其将来与甲方的每笔业务，甲方都将按本协议

第三条第1款支付货款的5%-10%佣金给乙方，否则，甲方愿承担本条第1款约定的逾期付

款违约金。

五 争议解决方式

如因本协议的履行而发生任何争议，经双方友好协商无法解决的，由广州仲裁委员会仲

裁，仲裁结果对于双方具有法律约束力。

六 其他条款

1、但任何一次单次交易都将以本协议为基础，接受本协议的调整。涉及到单次交易的

佣金、价格及条件由甲方与乙方根据本协议而确定。所有单次交易确认书都将作为本协

议的附件并与本协议具有同等的法律效力。

2、本协议根据中华人民共和国法律而制定，并适用中华人民共和国法律。

3、甲乙双方对于本协议的签署以签字及加盖盖章的方式进行。

4、一旦本协议经双方签字（盖章），本合同即生效。

5、本合同未尽事宜双方协商解决。本协议一式两份，双方各执一份。
