食品供应合同

供货方： （以下简称甲方） 购买方：

甲方与乙方进行货品交易的任何相关程序，为达到双方平等，互利、合法、公平的交易原则，经双方友好协商，签署如下协议。

一、合作关系

甲乙双方自协议签订之日起形成供需合作伙伴关系：

1、甲方所供产品，必须符合产品质量标准，如出现质量问题甲方无条件退货或换货。

2、甲方按乙方所需产品规格，数量及时送达乙方，响应时间不超12小时；

3、乙方在协议期内不得使用其他供应商供应的货品。

4、乙方在协议有效期间，无故终止于甲方的合作关系，乙方应当赔偿甲方违约金 元。

二、供货品种及价格

1、甲方所供应的蔬菜、猪肉、三鸟类价格均以双方签订的报价表为标准。

2、在本合作协议有效期内，甲方供应的产品价格为每月双方根据市场调查只同协议进行一次调整。甲乙双方应更新修订报价表，价格调整后按调整日起的新价格执行。

三、交货地点和交货时间

1、交货地点：

2准时交货，对乙方指定时间的货品，乙方保证按时送到。

3、乙方根据合同书规定的质量标准进行实物验收，验收合格后开具验收单。

四、货款结算方式

1、现款现货结算（□是，□不是）；

2、月结（□是，□不是）；甲乙双方按天味一货款结算期，乙方应予当月的最后一天无条件支付甲方当月所供产品全部价款。乙方必须按时结算货款，不得延迟。本协议结束之日，乙方应结清所欠甲方所有货款。

五、违约责任

甲方违反以上协议，应向乙方支付违约金 元；乙方违反以元。

六、协议期限

本合作期限自 年 月 日至 年 月 日止有效，有效期届满，双方本着真诚合作的态度及供需的平衡的情况，在本协议结束前，再行签订新协议书。

七、其它

本协议一式两份，甲乙双方各执一份备查，如有未尽事宜，协商解决。

After negotiation by both parities, QDML agrees to purchase, Part B agrees to sell, both parties should follow the six articles as below:

经过甲乙双方共同协商，在QDML 同意购买，乙方同意出售下述商品的价格、质量保证、发货、货物拒收、付款等活动下共同遵守如下六条款：

Article I Price & Order

第一条 ：价格及订货

1. QDML supply food demanding list and Part B should give a quotation as the

contract price; Part B should guarantee that the price is the most competitive market price.

QDML 提供给乙方食品供应清单， 乙方按照此清单报价作为此合同有效的价格清单。乙方保证提供市场最具竞争力的价格。

2. QDML will notify Part B food demanding amount and Part B should supply good

quality food in time.

QDML按照实际需求通知乙方每次的订货量， 乙方应该按照 QDML的要求保质保量的按时完成每次供货、发货。

3. Part B should ensure QDML food requirements each month, if can not supply food

due to lack of food or price raise, he should notify QDML earlier, Or QDML will recourse the responsibility and economic lost.

乙方必须能满足 QDML每月的食品需求量，若因市场缺货和涨价任何原因不能履行职责，清单内物品应提前告知QDML，其他在收到乙方的需求后当天告知，否则， QDML有权追究其责任并要求赔偿由此造成的经济损失。

4. QDML will notify quantity of food 1 day earlier to Part B, Part B prepares all goods

according to designated time, QDML will send vehicle to and agree on the place to

carry on the goods and confirm the work after putting through goods of part B and getting all notices ready. It is qualified that the goods are confirmed, QDML purchase to personnel and provide the receipt.

QDML 需要食品数量应提前1天告知乙方。乙方按约定时间准备所有货物，QDML

接到乙方货物备齐通知后会派车到约定地点进行货物验收工作。货物验收合格，QDML采购人员出具验收单。

5. If any food is not included in QDML’s food list, then Part B should submit a former

Quotation as the Contract surplus price as the settlement prove.

如果 QDML需要的物品不在清单内，则乙方需要一份正式报价并经QDML 确认后才能做为此合同的追补价格清单，并作为结算依据。

Article II Quality of Food

第二条：食品质量

1. Part B should supply Quality check Certificate of the food which should meet the

standard of National Food Hygiene GB17323-1998 (Manufacture No. Date & Certificate).

乙方提供本次订购食品的质检报告，应完全符合国家食品卫生质检的标准 GB17323-1998（生产厂家的批号、出厂日期合格证）。

2. QDML hold the right to check the food at Xining ir-regually, contract will be

terminated if found any sub-standard food.

QDML有权不定期对食品进行抽样送西宁检验，如发现有食品质量不符合国家、生产厂家的标准，立即终止此合同。

3. If found food poisoning and Part B should undertake medical cost and these

economic lost to QDML, QDML hold the right for claim.

如发生食物中毒并由此给 QDML产生的医疗费和赔付费用全由乙方承担，乙方同时承担由此对QDML 造成的经济损失，QDML并保留向乙方索赔的权利。

4. QDML could investigate price of Part B’s food according to current market price, if

found the price is higher and package, cooling condition & quality changed, then QDML can require Part B to improve or terminal the contract immediately.

QDML有权不定期对乙方所供应的食品市场价格进行调查，若发现食品价格超过其他市场均价或供货的品牌，包装，冷藏条件，质量发生变化，则 QDML有权要求乙方立即改进或立即终止合同。

5. Part B has the responsibility & liability to notify delivery place of each time, QDML

will receive the food according to Food List and Food Quality Check Report.

乙方有义务和责任提供给 QDML每次运输食品或指定的交货地点，QDML 根据乙方随货通行的清单和食品质检报告收货。

Article IV Deliver Food

第四条：发货

1. Part B should guarantee supply the food in time, if delayed, Part B should

coordinate those urgent needed food.

乙方保证QDML 每次所定购的食品及时供货，万一晚到，乙方应及时协调急需食品并保障QDML生活供应。

2. QDML may notify food requirement to Part B at any time in 24 hrs, so Part B should

organize these urgent PO.

遇到紧急订单，每天24小时内QDML 都有可能通知乙方，以方应立即组织货源及

时发货。

3. QDML will receive the food according to Food PR List and will notify Part B to

replace or replenish if found quantity lack, poor quality,

QDML 根据需求清单收货如发现数量不足、食品质量不好应及时通知乙方根换或及时补足并及时交货。

Article V Reject Food

第五条：货物拒收

1.

QDML will not receive the food in following situation: 在下列情况QDML有权拒收： 1.1 Poor Quality, 质量不合格。 Lack Quantity, 数量不符。 Mistake food. 货物不是QDML订购的。 Out of date, damage, leak, package broken and pollute etc. 货物过期，损坏，泄漏，包装破损，污染等。 Sub-standard Brand, specification and package. 1.2 1.3 1.4 1.5

2. 货物的品牌，规格，包装不符合要求。 If found poor quality of different with PO, receive person should fill food check list

and explain the reason, both parties should sign.

货物质量未能达到要求或与订单不符，收货人应立即当面填写货物检查清单并解释原因，双方都在检查单上签字。

3. After receive, if QDML found some problems only can be rised during manufacture,

will contact Part B for replace or return the food.

收货后，QDML一旦发现那些只有在加工过程中才能发现的质量问题，应及时联系乙方要求退货和换货。

4. Take photos of rejection food and notify Supplier to come to site to sought out in

time.

对拒收食品进行拍照，及时通知供应商到现场处理。

Article VI Payment

第六条：付款

1. QDML will arrange payment twice at each month according to confirmation of

contract price & QDML camp received quantity, also after QDML Supply department finished invoice & PO matching.

每月结算2 次，月底按照合同价格和青海大柴旦后勤部签收的数量确认单并由采供部在#5@p匹配后按照财务程序结算。

2. Part B ensure to supply true tax invoice (include invoice list) and should responsible

for delay payment if can not supply invoice in time.

乙方保证提供真实有效地税务#5@p（含#5@p清单），由此而引起的延迟付款，乙方负

责。

3.

If above invoice correct, QDML will pay within 1 week QDML 保证在以上单据合格情况下，一周内付款。

Article VII Other

第七条 : 其它

1. If contract can not be achieved due to force majure, earth quake, war, water flood

or any other nature disaster, exonerate part or whole responsibility.

甲乙双方由于不可抗力的自然灾害，地震、战争、洪水的自然灾害，确实不能全部或部分履行 合同，可免除全部或部分的违约责任。

2. There are six copies of this contract and each party hole three.

本合同一式六份，买卖双方各执三份。

3. This contract will be effect after both parities signed, will last one year (12th Jan.

2009—12th Jan.2010).

本合同自双方签章之日起生效，有效期一年，从 20xx年1 月 12日至2010 年 1月12 日终止。

4. Any un-covered issues should be discussed by both parities.

本合同如有未尽事宜，由双方协商决定。
