4.双方同意,在本项目实施前,双方需各自取得公司内部所有必要批准以签订具有约束力的合同(以下统称“项目合同”)。项目合同具体条款待双方协商达成一致。

5.双方希望通过本备忘录记录本项目目前的状况,本项目具体内容经过随后谈判由双方签署的项目合同最终确定。

基于上述事实,双方特达成协议如下:

4.保密资料

4.1本备忘录签署前以及在本备忘录有效期内,一方(“披露方”)曾经或可能不时向对方(“受方”)披露该方的商业、营销、技术、科学或其他资料,这些资料在披露当时被指定为保密资料(或类似标注),或者在保密的情况下披露,或者经双方的合理商业判断为保密资料(“保密资料”)。在本备忘录有效期内以及随后______年(月)内,受方必须:

A对保密资料进行保密;

B不得用于除本备忘录明确规定的目的外其它目的;

C除为履行其职责而确有必要知悉保密资料的该方雇员(或其关联机构、该方律师、会计师或其他顾问人员)外,不向其他任何人披露,且上述人员须签署书面保密协议,其中保密义务的严格程度不得低于本第______条的规定。

4.2上述第4.1条的条款对以下资料不适用:

A受方有在披露方向其披露前存在的书面记录证明其已经掌握;

B并非由于受方违反本备忘录而已经或者在将来键入公共领域;

C受方从对该信息无保密义务的第三方获得。

4.3本备忘录期满或终止后,受方应(1)向对方归还(或经对方要求销毁)包含对方保密资料的所有材料(含复印件),并且(2)在对方提出此项要求后十日内向对方书面保证已经归还或销毁上述材料。

5.独家谈判

在_______年______月______日前,任何一方不得直接或间接与第三方就本备忘录标的事项进行任何磋商、谈判,达成谅解或任何形式的协议或安排。

6.本备忘录内容保密

除非按照法律规定有合理必要,未经另一方事先书面同意,任何一方不得就本备忘录发表任何公开声明或进行任何披露。

7.知识产权

双方确认一方并未因本备忘录从另一方获得该方任何知识产权(包括但不限于著作权、商标、商业秘密、专业技术等)或针对该知识产权的权利。

8本备忘录的修改

对本备忘录进行修改,需双方共同书面同意方可进行。

9.本备忘录具有\不具有约束力的条款

双方确认,除第______条、第4条至第13条(包括第4条、第13条)对双方具有约束力外,本备忘录不是具有约束力或可强制履行的协议或项目合同,也不在双方之间设定实施任何行为的义务,无论该行为是否在本备忘录中明确规定应实施还是拟实施。

10.本备忘录的转让

未经对方事先书面同意,任何一方不得转让本备忘录。

11.各方承担各自费用

除非本备忘录另有明确约定,任何一方应负担其从事本备忘录规定的活动所发生的费用。

12.不承担间接损失

任何一方对与本备忘录有关的任何间接或附带损失或损害、商誉的损失或者损害或者收入或利润的损失不承担责任。

13本备忘录的生效和终止

本备忘录经双方签字生效,至下列日期终止(以最早者为准):

A双方用项目合同或本备忘录标的事项的进一步的协议取代本备忘录;

B任何一方无须提供任何理由,提前一个月书面通知另一方终止本备忘录;

C本备忘录签署60天后。

第4、5、9、10、11、12、和13条在本备忘录终止后继续有效。

14适用法律和仲裁

本备忘录适用______法律。双方由于本备忘录产生的任何争议应在30日内通过友好协商解决;如果未能解决,任何一方可以将争议提交_______按照______以______语言进行仲裁。

双方正式授权代表已于文首所载日期签署本备忘录,以兹证明。

Canada-Ontario Agreement Respecting

The Great Lakes Basin Ecosystem

MEMORANDUM OF COOPERATION

BETWEEN:

GREAT LAKES AND ST. LAWRENCE CITIES INITIATIVE, incorporated under the Canada Corporations Act, hereinafter referred to as “GLSLCI”,

AND

THE HONOURABLE JOHN GERRETSEN, MINISTER OF THE ENVIRONMENT FOR ONTARIO, hereinafter referred to as “Ontario”

AND

THE HONOURABLE DONNA CANSFIELD, MINISTER OF NATURAL RESOURCES FOR ONTARIO, hereinafter referred to as “Ontario”

AND

THE HONOURABLE LEONA DOMBROWSKY, MINISTER OF AGRICULTURE, FOOD AND RURAL AFFAIRS FOR ONTARIO, hereinafter referred to as “Ontario”

WHEREAS these Parties share the vision of a healthy, prosperous and sustainable Great Lakes Basin Ecosystem;

AND WHEREAS the Ontario provincial and municipal governments each play an important role in protecting and conserving the Great Lakes Basin Ecosystem;

AND WHEREAS the Parties recognize that 98% of Ontarians live in the Great Lakes Basin Ecosystem and depend upon it for influencing climate, drinking water, food production, power generation, culture and recreation, and social well-being;

AND WHEREAS Canada and Ontario have entered into the Canada-Ontario Agreement Respecting the Great Lakes Basin Ecosystem for a term of 2007 to 2010 to restore, protect and conserve the Great Lakes Basin Ecosystem;

AND WHEREAS the GLSLCI is a binational organization of mayors and other local officials interested in protecting the Great Lakes Basin Ecosystem and whose membership includes Ontario municipalities;

AND WHEREAS Ontario values the contributions municipalities have made in managing water resources and our natural heritage effectively and recognizes the

importance of municipal government programs, policies and investments in restoring, conserving and protecting the health of the Great Lakes Basin Ecosystem;

AND WHEREAS the Parties wish to engage and communicate with each other on various matters that relate to the Great Lakes Basin Ecosystem;

NOW THEREFORE the Parties have agreed as follows:

1. PURPOSE

The purpose of this Memorandum of Cooperation (MOC) is to outline the areas of cooperation among the Parties in communications and engagement in support of the Canada-Ontario Agreement Respecting the Great Lakes Basin Ecosystem (COA), and consider ongoing communications and engagement beyond 2010.

2. GOALS

•To build collaboration between Ontario and Ontario municipalities in the protection and conservation of the Great Lakes Basin Ecosystem.

•To establish mechanisms to discuss and pursue common objectives and address issues of concern to municipalities and Ontario related to the protection and

conservation of the Great Lakes Basin Ecosystem.

3. COMMITMENTS OF THE PARTIES

Commitments of Ontario

•Ontario will work with the GLSLCI to develop appropriate mechanisms for engaging with the Ontario members of the GLSLCI, as well as the broader

Ontario municipal sector, on issues pertaining to the protection and conservation of the Great Lakes Basin Ecosystem, and more specifically COA and/or

successor agreements, particularly on issues of municipal interest and

responsibility.

•When appropriate, Ontario will involve and inform the GLSLCI on future plans and approaches to protecting the Great Lakes Basin Ecosystem through COA.

•Ontario will receive, and take into consideration, information, advice and recommendations from the Ontario members of GLSLCI and the broader

municipal sector on the protection and conservation of the Great Lakes Basin

Ecosystem under COA on issues of municipal interest and responsibility.

•Ontario will explore additional areas of cooperation with GLSLCI that are of interest to the Parties.

Commitments of GLSLCI

•GLSLCI will work with Ontario to develop appropriate mechanisms for engaging with the Ontario members of the GLSLCI, as well as the broader

Ontario municipal sector, on issues pertaining to the protection and conservation of the Great Lakes Basin Ecosystem, and more specifically COA and/or

successor agreements, particularly on issues of municipal interest and

responsibility.

•GLSLCI will accurately represent and voice the interests of its Ontario members to Ontario.

•GLSLCI will engage its members, and where possible the broader municipal sector, with Ontario in sharing information, advice and recommendations on the protection and conservation of the Great Lakes Basin Ecosystem under COA on issues of municipal interest and responsibility.

•GLSLCI will explore additional areas of cooperation with Ontario that are of interest to the Parties.

4. IMPLEMENTATION OF MOC

The GLSLCI will establish a working group made up of the Ontario members of the GLSLCI and the broader Ontario municipal sector to collaborate on the implementation of this MOC.

The Parties will work together to organize a meeting to discuss the implementation of the commitments under this MOC.

For certainty, nothing within this MOC creates any funding obligations for any of the Parties.

5. TERMS OF MOC

The MOC takes effect on the day that it is signed by all Parties and expires on March 31, 2010.

At the end of the term, the MOC may be renewed with the concurrence of all Parties.

6. MEASURES AND OBLIGATIONS

Nothing in this MOC precludes any of the Parties from exercising any measures and satisfying any obligations prescribed under the laws of their respective jurisdiction.

7. AMENDMENTS

The MOC may be amended in writing with the consent of all Parties.

8. TERMINATION

Any of the Parties can terminate their participation in this MOC upon 30 days written notice to all of the signatories.

9. NOT LEGALLY BINDING

This MOC does not create binding obligations among the Parties.

THIS MEMORANDUM IS EFFECTIVE THE 17TH DAY OF JULY, 2008
