7. Market Report

为使甲方充分了解现行市场情况，乙方应至少每季度一次或在必要时随时向甲方提供市场报告， 内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。

In order to keep Party A well informed of the prevailing market conditions, Party B shall supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the Commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply Party A with quotations and advertising materials on similar products of other suppliers.

Party B may use the trade-marks owned by Party A for the sale of the Commodity covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or 2

embodied in the Commodity shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.

11. Validity of Agreement

11. 不可抗力

13. Force Majeure

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relevant party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter shall send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

因凡因本合同引起的或与本合同有关的任何争议，双方应首先尝试友好协商解决。如果一方向另一方发出协商通知之日起三十日内，争议仍未得到解决，则应将争议提交中国国际经济贸易仲裁委员会上海分会，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。

Any dispute arising from or in connection with this agreement shall first be attempted to be resolved through discussions and consultations between the Parties in good faith. If the dispute remains unresolved upon expiration of 30 days after written notice has been sent by one Party to the other Party, the dispute shall 3

be submitted to China International Economic and Trade Arbitration Commission, Shanghai Sub-Commission for arbitration, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both Parties.

This agreement is made in both Chinese. In the event of any discrepancy between the two versions, the Chinese version shall prevail.

Market Report

In order to keep Party A well informed of the prevailing market 4

conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. 10. 广告及费用

Advertising and Expenses

根据乙方的销售活动和市场运作活动计划甲方有义务向乙方提供广告支持，包括提供样本，宣传册，电子版样本和大型的广告图画等。乙方负担本协议有效期内在上述区域内销售代理商品做广告宣传的一切费用，并向甲方提交所用于广告的声像资料，供甲方事先核准。 Concerned advertisement material for party B including supplying catalogues, leaflets, documents and big advertisement pictures.

11.技术支持和培训条款：

Technology support and training terms:

11.1 技术资料支持：甲方应向乙方提供较为详细和精准的图册和电子版。

Technical Support: party A provides party B a more detail and accurate books and electronic components.

11.2 技术培训：甲方有对乙方售后技术人员来国内进行维修技术培训的义务。

Technical training： party A has the obligations to train party B’s after-sale technical personnel.

12. 工业产权

Industrial Property Rights

12.1 在本协议有效期内，为销售有关产品，乙方可以使用甲方拥有的商标，并承认使用于或包含于产品中的任何专利商标、版权或其他工业产权为甲方独家拥有。 一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。

Party B may use the trade-marks owned by Party A for the sale of the product covered herein within the validity of this 6

agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the product shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.

12.2 乙方不得申请注册附件一所列商标或者申请与其商标相同或相似的商标。未经甲方专门允许的情况下，乙方在任何时候都不得表述其拥有商标的权利和商标所有权。乙方必须同意不作出任何损害商标权利或所有权的行为或事件。

Party B shall not apply for the registration of the trademarks in Annex Ⅰor cause to be done so in whole or in part or other trademarks similar thereto with respect to the products or any other products in territory. Party B shall not represent at any time that it has any right or title in and to the Trademarks except as otherwise specifically provided for herein and shall agree not to do or cause to be done any act or thing which may in any way impair the right or title of the Trademarks.

13. 协议有效期

Validity of Agreement

13.1 协议生效:此协议自有关当事人签署之日起生效。

Effectivity of sole agent agreement: the sole agent agreement will come into force upon duly signatures of the concerted parties.

During the validity of this agreement, if party B is found to have violated the stipulations herein, party A has the right to terminate this agreement.

14. 不可抗力

Force Majeure

由于水灾、火灾、 地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一 方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. This agreement is enforceable in China court of laws and regulations. Incase any disputes, firstly both parties shall discuss for the settlement friendly. If can not reach agreement, shall be submitted to Tianjin International Economic and Financial Arbitration Center of the China International Economic and Trade Arbitration Commission, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

此协议一式两份，在双方签字盖章后，甲乙双方各执一份。其他未尽事宜，双方可以进行协商签订附件。附件具有同本协议同等的法律效力。该协议及其附件中有中英文两个版本构成，两种版本具有同等法律效力。本协议及其以后签订的附件的传真以及扫描件和协议正本原件具有同等法律效力。

The Agreement is in duplicate and each party held one copy. Other issues shall be negotiated and signed as the attachment of the agreement. And all the attachments of this Agreement have the same legal force with this Agreement. The Agreement has both 10

Chinese and English versions and the both versions have the same legal force. Any kinds of copy(faxed or scanned copy) of this Agreement and its attachments which to be signed will have the same legal force as the original copy.
