Notice of Annual Meeting of Shareholders

The Annual Meeting of Shareholders of the Beijing New Oriental Group will be held at the St. Regis Hotel, 1 Jiangguomenwai Street, in Beijing, on Monday, February 13, 20xx, at 10:00 am, for the following purposes:

1）To elect a full board of 8 directors of the Group;

2）To consider and act upon the appointment of independent auditors for 20xx;

3）To transact such other business as may properly come before the meeting.
