甲乙双方遵循合法、公平、平等自愿、协商一致、诚实信用的原则，签订本合同，共同遵守本合同所列条款。

一、甲方以人民币（大写）_____ 元(? 元)购买乙方QQ账号____________及其所有附属服务。

二、乙方有义务向甲方提供该账号所有与安全有关的资料信息。

三、账号安全时间约定为半年，若在交易半年时间内，账号出现被盗或者找回问题，甲方有权要求 乙方协助解决。

四、若在账号约定时间内出现问题，乙方又不愿协助甲方解决的，甲方有权视做是乙方本人恶意找 回，甲方要求退还钱款。

五、若出现如第四条所述情况，甲方将向司法需求帮助。

六、超出安全时间账号出现任何问题与乙方无关，甲方负全责任。

第二篇：交易合作协议

一、交易总额：500万亿美元。 Total amount: USD

二、交易条件：Terms and conditions:

甲乙双方100%交易同时，甲方同意额外支付15%的奖金，甲方封闭1%，乙方9%（含境内境外顾问协调汇1%）,甲乙双方中介费各2.5%。(详情见分流表) Party A provides extra % as bonus of the transaction amount. Party B %, both party intermediary each % ( details reference to IMFPA)

三、操作程序：Procedure

1、甲乙双方签订本交易合作协议。

Both Party sign this transaction agreement.

2、甲方在乙方陪同下，双方在约定的时间共同进入香港汇丰银行总行营业柜台，甲方当场填写当日兑换数额100%美元转款兑换单（兑换等值欧元）直接交付柜台，当场由柜台工作人员将甲方首单兑换的欧元转划至甲方在汇丰银行帐户。乙方将兑换的欧元交付给同行账户，由双方银行官员进行具体操作，当场支付给各方并按分流表支付给各受益人。（以港币支付），该笔业务结束。 Both party meet at the counter of HSBC HK head office in agreed time.

Party A sign the wire transfer documents in USD equal to the same amount Euro in amount of the first tranche and provide to counter bank officer, bank officer will transfer the Euro into Party A’s bank account immediately. Once receipt the Euro, Party A should be pay the bonus to all the parties according to IMFPA. First tranche is finished.

四、双方责任 Both parties responsibility ：

１、甲方提供的美元资金，必须保证是合法、清洁、完税、可自由使用、在香港落地的可查询的移动资金。

Party A provide the US funds which is legal earned, clean, after tax, freely, landing money in HK , can be verified funds.

2、乙方提供的欧元资金，必须保证是合法、清洁、完税、可使用的贸易款、可查询的移动资金。

Party B provide Euro funds which is legal trading earned, clean , after tax, freely, can be verified funds.

五、违约责任：Liability for breach of contract:

双方在银行同台交割时，如甲方资金不实或资金不足, 不能进行欧元兑换, 属甲方违约。如甲方已填好转款兑换单后而由於乙方原因, 导致甲方不能当场同台兑换,属乙方违约。双方任何一方未能执行本协议或未能按双方约定时间共同进入香港汇丰银行营业部柜台, 均属违约。 违约方需向守约方支付按本协议交易总额的1%违约金。并承担相应的经济损失。

Both parties do the transaction at the counter of bank, if Party A couldn’t provide enough funds to transaction or Party A finish to fill out the wire transfer documents but Party B couldn’t follow up, the default party should be pay 1% of transaction amount to another party as liquidated damages and undertake another party economic loss too if any.

六、保密与不可逾越：Confidential and Non-Circumvention

甲、乙双方同意在上述资金交易过程中，所有参与各方必须严格遵守不欺诈、不逾越、不泄密原则，并按国际商会巴黎公约（ICC500）规定的五年保密协议执行，违约方需承担由此引发的经济及法律责任。

Both Party agreed to during the transaction, all parties should be strict comply with Non-fraud, Non-Circumvention, Non-Disclosure rules, should be keep confidential 5 years according to ICC500. Any default party should be undertake another party economic loss if any.

七、本协议未尽事宜，由双方协商解决，如有补充协议皆为本合作协议不可分割的组成部分，具有同等法律效力。分流表经甲乙双方签字后，即作为本协议不可分割的组成部分具有同等法律效力。

Any supplement will be a part of this agreement which have the same legal validity. IMFPA is the part of this agreement.

八、本协议一式二份，甲乙双方各执一份，经双方签字后即生效。

This agreement in duplicate, both party each, once sign by both party then will be valid.
