奶牛场扩建项目可行性报告

第一章 总论

第一节 项目背景

为了积极响应XXXXX项目建设，统筹抓好当前XXXXX项目产品生产供应，进一步增加投入，稳定和增加郊区蔬菜种植面积，调动和保护农户的种养积极性，切实提高本地应季蔬菜以及乳制品的自给能力；城市人民政府要高度重视蔬菜以及乳制品批发和零售市场在保障居民消费中的重要作用，合理规划布局蔬菜以及乳制品批发市场、农贸市场和社区店，保障我市市场蔬菜和乳制品供应和保持蔬菜和乳制品价格基本稳定，特撰写此份关于XX市XXX乳业有限公司扩建项目的可行性分析。

第二节 项目建设的必要性和可行性

XX省目前奶牛养殖主要以分散小规模为主，奶产业因“三聚氰胺”事件的影响，呈现下滑趋势，特别是今年3月份全国乳制品企业审核清理，XX省约40%的乳制品厂关闭，以致奶源基地更需整合，统一标准进行规模化养殖。因此建设标准化奶牛养殖场对振兴XX奶业和保护奶农利益都是十分有必要的，符合国家产业政策。同时该项目的实施既符合国家乳制品生产环境及其它各项要求，又符合XX市政府大力倡导的生态环保社区支持农业（CSA）的发展需要。因此我市非常有必要发展规模化、标准化、专业化、产业化发展现代奶牛业。

第二章 项目产品及市场需求分析

第一节 项目产品

XX市XXX乳业有限公司于xxxx年7月成立，占地面积约150多亩，是目前xx唯一集牧草种植、奶牛养殖、乳制品生产与销售、特种有机蔬菜种植为一体的民营企业。公司远离喧闹繁杂的市区，位于XX市XX区XX镇xx村边，拥有天然的生态环境和良好的养殖条件，地理位置优越。现有职工xx人，拥有专业的兽医、化验人员、特种有机蔬菜种植技术人员；拥有布局合理、清洁卫生的奶牛养殖场；拥有一流的CIP消毒清洗系统、巴氏杀菌机及技术先进的乳制品生产、包装设备；拥有检测三聚氰胺、农药残留、重金属检测设备，从而确保牛奶和有机蔬菜的安全；拥有观赏性、实用性的蔬菜示范基地，以及大范围的特种蔬菜种植大棚；拥有完善的管理制度和生产管理组织体系。通过规模化的养种结合生产管理，生产出最天然新鲜、营养、安全的牛奶和有机蔬菜，并通过送奶员把牛奶和蔬菜配送到客户家中，完成了生产基地直接到餐桌的服务。

在奶牛的养殖方面：首先公司精选了xx的优质荷斯坦黑白花奶牛。其次有充足的牧草饲料，奶牛每日的饲料主要是以牧草为主、精饲料为辅。由于奶牛食量大，公司种植了部分牧草，还收购周边农民的大量的玉米秸秆和干稻草，变废为宝，让农民增加了收入；在采购精饲料方面做到定点采购、检测，确保饲料安全。第三在卫生方面，牛奶是直接饮用或深加工的食品，因此每次挤奶前后都要认真清洗消毒奶头、奶桶和挤奶器，保证奶牛和牛奶的卫生。第四在奶牛的保健护理方面，以预防为主，积极主动配合畜牧局做好疫病防治工作。最后，把奶牛产生的粪便通过发酵等方法处理，用于有机蔬菜的种植。

目前公司已经形成了“牧草种植—奶牛养殖—乳制品生产销售—牛粪还田种植有机蔬菜—带动农户发展”的一套绿色环保经济链。20##年在XX区农业局的大力扶持下，带动周边60多户农户发展种植蔬菜，形成了“公司+基地+合作社+农户”的经济模式，结合牛奶销售网点把绿色环保的有机蔬菜配送到市民家中，让市民足不出户就能吃上安全、新鲜、优质的有机蔬菜。

第二节 市场供求分析及预测

牛乳是一种营养价值很高的全能食品，是哺乳婴儿和老弱病人的必备食品。它在人类营养中的重要地位，以被我国越来越多的消费者所认识。国家农业部、中宣部、财政部和教育部等十个部委联合推出了让2亿中小学生每天喝一杯牛奶的跨世纪系列工程“学生餐用牛奶计划”。由于国家有关部委有计划地推动牛奶消费活动，举办全国性的营养论坛和引导消费学术研讨会议，在全国特别是大中城市，举办有关的牛奶宣传月和宣传周活动。使广大消费者认识到牛奶对人的身体、对一个民族的重大意义，大大促进了我国养牛业、乳品加工业和乳品消费市场的快速发展。而且一种养殖、加工和消费互相促进共同发展的良性循环态势已在全国形成。按上述的发展速度我国目前年人均奶制品消费是6.5公斤，而东南亚和港澳地区是36公斤，国际平均消费是100公斤，可见中国的市场潜力之大。

有机蔬菜随着社会的发展和科学技术的进步，人类的环保和健康意识不断增强，以其安全、健康、优质、天然、营养的特点，在国内、国际市场上受到广大消费者的信赖和欢迎，越来越多的有机蔬菜出现在了老百姓的餐桌上，市场前景被广泛看好。“有机消费”已成为世界总体消费的大趋势，全球经济与环境的互动正在积极推动我国有机食品产业的发展。

第三章 项目建设总体方案

第一节 项目建设目标

新增良种奶牛30头，每年可增加生鲜奶150吨以上，牛粪有机肥增加300吨以上，沼气池可对粪污进行无害化处理，所生产的沼气用于照明和小区生活燃气，从而达到节约能源和节约开支，增加收益。

另一方面，沼液和牛粪等有机肥可扩大有机蔬菜种植规模，真正实现生态循环农业。该项目的实施每年可增加产值300万元，年净利润可达70万元。

第二节 项目承担单位基本情况

本公司是XX市唯一集牧草种植、奶牛饲养、乳制品加工、销售、利用牛粪种植有机蔬菜为一体的区现代农业示范企业。20##年3月在全国乳制品企业审核清理中符合国家产业政策要求，再次获得QS证书，即《全国工业产品生产许可证》。

目前该场现有职工25人，其中专职兽医2人，专业技术人员5人，中级以上职称2人。

第三节 项目地点选择分析

公司奶牛养殖场设在XX省XX市XX区XX镇xx村委xx村xx坑，位于XX市北边，距离市区xx里，交通、通讯、水、电十分便利，距离农户村庄2公里多，依山靠河，具有良好的生态环境，防疫条件十分理想，非常适合发展养殖业。

第四节 项目建设内容

1.土建工程（包括牛舍改扩建、粪污处理等）

项目建设场在山坡荒地上，不占用可耕作用地，土建工程采用砖混结构，牛栏采用双列式钢管围栏，牧草地采用二通一平形式：路通、水肥通、土地平整。

标准牛栏：总长700米，宽10米（双列），牛位之间间隔1.2米；

牧草地：平整山地30亩，并全部种植优质牧草。

青贮池：500立方米；

路面平整铺设：1000米，建排水沟渠1500米，铺设喷灌供水管道：2000米，铺设输送沼液管道：1500米，新增一口蓄污池（储存沼液）。

第五节 项目工艺技术方案

1.品种选择

从外地标准规模奶牛场引进良种荷斯坦黑白花高产奶牛30头。

2.规划方案的选择

进行奶牛场的平面设计时，首先要以《奶牛场建设标准》（DB37/T308—2002）为依据，再结合现有场地的地理位置情况进行合理布局，然后再进行平面设计。

3.工艺选择及工艺设计

奶牛采用双列式饲养，一栋牛舍可饲养100头成年奶牛；

奶牛繁殖采用人工受精的方式，以确保品种优良；

奶牛挤奶采用移动式挤奶机挤奶，确保生鲜奶优质（菌落总数小于1×10 5CFU/mL），提高劳动效率。

奶饲养采用无公害饲养管理技术和工艺流程：

第四章 项目建设资金概算

第一节 项目建设资金估算

1.总投资概算：200万元

总投资200万元：其中牛舍700m2：45万元；500m3青贮池：8万元；牧草地二通一平共30亩：12万元；购30头良种奶牛：50万元；配套工程投资料：54万元；路面、水沟：15万元；工程建设其它费用：8万元；基本预备费用：8万元。

第五章 项目效益分析

第一节 社会效益

该项目实施后不仅可增加市场鲜奶制品的供应量，让更多的消费者享受饮用鲜奶带来的健康和快乐，而且在发展生态循环农业方面影响更加深远，奶牛的粪污经无害化处理后，用于种植有机蔬菜，能形成“牧草种植——奶牛饲养——乳制品加工、销售——牛粪还田种植牧草和有机蔬菜”的一套绿色环保经济链，公司还可充分发挥牛奶销售网络的作用，把安全、优质的有机蔬菜和鲜奶一起配送到市民家中，极大方便消费者。

第二节 生产效益

该项目实施后每年可增加生鲜奶150吨以上，牛粪有机肥可增加300吨以上，经沼气池或生物发酵等无害化处理，可改良山地50亩，用于种植有机蔬菜，沼气可用于照明和生活燃气，达到节能减排的作用。因此该项目的实施每年可增加产值300万元，实现利润70万元。

第六章 结论

XX市XXX乳业有限公司扩建项目,经过可行性研究报告的充分论证，认为本项目的建设是可行的，产品市场广阔，建设规模和产品方案合理，厂址状况良好，建厂条件优越，原材料供应有保证，工艺技术先进，水电汽等公用工程的辅助设计配套合理，仓储运输等可利用原有设施或社会力量。本项目同时也符合环境保护政策法规。项目管理严谨并适合国情，企业有进取精神，投资估算准确，资金筹措落实，经济分析表明经济效益较好，各项收益较高。

总之，本项目在经济效益、社会效益、环境效益各方面均较好。望各级主管部门尽快批复，建设单位及早实施，尽快将各项效益变为实际。

Payer and Payee agree that the compensation is in consideration of service rendered by the Payee, for himself and on behalf of unnamed intermediaries, in connection with the successful conclusion of the contemplated transaction, and represent payment in full for all services rendered by the Payee, and unnamed intermediaries. Payee warrants to the Payer that Payee has full authority to receive the compensation moneys on behalf of said unnamed intermediaries, and agrees to hold the Payer harmless against any and all claims that may be made now or in the future by any of said unnamed intermediaries. Simultaneously, Payer warrants to Payee that Payer has full authority to paid said compensation moneys.

Payer and Payee agree that the payable funds from the Payer’s account are to be clean, cleared, unencumbered and legally earned or obtained and of non-criminal origin, free and clear of all liens and encumbrances, without delay or deduction, free from any attachment and/or change in direction without the written consent of the Payee. Any costs related to the transaction such as Closing and/or transaction costs have no bearing on the said agreed amount per metric ton due the Payee.

Payer and Payee agree that upon each and every shipment, Payer’s bank shall without delay and protest, transfer the commission/compensation moneys(USD     /MT multiply by each shipment’s quantity) via swift wire in the form of cash into the Payee’s bank account simultaneously as the bank make payment draw down by Seller on each shipment.
付款人保证在每次的佣金支付期, 当付款人的银行收到买方的货款后 , 付款人的银行不得延迟和拒绝支付佣金, (USD       /MT乘每船的装船重量).

The Payer and The Payee agree that value of commission is confidential information and can’t be disclosed to other entities than this agreement signatory, his representatives and can be only disclosure by the way required for make herein named payment of commission.
佣金的金额是商业秘密, 付款人和收款人不得向第三方披露.支付佣金时需要向有关银行披露的除外.

The Payer shall sign a Corporate Performance Bond in the amount of USD $ ____________  American Dollars with a validity of 52(fifty-two weeks) + 3 months in case of delays.  The Performance Bond will be the acting instrument immediately from date of reception of the first payment (agreed as the first L/C) received from the buyer’s bank when the Payer's bank will issue a SBLC naming the payee as the beneficiary in the amount of the performance bond.

After the Payer received the Letter of Credit from the buyer, the Payer shall fax the L/C number to the Payee.  This faxed original is part of the agreement and to be considered as legal and binding as if they were original.
付款人收到买方的L/C后，应将该L/C的号码传真予收款人确认，该L/C号码传真件作为本协议的附件，与本协议具有相同效力。

Any assignee or legal successor to either party shall assume all obligations and benefits of the contract.

5. AGREEMENT ARBITRATION: 协议仲裁:
This agreement shall be governed by the enforceable law in Singapore Courts, Australian Courts, Canada Courts, USA Courts, UK Courts, India Courts, Polish Courts, or under Swiss law in Zurich, Hong Kong Courts.  In the event of dispute, the Rules of conciliation and arbitration of the international chamber by one or more arbitrators designed in accordance to said rules is applied.  The signing parties hereby accept such selected jurisdiction as the exclusive venue.

6. CHANGES: 修改
Any changes of terms relating to this agreement must be done in a written form, and agreed upon by both parties.
现行协议条款的修改必须经协议双方授权人书面签字方能生效。

7. EXECUTION OF AGREEMENT: 协议的履行:
Each of the parties to this agreement represents that it has full legal authority to execute this agreement and that each party is to be bound by the terms and conditions as set forth herein. EXECUTION and DELIVERY of this Agreement by and between the undersigned constitutes and shall be construed by any/or all parties to be an IRREVOCABLE OFFER.

8. SPECIAL CLAUSE:特别约定
This agreement has been drawn up in  three identical copies, of which one copy for each party. This facsimile agreement will remain enforceable after the hard copy agreement is exchanged. Faxed originals are to be considered as legal and binding as if they were original. This facsimile agreement shall be deemed as invalid until signed by both parties. This Agreement is part of an entire contract (sale agreement) to be executed and incorporated by reference into this Agreement. Each party agrees that agreement may be executed simultaneously by and between the parties via fax or facsimile transmission, each of which shall be deemed as original nature.
本协议一式三份，每方各执一份。 传真件经过交换并经各方签署后，作为原买卖合同的一部分，与原件具有同等法律效力。

9. IMPLEMENTATION:履行:
Whilst signature on this agreement certifies the intention of both parties to the agreement, the terms of this agreement shall become binding upon both parties only at such time as the following have been complied with, in writing.
