双方在遵守中华人民共和国法律、法规的前提下,本着本等互利的原则,就来料加工__________进行了充分协商,一致达成如下合同条款:

一、双方责任

1.甲方责任:

(1)提供有上盖之厂房________平方米,无上盖场地________平方米,工厂管理人员________名,生产工人________名、开业后________月增至________名。在合同期内代乙方加工生产上述产品,加工成品后交回乙方复出。

(2)提供现有水、电设备供加工生产之用,如需新安装水、电设施,其费用由乙方支付。

(3)办理来料加工、装配有关业务的进出口手续及对工厂实行行政、财务等管理,不得把工作以任何形式承包给任何单位和个人经营。

2.乙方责任:

(1)不作价提供加工上述产品及装修厂房和建造________平方米简易厂房所需的设备材料(详见清单),分多批运抵甲方工厂,设备总值约________万元。

(2)不作价提供加工上述产品所需的原料、辅料和包装物料,具体数量、规格在各份具体生产加工合同中订明。

(3)工人如因工作不力(含工厂管理人员),经教育无效者,乙方有权向甲方提出调换,但禁止非法搜查甲方工厂工人的身体。

二、加工数量

第一年加工上述产品,加工费约_____万元,从第二年开始的产量,应在前一年的基础上有所增加,具体数量应在生产合同中订明。

三、作价原则和工缴费

1.试产(培训)期为二个月,在试产期内,工人每人每月工缴费暂定为_____元,每月工作_____日,每天_____小时。

2.试产期满后,采取按件计算方式,在坚持互利原则的基础上、双方应根据加工的品种、规格、款式和工艺繁简不同进行定价,并在生产加工合同中订明为确保工人的合理收入,工缴费平均每人每月不低于_____元。需要加班时,加班费另计,但每个工人每天加班时间最长不得超过_____小时。

3.甲方工人生产消耗的水、电费由乙方负责。

五、来料和交货期

1.乙方按生产合同的加工量,按月提供足够数量的原辅材料和包装物料。为使甲方工厂能正常生产,乙方必须在每批产品开始加工前____天,将所需的原材料和包装物料运抵甲方工厂。除因人力不可抗拒之原因外,乙方来料不足,造成甲方工厂每月生产不足_____天, 2

2.为使乙方能开展正常的业务活动,甲方应向乙方按商定的交货期,按时、按质、按量交货。如非人力不可抗拒原因,甲方不按时、按质、按量交货,造成乙方的经济损失,甲方应负赔偿之责任,赔偿数额可在具体的生产加工合同中订明。

3.由乙方提供的机械、通风、照明等设备及原辅材料、包装物料,在甲方工厂由双方进行交收登记,建立帐册。甲方工厂加工后的成品,在甲方工厂经乙方验收起运后,甲方不负产品规格、质量、短缺等任何责任。

六、结汇形式

工缴费及工人管理费每月结算一次,以D/P即期结汇或支票方式结汇,由甲方工厂会同(____政府授权的处理来料加工事务并具有外贸经营权的)_______贸易公司(下称授权贸易公司)开具#5@p后,通过中国银行(深圳分行)向乙方在香港开户的银行(____银行。帐号_____)办理。乙方超过_____天仍未付款给甲方,则按逾期天数,以当时香港银行利息一并付给甲方。乙方连续_____个月不结汇,甲方有权采取停止出货或其它措施。

七、劳动保护及运输与保险

1.工厂应做好劳动保护及安全工作,完善防尘、防烟、防毒设施,厂房保持通风光亮,内外环境卫生整洁,对有污染性项目,须经市环保部门批准,方能立项经营。

2.乙方提供的机械、通风、照明设备、原辅材料、包装物件及甲方工厂加工后的成品运输费用,均由乙方负责。

3.原辅材料、包装物料的运进,成品运出及加工期间存放的机械设备、原料和包装物料及操作机械的工人,均由乙方向_____保险公司投保。

八、技术交流

在设备运抵甲方工厂后,乙方应尽快派出人员进行安装,甲方派出人员进行协助。从试产期开始,乙方应派出技术人员到甲方工厂进行技术培训,直到工人能基本掌握生产技术,进行正常生产时为止。乙方技术人员的工资及一切费用由 乙方负责,甲方提供生活上的方便。

九、合同期限

本合同经批准签订后,乙方须将商业登记及银行资信证明书交甲方办理营业 执照经海关备案生效。有效期为_____年,即从____年___月___ 日至____年__月__日。如要提前终止或延长本合同,须在三个月前通知对方,并经双方协商处理终止或延长合同事宜。某方单独提前终止合同,要负责补偿对方的经济损失。补偿的办法,根据终止合同前半年内的每月平均工缴费为准,补偿两个月的工缴费总额给对方。

合同期满后,不动资产(如厂房、宿舍)归甲方所有,由乙方不作价提供的可动产(如机械、车辆、通风设备)归乙方所有,并按海关和有关规定及时办理核销手续。

双方同意,在本合同经批准签订后_____天内,乙方向甲方预付_____元,作为履约保证金,从甲方收到履约金之日起_____个月内,乙方仍不投产开业,履约保证金即无条件归甲方所有,同时,甲方有权废约。如乙方能按时投产开业,该履约保证金可作工缴费抵付给甲方。

十、仲裁

凡因本合同引起的或与本合同有关(包括任一生产加工合同)的任何争议,应通过友好协商解决,协商不能解决,均应提交中国国际经济贸易仲裁委员会深圳分会,按照申请仲裁时该会施行有效的仲裁规则进行仲裁。仲裁裁决是终局的,对双方均有约束力。

十一、语言

本合同以英文和中文书就,两种文本具有同等效力。但在对其解释产生异议时,以中文文本为准。

十二、合同的份数和修订

本合同正本一式五份,甲、乙双方、海关、车管所、政府授权的处理来料加工事务并有外贸经营权的_____公司各一份,副本若干份,均具有同等效力。

Party A and Party B, according to the laws and policies of the People's Republic of China and the relevant regulations and the principles of equality and mutual benefit, have held discussions relating to the processing and assembling of (plastic toy products) and have reached agreement on the following contractual clauses:

1. Responsibilities

(1)Responsibilities of Party A

1) Party A shall provide factory space consisting of _____ square metres, field of _____ square metres without covering, _____ factory management person and _____ workers for the first phase. The number of workers shall be increased to _____ twelve months after operation. Within the Contract term, Party A shall process the products for party B which shall be re-exproted to _____.

2) The water supply and utility equipment required for processing shall be provided by Party A. If additional installations of water and electric facilities are required, the expenses thereof shall be borne by Party B.

3) Party A shall arrange all the necessary import and export approvals required for processing and assembly and provide administration and accounting management for the processing plant. Party A cannot assign Party A's responsibilities to any other party or individual in any way.

(2) Responsibilities of Party B

1) To provide the equipment with the total value of _____.

2) To provide the raw materials, indirect materials and packaging materials for processing the products. Quantities and specifications are to be specified in separate processing contracts.

3) In the event any personnel, including management shows substandard performance and makes no improvement after retraining, Party B shall have the right to request Party A to replace such persons. However, any physical search of the workers shall be regarded as illegal and prohibited.

2. Quantity of Products

During the first year, the total processing fee shall amount to _____. From the second year, the quantity shall be increased. Details shall be specified in separate processing contracts.

3. Price & Salary

(1) The trial production (including training) period shall be _____. During such period, the workers shall be paid _____ per month on the basis of _____ working days per month and _____ working hours per day.

(2) After the trial production period, the worker's payment shall be calculated according to actual production quantities. On the basis of mutual benefit, both parties shall consider the processing fee, which shall be specified in separate processing contracts, according to different kinds of products, specifications, styles and engineering procedures. In order to ensure the reasonable income of the workers, the worker's monthly salary shall be maintained no lower than _____. If overtime work is required, payment shall be calculated separately. However, overtime shall not exceed _____ hours a day.

(3) Expenses for water and electricity in Party A's plant shall be borne by Party B.

(4) Every month Party B shall pay _____ to Party A for management expenses.

4. Proportion Products Damaged

(1) During the trial production period, Party B shall absorb the cost of products damaged.

(2) After the trial production period, the proportion of damaged products shall be mutually considered and decided by both parties and specified in separate processing contracts.

5. Shipment of Raw Materials & Finished Products

(1) Every month, Party B shall provide sufficient raw materials and packaging materials according to the contracted processing volume. To ensure the normal production of Party A's plant, Party B shall ship such materials to the plant_____ days before the production of each lot of products. Except for reason of force majeure, the plant shall operate for more than _____ days in a 6

month. In case production is held up for _____ days to insufficient supply of raw materials, Party

B shall calculate the actual days when production is shut down and pay to Party A the workers' living expenses at the rate of _____ per person per day.

(2) To ensure the normal operation of Party B's business activities, Party A shall deliver the finished products to Party B in accordance with the time of delivery, quality and quantity. Except for reason of force majeure, in case losses to Party B are caused due to Party A's failure to make delivery as mentioned above, Party A shall be responsible for the compensation. Details of such compensation shall be mutually agreed upon in separate processing contracts.

(3) Both parties shall mutually inspect and document the equipment and materials provided by Party B, such as machinery, ventilation and lighting equipment and raw materials. After the finished products are inspected and shipped from the plant by Party B, Party A shall be free of any responsibility in regard to specifications, quality and quantity, etc.

6. Method of Payment

Payment of workers' salary and management fee shall be settled once a month by D/P, which shall be conducted through Bank of China _________Branch by Party B's bank in _____ (_____Bank, Account NO.______) in accordance with the invoices issued by Party A and a Trade Company (authorized by the local government to be in charge of affairs of processing and assembly and with foreign trade authority, hereinafter referred to as the Authorized Trade Company). In case Party B's payment is delayed for _____ days, Party B shall be responsible for the interest incurred according to the bank's interest rate; in case payment is not settled for _____ consecutive months, Party A shall have the right to suspend delivery of the finished products or take other measures.

7. Labour Protection & Insurance

(1) The plant shall take safety measures and protect the workers from dirt, smoke and poisonous materials. The factory shall be maintained ventilated and bright, and the surroundings clean and tidy.

(2) The transportation expenses for the machinery, ventilation and lighting equipment, raw materials, indirect materials, packaging materials and the finished products shall be paid for by Party B.

(3) All insurance for the transportation and storage of the above materials, machinery and equipment and coverage of the workers operating the machinery shall be arranged through the _____ Insurance Company of.

8. Technical Exchange

After the arrival of the equipment in the plant, Party B shall dispatch personnel to install 7

such equipment, while Party A shall arrange personnel to assist the installation. When the trial production begins, Party B shall provide technical personnel to carry out the training until the workers have mastered the technology and the production operates normally. Party B shall be responsible for the technical personnel's salary and all related expenses, and Party A shall provide daily necessities.

9. Contract Term

After this contract is signed and approved, Party B shall present to Party A its Commercial Registration and Bank Credit Certificate for Party A to arrange business licence and Customs Registration. The term of this contract shall be three years, e.g. from______ to________. If either party wishes to terminate in advance or extend the contract, the responsible party shall inform the other party three months in advance so that both parties can discuss and settle such a termination or extension. If either party terminates the contact before the term expires, the responsible party shall compensate the other party for the losses in such case, the responsible party shall pay the other party as compensation the amount of _____ times the monthly processing fee. The fee will be based on the average monthly fee of the previous _____ months.

After the contract term expires, the real estate such as the factory building and dormitory building shall return to Party A and the machinery and equipment delivered by Party b shall be returned to Party B. Customs clearance procedures shall be gone through according to relevant regulations.

Both parties agree that, within _____ days after the contract is signed and approved, Party B shall pay Party A the amount of _____ as its guarantee to carry out the contract. If, within _____ months after Party A's receipt of such amount, Party B still cannot arrange to start production, the amount shall be forfeited to Party A unconditionally and Party A shall have the right to cancel the contract. If Party B can start production on time, the amount will be deducted from the processing fee.

10. Arbitration

Any dispute arising from or in connection with this Contract (and including all the separate processing contracts) shall be settled through amicable negotiation. Should no settlement be reached through negotiation, the case shall then be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) ,Shenzhen Commission for arbitration that shall be conducted in Shenzhen in accordance with the CIETAC's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon parties.

11. Language

The present contract is drawn in Chinese and English as well, both texts being equally authentic. In case of any divergence of interpretation, the Chinese text shall prevail.

12. Amendment and Copies

第一条 贸易内容

第二条 支付条件与方式

由甲乙双方对开信用证,即由甲方分期开出以乙方为受益人的远期信用证,分期、分批支付全部机械设备的价款;乙方开出以甲方为受益人的即期信用证,支付补偿商品的货款。甲方用乙方支付补偿商品的货款来支付全部机械设备的价款。当乙方支付的货款不能相抵甲方所开的远期信用证之金额时,其差额部分由乙方用预付货款方式,在甲方所开的远期信用证到期前汇付甲方,以使甲方能按时议付所开的远期信用证。甲方所开的远期信用证的按期付款,是基于乙方按规定开出限期信用证及按规定预付货款。乙方保证按规定开出信用证及预付货款。

第三条 偿付期限

甲方用_____年_____个月,分月用商品偿付全部机械设备的价款。偿还日期自第一批机械设备到货后约______个月后开始,原则上每月偿还的金额是全部机械设备价款的____分之____。甲方可以提前偿还,但需在____个月前通知乙方。

第四条 计价货币和作价标准

第七条 附加设备

第八条 保险

设备进口以后由乙方投保。设备所有权在付清货款后发生转移,之后,如发生意外,损失先由保险公司向投保人赔付,再按比例退回甲方已支付的设备货款。

第九条 违约责任

乙方不按合同规定购买补偿商品或甲方不按合同规定提供商品时,均应按合同条款承担违约责任,赔偿由此造成的经济损失,并向对方支付该项货款总值的____%的罚款。

第十条 履约责任

为保证合同条款的有效履行,双方分别向对方提供由各自一方银行出具的保函予以保证。甲方的担保银行为_______国________银行,乙方的担保银行为_______国________银行。

第十一条 合同条款的变更

本合同内容如遇特殊情况需要变更,须经双方协商一致。

第十二条 不可抗力

由于人力不可抗拒的原因,致使一方或双方不能履行合同之有关条款,应及时向对方通报情况,在取得合法机关的有效证明之后,允许延期履行或不履行有关合同义务,并可根据情况部分或全部免除违约责任。

第十三条 仲 裁

凡因本合同引起的或与本合同有关的任何争议,均应提交中国国际经济贸易仲裁委员会深圳分会,按照申请仲裁时该会现行有效的仲裁规则进行仲裁,仲裁裁决是终局的,对双方均有约束力。仲裁适用中华人民共和国法律。

除非另有规定,仲裁不得影响合同双方继续履行合同所规定的义务。

第十四条 文字、生效

WITNESSETH

Whereas Party B has machines and equipment, which are now used in Party B's manufacturing of _______, and is willing to sell to Party A the machines and equipment; and

Whereas Party B agrees to buy the products, _______, made by Party A using the machines and equipment Party B supplies, in compensation for the price of the machines and equipment, and

Whereas Party A agrees to purchase from Party B the machines and equipment, and

Whereas Party A agrees to sell to Party B the products, _______, in compensation of the price of Party B's machines and equipment; Now therefore, in consideration of the premises and covenants described hereinafter, Party A and Party B agree a follows:

ARTICLE 1 TRANSACTIONS

A) Party B agrees to provide Party A with _________ machines to be used in production, their auxiliary machinery, accessories and spare parts and a variety of measuring and testing instruments required in the process of production. The details of the models, names, specifications,quantity, prices, packing, delivery , etc. thereof shall be specified in an additional equipment-import agreement to be concluded by and between both parties which shall serve as an component part hereof.

B) The total value of the machines, auxiliary equipment, etc. supplied by part B shall be paid off by Party A with part of the manufactures made therewith and/or other goods, or with(designate name)products made in (Name of the plant)if both parties agree. The specific name(s), quantity, price, delivery, etc. of the goods granted as the make-up payment shall be decided in an additional compensation goods-supply agreement made by the parties which shall serve as a component part hereof. The equipment-import agreement and compensation-goods-supply agreement aforesaid may be merged as one called sales agreement on compensation trade(See appendix).

ARTICLE 2 PAYMENT

Both parties agree to open letters of credit in favor of each other, i.e. Party A will open, at regular intervals, long term letters of credit in favor of Party B to pay by installments the total cost of the machines and auxiliary equipment provided by Party B; whereas Party B will open sight letters of credit in favor of Party A to pay the products to be delivered by Party A. Party A shall pay for the total cost of the machines and auxiliary equipment with the money remitted by Party B as reimbursement for the products to be delivered by Party A. In case the sum to be paid by Party

B fails to cover the value of the long-term letters of credit opened by Party A, the difference shall be made up by Party B by paying that much to Party A in advance, before the long-term letters of credit are due, to enable Party A to reimburse on time the long-term letters of credit it opens. The payment of the long-term letters of credit opened by Party A is based on Party B's opening a sight letter of credit under the provisions and on its paying the advance required herein. Thus, Party B warrants, guarantees and covenants that it will open the letters of credit and pay the advance as provided herein.

ARTICLE 3 REIMBURSEMENT

Party A shall reimburse Party B for all the machines and auxiliary equipment supplied by Party B by delivering goods to Party B on a monthly basis and the reimbursement will last for___ year(s) and ____months(s). The reimbursement shall start approximately ____month(s) after the first delivery of the machines and, in principle, the money to be reimbursed per month shall be ______percent of the total amount due for the machines. With a ______month(s) notice to Party B, Party A may reimburse Party B in advance.

Within the reimbursement period, Party B shall, under the provisions of the additional sales agreement aforesaid, open, sight, irrevocable, divisible and assignable letters of credit, covering the full amount, in favor of Party A.

ARTICLE 4 STANDARD MONEY AND PRICE STANDARD

The standard money for this transaction is (Name of currency). All the machinery, auxiliary equipment and measuring and testing instruments , etc. provided by Party B shall be valued with (Name of currency), while the goods provided by Party A to Party B as reimbursement shall be valued with the basis price (Name of currency) of the same goods exported by Party A at the time when this agreement is entered into, and the total price (Name of currency) shall be changed into that of (Name of currency) in accordance with the exchange rate then.

ARTICLE 5 INTREREST

Party A shall pay the interest on its long-term letters of credit and the interest on the cash in advance rendered by Party B. The annual interest rate is agreed upon at_____%.

ARTICLE 6 TECHNICAL SERVICE

The machinery, after arrival at its destination, shall be installed by Party A, Party B shall dispatch its technicians to render spot instructions and other necessary technical assistance during the installation of the main machines, as may be requested by Party A in case of necessity, Party B shall be liable for the losses resulted in such a course of installation from technical default on its part.

ARTICLE 7 ADDITIONAL EQUIPMENT

During the enforcement of this agreement, if it is found necessary that, in addition to the machinery and equipment listed herein, some new accessories or measuring and testing instruments are needed for completion of the project, (an) additional order(s) may be made through negotiation by the parties. The new items thus added shall be incorporated in agreement.

ARTICLE 8 INSURANCE

The machinery and auxiliary equipment, after shipment, shall be insured by Party B. The title thereof shall be transferred into Party B after full payment therefore is made by Party B, thereafter, the unforeseeable losses concerning the machinery and auxiliary equipment shall be indemnified for first by the Insurance Company to Party B, then Party B shall remit for Party A,in proportion, the sum already paid by Party A for the machinery or equipment involved in the contingency.

ARTICLE 9 LIABILITY FOR BREACH OF AGREEMENT

Party B shall , if it fails to comply with this agreement to make purchase of the goods delivered by Party A as reimbursement, or Party A shall, if it fails to comply with this agreement to 15

deliver the goods it is due to provide, be deemed liable for a breach of agreement and shall compensate the non-breaching Party for the loss caused thereupon and shall pay the non-breaching Party a fine accounting for % of the total value of the goods in question.

ARTICLE 10 PERFORMANCE GUARANTEE

To guarantee the implementation of this agreement, each party shall submit to the other party a letter of guarantee issued by its bank respectively. The guaranteeing bank of Party A is ______ Bank, ______, while the guaranteeing bank of Party B is ______Bank, ______.

ARTICLE 11 AMENDMNET

The modification of this agreement in particular cases shall be agreed upon by both parties through negotiations.

ARTICLE 12 Force Majeure

In case that one or both parties are impossible to perform the duties provided herein on account of force majeure, the party (or parties) in contingency shall inform the other party (or each other) of the case immediately and may, provided the case is duly verified by the competent authorities, delay in performance of or not perform the relevant duties hereunder the be partially or entirely exempted from the liability for breach of this agreement.

ARTICLE 13 ARBITRATION

Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission,Shenzhen Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties and the applicable law is the material law of P.R.C.

Notwithstanding any reference to arbitration, both Parties shall continue to perform their respective obligations under the Contract unless otherwise agreed.

ARTICLE LANGUAGE AND EFFECTIVE DATE

15. 装运条款(Terms of Shipment):

(1) FOB交货方式

卖方应在合同规定的装运日期前30天,以____方式通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期,以便买方安排租船/订舱。装运船只按期到达装运港后,如卖方不能按时装船,发生的空船费或滞期费由卖方负担。在货物越过船弦并脱离吊钩以前一切费用和风险由卖方负担。

货物品质规格必须符合本合同及质量保证书之规定,品质保证期为货到目的港__个月内。在保证期限内,因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。

The Seller shall guarantee that the commodity must be in conformity with the quatity, specifications and quantity specified in this Contract and Letter of Quality Guarantee. The guarantee period shall be______months after the arrival of the goods at the port of destination, and during the period the Seller shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.

18. 检验(Inspection)(以下两项任选一项):

(1)卖方须在装运前__日委托______检验机构对本合同之货物进行检验并出具检验证书,货到目的港后,由买方委托________检验机构进 行检验。

The Seller shall have the goods inspected by ______ days before the shipment and have the Inspection Certificate issued by____. The Buyer may have the goods reinspected by ________ after the goods,rrival at the destination.

(2) 发货前,制造厂应对货物的质量、规格、性能和数量/重量作精密全面 的检验,出具检验证明书,并说明检验的技术数据和结论。货到目的港后,买方将申请中国商品检验局(以下简称商检局)对货物的规格和数量/重量进行检验,如发现货物残损或规格、数量与合同规定不符,除保险公司或轮船公司的责任外,买方得在货物到达目的港后__日内凭商检局出具的检验证书向卖方索赔或拒收该货。在保证期内,如货物由于设计或制造上的缺陷而发生损坏或品质和性能与合同规定不符时,买方将委托中国商检局进行检验。

The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection. After arrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are found, or the specifications and/or quantity are not in conformity with the stipulations in this Contract, except when the responsibilities lies with Insurance Company or Shipping Company, the Buyer shall, within _____ days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey.

19. 索赔(Claim):

买方凭其委托的检验机构出具的检验证明书向卖方提出索赔(包括换货),由此引起的全部费用应由卖方负担。若卖方收到上述索赔后______天未予答复,则认为卖方已接受买方索赔。

The buyer shall make a claim against the Seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within ______days after the Seller received the Buyer's claim.

20. 迟交货与罚款(Late delivery and Penalty):

除合同第21条不可抗力原因外,如卖方不能按合同规定的时间交货,买方应同意在卖方支付罚款的条件下延期交货。罚款可由议付银行在议付货款时扣除,罚款率按每__天收__%,不足__天时以__天计算。但罚款不得超过迟交 货物总价的____ %。如卖方延期交货超过合同规定__天时,买方有权撤销合同,此时,卖方仍应不迟延地按上述规定向买方支付罚款。

买方有权对因此遭受的其它损失向卖方提出索赔。

Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 21 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at______% for every ______ days, odd days less than _____days should be counted as ______ days. But the penalty, however, shall not exceed_______% of the total value of the goods involved in the delayed delivery. 21. 不可抗力(Force Majeure):

凡在制造或装船运输过程中,因不可抗力致使卖方不能或推迟交货时,卖方不负责任。在发生上述情况时,卖方应立即通知买方,并在__天内,给买方特快专递一份由当地民间商会签发的事故证明书。在此情况下,卖方仍有责任采取一切必要措施加快交货。如事故延续__天以上,买方有权撤销合同。

The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within_____ days thereafter the Seller shall send a notice by courier to the Buyer for their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. 2.7. 乙方保证:按双方协定时间提供的技术信息应是准确的、完整的和清晰 的,并且由乙方提供的实用技术是最先进的;合营公司按乙方的要求,在正确的 应用其技术的状况下,合营公司的产品应达到国际(或国内)的先进水平。

第三条 专利和商标的使用

3.1. 按合同的规定生产、使用和销售该产品外,不经乙方同意,合营公司不 得使用其专利、技术和商标。

3.2. 事先未得到书面同意,合营公司不得对所生产的产品进行修改。合营公 司生产的产品与乙方生产的产品质量应相同。乙方有权采取任何必要的措施确保 合营公司的产品达到规定的质量水平。

3.3. 在合同期限内乙方向合营公司提供的使用技术系在 (地区)生产及销售其产品,并按合同条款的规定亦向乙方提供在市场中销售的产品。

3.4.合营公司应乙方的请求,在可能的情况下,于适当的时候在____________ 以乙方的名义申请、登记、注册其提供的技术,使乙方获得专利权。

3.5. 合营公司按照双方的议定,在销售产品上须标志商标时,应标明该产品 是按乙方的许可制造。

3.6. 合营公司出售的全部产品所使用的名称和标志均载明于附件。经乙方同 意后合营公司可使用其他名称和商标在_________(地区)销售。

第四条 第三方伪造及侵权

合营公司若发现有任何伪造的产品、或侵犯专利或商标时,应立即通知乙方。 虽然,仅乙方独家拥有对第三方伪造的产品、侵犯专利或商标的行为采取追究甚 至是诉讼(或采取其他行动)的权利,但乙方对合营公司就上述有关情况而提出 的各种建议,应给予充分考虑。为此,乙方可以合营公司名义作原告或双方联合 作原告,合营公司对此不应无理由的予以拒绝,但须先取得合营公司的书面同意。

第五条 提成费

5.1. 在合同期限内合营公司须向乙方为合营公司提供的技术及协助给予补偿 费。

5.2. 在本合同及其附件生效后___天内,合营公司应支付售出该产品的总 销售额_____%的提成费。其提成费应根据该产品的___计算。

5.3. 按合同附件规定的提成费应从得到该项技术之日起执行____年以后,每 年递减____%。

5.4. 合营公司应保持完整、正确的记录,便于确定向乙方支付的款额,乙方 可派会计师代表乙方审查其记录,自___年___月___日起,在合同期限内每年 每季度后的 天内向乙方提供季度销售报告。销售报告应列明上一个季度内出 售产品数量的净售价并附上应支付的款项数额。销售报告应由合营公司财务主管 签署。

5.5. 合营公司根据合同及乙方书面指定的银行将应付款项以美元按时汇至乙 方。

第六条 技术培训

6.1. 按合营合同,乙方应向公司提供技术培训,以提高公司雇员的技术水平。

6.2. 乙方同意向合营公司选拔的雇员按下述技术范围提供培训:_______产 品的制造、发展、销售和使用; ______加工生产及有关工厂实习; 培训其他有关的技术待合营公司与乙方协商而定。

6.3. 乙方不提供与制造、销售或维修保养该产品无直接关系的任何事宜的培 训,亦不提供乙方对第三方承担有保密义务项目的培训。

6.4. 培训人数和内容、地点、期限及其他有关培训事宜由合营公司与乙方商 定。

6.5. 合营公司若需要乙方派遣指导人员、技术专家及有关管理人员至合营公 司对合营公司人员进行无培训,合营公司应支付聘请人员从受雇地至合营公司的 全部差旅费及在合营公司期间的住宿、膳食及生活津贴费用。

6.6. 按本合同规定,合营公司属下的雇员凡参加并完成由乙方提供的培训计 划者,自培训完结后______年内,不得向合营公司提出辞职。

第七条 优先条款

7.1. 合营期间合营公司所需要的材料、设备、配件等在价格、供货时间和质 量同等的条件下,必须优先购买和使用_______制造的产品。

7.2. 合营期间合营公司所需的各项服务,在费用、时间和服务质量同等的条 件下,必须优先同_______签订承包和技术服务合同。

7.3. 在费用、时间和质量方面同等的条件下,合营公司必须优先购买和采用 由甲、乙任何一方直接签订承包合同的一方所提供的货物和服务。

第八条 保 密

合营公司承认并同意在合同期内由乙方提供的技术系属秘密。合营公司及其 全体雇员和工作人员应按合同列明的目的使用其技术。在未得到乙方事先书面同 意,不得向任何第三者公开或透露此技术。自签署合同至终止合同,该项技术的保密期限为______年。

第九条 合营期限

9.1. 合营公司的合作经营期限是以合营公司取得营业执照签发之日起计算, 为期_____年。

9.2. 当合作经营期限届满前6个月,除双方同意终止外,合营公司的合作经 营期限可按《企业登记管理办法》规定继续为期_______年的延长,但须经过有 关部门的批准并办理变更登记手续。

9.3. 在未得到乙方事先书面的同意,合营公司或甲方应保证将全部技术和其 他权利退还给乙方,且在将来任何时候无权继续使用与本合同有关的专利、技术 和商标。

第十条 仲 裁

10.1. 凡因本合同引起的或与本合同有关的任何争议,均应提交中国国际经 济贸易仲裁委员会,按照申请仲裁时该会现行有效的仲裁规则在深圳进行仲裁, 仲裁裁决是终局的,对双方均有约束力。仲裁适用中华人民共和国法律。

10.2 除非另有规定,仲裁不得影响合同双方继续履行合同所规定的义务。

第十一条 不可抗力

11.1. 双方遇有无法控制的事件或情况应视为不可抗力事件,但不限于火灾、 风灾、水灾、地震、爆炸、战争、叛乱、暴动、传染病及瘟疫。若遭受不可抗力 事件的一方导致另一方不能履行合同规定的义务时,应将履行合同的时间延长, 延长至与发生不可抗力事件所延误的时间相等。

11.2. 遭受不可抗力事件影响的一方立即用电话或传真将发生不可抗力的事 件通知另一方,并于15天内用航空挂号信将有权证明的机构出具的发生不可抗力 事件的证明书寄给另一方。若因不可抗力引起的延误时间超过60天时,双方应通 过友好协商进一步解决履行合同事宜。

第十二条 合同文字和工作语言

12.1.本合同及附件中、英文书就,两种文字均具有同等法律效力,中英文 不一致的,以中文为准。

12.2 合营公司的重要文件,一律用中、英文书就,两种文字均具有同等法 律效力。双方同意用英语和汉语为工作语言。

第十三条 其 他

13.1. 本合同中的标题,仅为醒目参考用,不影响本合同的意义和解释。

13.2. 合同的中、英文本各一式 份,每种文本双方各持 份。

Party A and Party B (hereinafter referred to as the "Parties") agree to jointly form a Co-operation Venture Company (hereinafter referred to as the "CVC") in accordance with "the Law of " and "Regulations for the implementation of " and other applicable laws and regulations.

The aim of CVC is to introduce the Patent and engage in production cooperation in accordance with the technical Know-how specified in the Patent. Party A shall provide the factory building and other necessary facilities for production, and Party B shall offer the technical Patent. Both Parties shall each contribute their paid in capital in compliance with the items specified in the appendix to the Contract .CVC shall be run by Party A on its own, whilst Party B shall undertake the usage of the whole process of the technical patent so as to guarantee the products manufactured are up to the standards stipulated in the Contract. The technical Patent supplied by Party B shall be compensated for by the Royalties.

ARTICLE 2 DEFINITIONS

The technical terms defined in the Contract and in the Annexes attached thereto are incorporated herein by reference as if set forth herein in full. In addition to such technical terms, 33

the following technical terms used herein shall have the meanings set forth below:

2.1. "Products" shall mean the products listed in the attachment to this Contract.

2.2. "Patents" shall mean registered patent rights, registered utility model rights and any applications therefore listed in the Attachment to this Contract.

2.3 "Technology" shall mean all technical data, formulations, manufacturing procedures, drawings and specifications, as well as manuals, catalogues and all other technical information which is necessary or desirable for the manufacture, use, service and sale of the Products and which Party B presently owns or will hereafter sell or transfer.

2.4 "Trademarks" shall mean the trademarks listed in the attachment to this Contract.

2.5 "Technical assistance"-- During the term of this Contract Party B shall send to the Cooperation Venture's manufacturing facility technical experts in the manufacture and development of the Products for a period to be agreed by CVC and Party B in each year of this Contract. The salary and wages of such specialists and their travel expenses between their regular place of employment and CVC manufacturing facility shall be paid by Party B and the cost of their accommodation, meals and living allowances while in CVC shall be paid by CVC.

At the request of CVC, Party B will send technical experts for a reasonable period to be agree upon by the Parties to provide further technical assistance to CVC with respect to the manufacture, use and sale of the Products. CVC shall pay such experts travel expenses between their regular place of employment and CVC manufacturing facility and the cost of their accommodation, meals and living allowances while in CVC.

2.6. "Exchange of technical information" ----During the term of this Contract Party B may inform CVC of improvements relating to the Technology. CVC shall inform Party B should CVC make any improvement to the Technology during the term of its use by CVC. The proprietary rights to the improved technology shall belong to the Party that made the improvement and shall be subject to the confidentiality provisions set forth in this Contract.

2.7. Party B guarantees that:

The technical information it provides shall be accurate, complete and clear, and shall incorporate up-to-date technology utilized by Party B at its home facility and that the Technology shall be provided in accordance with the schedule agreed upon by both parties; subject to the condition that CVC correctly applies and Technology in accordance with the requirements of Party

B so that CVC will be able to manufacture Products to international standards.

ARTICLE 3 USE OF PATENTS AND TRADEMARKS

3.1. CVC shall not use the Patents, Trademarks or Technology, except for the manufacture, use and sale of the Products as provided herein, unless otherwise agreed to by Party B.

3.2. CVC shall not make any modifications to the Products it manufactures without the prior written consent of Party B. CVC shall manufacture the Products to the same quality standard as is done by Party B. Party B shall have the right to take whatever steps it deems necessary to insure that the Products are manufactured to the specified quality.

3.3. Party B grants to CVC, for a period equal to the term of CVC Contract, the right to use the Technology for the manufacture and sale of the products within and for the manufacture of the Products for sale by Party B in ________markets pursuant the Articles of the Contract.

3.4. CVC shall, at the request of Party B, take all necessary action to register Party B's name in the _________, the Patents and any other patent rights of Party B hereafter obtained with respect to the Technology provided by Party B, when such registration becomes possible.

3.5. CVC may use the Trademarks relating to the Products it sells in accordance with the written instructions under License of Party B.

3.6. The names and designations to be utilized for all Products sold by CVC are set forth in Attachment. With the prior written approval of Party B, CVC may adopt other trade-names for Products sold by CVC in the________domestic market.

ARTICLE 4 THIRD PARTY COUNTERFEITNG AND INFRINGEMENT

CVC shall inform Party B immediately of any counterfeiting of the Products or infringement of the Patents or Trademarks of which CVC shall become aware. Although Party B hereby reserves the right exclusively to introduce and pursue one or several suits or other actions against counterfeiters or infringes or any type whatsoever who wrongly use the Products, Patents or Trademarks, it shall give due consideration to CVC recommendations regarding these. To accomplish this, Party B may use the name of CVC as plaintiff or co-plaintiff, either separately or in conjunction with Party B, subject however, to the specific written approval of CVC, which shall not be unreasonably withheld.

ARTICLE 5 ROYALTIES

5.1. CVC shall compensate Party B during the term of this Contract for the Technology and assistance provided by Party B to CVC.

5.2. With respect to the Products listed in Attachment on the Effective Date of this Contract within______days, shall pay royalties equal to the following______% of the gross net sales of such products manufactured and sold by CVC.

The royalties shall be calculated on the basis of the Net Selling Price of such products.

5.3. The royalty rates indicated in Attachment of Contract shall be applicable for______ years following the date of receipt of the technology, after which, they will be reduced by % percent per annum.

5.4. CVC shall keep full and accurate records from which the amounts due Party B can be determined, which records may be inspected on Party B's behalf by an accountant appointed by Party B beginning _______, _______, and a sale report shall be made to Party B within ______ days of the end of the calendar quarter for each calendar quarter of each year during the term of this Contract . Each sales report shall show the amount and Net Selling price of each Product sold during the preceding calendar quarter and shall be accompanied by the payment due in accordance 35

with the report. The sales report shall be signed by the chief financial officer of CVC.

5.5. The payments to be made by CVC to Party B under this Contract shall be made in dollars to the credit of Party B at such bank as Party B may designate from time to time in writing in accordance with the Attachment of Contract.

ARTICLE 6 TECHNICAL TRAINING

6.1. In accordance with CVC Contract, Party B will provide CVC with certain training employees of CVC.

6.2. Party B agrees to provide training to certain selected employees of CVC in the following technical areas:

Development, manufacture, sale and use of ____ of ____ type;

Production and related factory practices with respect to ________ processing;

And all other relevant areas as may be agreed between CVC and Party B.

6.3. Party B shall not be required to provide training in connection with any matter not directly related to the manufacturer, sale or service of the Products or connection with any matter with respect to which Party B is under an obligation of secrecy with a third Party.

6.4. The number of participants in the training and the content, location, duration and other matters relating to such training, shall be discussed and agreed upon between CVC and Party B.

6.5. In the event that CVC requests Party B to send instructors, technical experts and associated management personnel to CVC to conduct the Training of CVC personnel to CVC to conduct the Training of CVC personnel, CVC shall pay the cost of all travel between their regular place of employment and the relevant facility of CVC and cost of their accommodation, meals and living allowances while in CVC.

6.6. Any employee of CVC who has successfully participated in training programs provided by Party B pursuant to this Contract shall not be permitted to resign from CVC within the year following the completion of the most recent training program in which such employee participated.

ARTICLE 7 PREFERENTIAL ARTICLE

7.1. Preference shall be given to Products manufactured in ________ in the purchase and use of material, equipment and components required by CVC during the period of operation, if such Products are competitive in terms of quality, delivery, time and price.

7.2. Preference shall be given in the signing of service Contracts with relevant organizations of ________for various services required by CVC during the period of operation, if such organizations are competitive in terms of cost, time and quality of service.

7.3. CVC shall give preference to the procurement of goods and services with respect to work Contracts undertaken directly by Party A and Party B so long as they are competitive in terms of cost, time and quality.

ARTICLE 8 CONFIDENTIALITY

8.1. CVC acknowledges and agrees that the technology it will receive from Party B during 36

the term of this Contract shall be kept secret and confidential.

8.2. CVC agrees that it and all of its employees and personnel shall use the Technology only for the purposes specified in this Contact and shall not disclose in any way whatsoever any of the Technology to any third Party or Parties without the prior written consent of Party B. Such confidentiality shall be maintained during the terms of this Contract and for a period of ______ years after the termination of this contract.

ARTICLE 9 TERM OF CVC

9.1. The term of CVC shall be _____ years, commencing from the date on which it is issued its business license.

9.2. With the approval of relevant government authorities and after going through registration procedures in accordance with the Regulation for the Implementation of the Law , the term of CVC shall continue for successive________year periods, unless six(6) month prior to the end of the then current term the both parties agree to terminate CVC.

9.3. All technology and other rights granted to the Patents and Trademarks shall be returned to Party B and neither CVC nor Party A shall have any right or privilege to use further the Patents, Trademarks or Technology related to this contract or the co-operation Venture contract in any manner whatsoever without the prior written consent of Party B relating to any such future use.

ARTICLE 10 ARBITRATION

10.1. Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission,Shenzhen Commission for arbitration in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties and the applicable law is the material law of P.R.C.

10.2. Notwithstanding any reference to arbitration, both Parties shall continue to perform their respective obligations under the Contract unless otherwise agreed.

ARTICLE 11 FORCE MAJEURE

11.1. Any event or circumstance beyond the control of the Parties shall be deemed and event of Force Majeure and shall include, but not be restricted to, fire, storm, food, earthquake, explosion, war, rebellion, insurrection, epidemic and quarantine restriction. If either Party is prevented from performing any of its obligations under this Contract due to an event of Force Majeure, the time for performance under this Contract shall be extended by a period equal to the period of delay caused by such Force Majeure.

11.2. The affected Party shall immediately notify the other Party of the occurrence of any Force Majeure by Telephone and Fax and shall send to the other Party by registered airmail, 37

within fifteen (15) days thereafter, a certificate from the relevant government authorities or departments confirming the occurrence of the cause of such Force Majeure. Should the delay caused by an event of Force Majeure continue for more than sixty(60) consecutive days, both Parties shall settle the problem of further performance of this Contract through friendly negotiations.

ARTICLE 12 LANGUAGE OF CONTRACT AND WORKING LANGUAGE

12.1. The Contract and annexes hereto have been written both in Chinese and English. Both texts have the same legal effect.

12.2. All important documents of CVC shall be written in the Chinese and English languages. Both versions shall have the same legal effect. Both Parties agree to use Chinese and English as the working languages. In case of discrepancy between the Chinese text and English, the Chinese shall prevail.

ARTICLE 13 MISCELLANEOUS

13.1. The heading contained in this Contract are for reference purpose only and shall not to effect the meaning or interpretation hereof.

13.2. The Chinese and English texts of this Contract have each been executed in originals. Each Party shall keep______copies of each text.

13.3. All correspondence among Party A and Party B and CVC shall be in the English or Chinese Languages.

13.4. Notices or other communication to either of the Parties to this Contract required shall be in writing and shall be deemed to have been effectively given days after mailing registered above airmail.

六,合同的变更,解除和终止:

1.双方应信守合同,未经双方一致同意,任何一方不得擅自更改、解除和终止合同。

2.经当事人双方协商同意后,可以变更,解除和终止合同。在未达成一致意见前,仍应当严格履行合同。

3,聘方在下述条件下,有权以书面形式通知受聘方解除合同:

(1)受聘方不履行合同或者履行合同义务不符合约定条件,经聘方指出后,仍不改正的;

(2)根据医生诊断,受聘方在病假连续30天后不能恢复正常工作的;

4.受聘方在下述情况下,有权以书面形式通知聘方解除合同;

(1)聘方未按合同约定提供受聘方必要的工作和生活条件;

(2)聘方未按时支付受聘方报酬。

七、违约金:

当事人一方不履行合同或者合同义务不符合约定条件,即违反合同时,应当向另一方支付500—2000美元(或相当数额人民币)的违约金。

受聘方因不可抗力事件要求解除合同,需出具有关机构证明,经聘方同意后,离华的费用自理;受聘方若无故解除合同,除离华费用自理外,还应当向聘方支付违约金。

聘方因不可抗力事件要求解除合同,经受聘方同意后,离华费用由聘方负担;聘方若无故解除合,除负担受聘方离华费用外,还应当向受聘方支付违约金。

八、本合同附件为合同不可分割的一部分,与合同具有同等效力。

九、本合同自双方签订之日起生效,合同期满即自行失效。当事人一方要求签订新合同,必须在合同期满90天前向另一方提出,经双方协商同意后签订新合同。

受聘方合同期满后,在华逗留期间的一切费用自理。

十、仲裁

当事人双方发生合同纠纷时,尽可能通过协商或者调解解决。若协商,调解无效,可向国家外国家局设立的外国文教专家事务仲裁机构申请仲裁。

乙方参加甲方的英语教研及相关学术活动,对学生进行课外英语辅导等不计在学时效内。

2.甲方应根据不同班级的教学要求制定相应的教学内容,安排课程表。乙方应将教学计划和教材内容事先交甲方审定,并按指定的时间和地点上课。在教学过程中,经甲方同意,乙方可适当调整教学计划或内容。乙方根据教学需要补充的教材、资料等,应经甲方同意,方可使用。当甲方对乙方进行教学评估时,乙方应予以合作。

3.甲方按月(每月10日)支付乙方工资,时间从20xx年3月3日至20xx年6月30日止。

4.甲方须支付乙方(外教)在到职期间所发生的国内段机票款,连同50元机场建设费和20元保险费。

5.对任职半年的外教,甲方应提供旅游津贴1100元。

6.甲方应负责支付乙方到职后办理各种手续,包括住宿证、居留证和专家证及有关费用。

7.乙方受聘期间,甲方为其免费提供的住房及其设施(如:电视(上网费用自理)、冰箱,洗衣机,热水器、电话(电话费自理)等)仅供乙方专用。乙方(外教)将每月按时支付电话费和上网费。

8,乙方来客探访需投宿者,乙方应提前三天告知甲方,并由甲方妥善安排住宿,费用自理。

9.乙方受聘期间,免费享受甲方(校内)的医务室治疗。如需到校外医院治疗,甲方半年应为乙方提供医疗费用人民币500元,超出部分自理。

10.休假遵循国家外专局有关规定。

Party B shall observe Party A's work system and regulations concerning administration of foreign experts and shall accept Party A's arrangement direction, supervision and evolution in regard to his/her work. Without Party A's consent Party B shall not render service elsewhere or hold concurrently and post unrelated to the work agreed on with Party A.

3. Party B shall complete the tasks agreed on schedule and guarantee the quality of work.

4. Party B shall respect China's religious policy, and shall not conduct, religious activities incompatible with tile status of a teacher.

5. Party B shall respect the Chinese people's moral standards and customs.

VII. Revision, Cancellation and Termination of Contract

1. Both parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent.

2. The contract can be revised, canceled, or terminated with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed.

3. Party A has the right to cancel the contract with a written notice to Party B under the following conditions:

(1) Party B does not fulfil the contract or does not fulfil the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out.

(2) According to the doctor's diagnosis. Party B cannot resume normal work after a continued 30 day sick here.

4. Party B has the right to cancel the contract with a written notice to Party A under the following conditions:

(1) Party A has not provided Party B with necessary working and living conditions as stipulated in the contract.

(2) Party A has not paid Party B as scheduled.

VIII. Breach Penalty

When either of the two parties fails to fulfil the contract of fails to fulfil the contract obligations according to the terms stipulated, that is, break the contract, it must pay a breach penalty of US $500 to 2000(or the equivelant in RMB).

If Party B asks to cancel the contract due to events beyond control, it should produce certifications by the department concerned, obtain Party A's consent and pay its own return expenses; If Party B cancel the contract without valid reason, it should pay its own return expenses and Pay a breach penalty to Party A.

If Party A asks to cancel the contract due to events beyond control, with the consent of Party B, it 43

should pay Party B’s return expenses; if Party A cancel the contract without valid reason, it should pay Party B’s return expenses and pay a breach penalty to Party B.

IX. The appendix of this contract, is an inseparable part of the contract and has equal effect.

X. This contract takes effect on the date signed by both parties and will automatically expire when the contract ends. If either of the two parties asks for a new contract, it should forward its request to another party 90 days prior to the expiration of the contract, and sign the new contract with mutual consent.

Party B shall bear all expenses incurred when staying on after the contract expires.

XI. Arbitration

The two parties shall consult with each other and mediate any disputes which may arise about the contract. If all attempts fail, the two parties can appeal to the organization of arbitration for foreign experts affairs in the State Bureau of Foreign Experts and ask for a final arbitration.

APPENDIX TO THE CONTRACT

Jiangsu Changzhou Tianjiabin Experimental Middle School (Party A) wishes to engage the service to Ms. Alice Thomson (Party B) as its foreign teacher. Both parties, in file spirit of friendly cooperation, agree to sign this Appendix, which is a continuous part of the contract, and pledge to fulfill conscientiously all the obligations stipulated in it.

Both parties shall abide by the terms concerned in the papers "The living Conditions of Foreign Experts Working in Cultural and Educational Institutes". issued by the State Bureau of Foreign Experts of China.

Party. B shall work for Party A 14 teaching hours per week totally. The courses that Party B should conduct are as follows:

1) To teach Spoken English in Senior Middle School.

2) To organize the outside class activities and lectures.

Party B is advised to take part in teaching or other related academic activities, and coach his students, if required, after class. That shall not be included in the regular teaching hours.

II. Party A shall work out the outlines of the different classes and set up the schedules of the classes. Party B shall make out the syllabi for each course and present them to Party. A for approval. Party B shall give lessons in the suggested classroom at the given time. When deemed advantageous, Party B may, with the consent of Party. A, adjust his or her syllabi, use self-prepared materials, videocassettes or other materials. When Party A evaluates Party B's work, Party B is advised to offer cooperation.

III. Party A shall pay Party. B monthly (10th of the month), commencing from March 3th 2002 to June 30th 2002.

IV. Party A shall pay Party B the expense of flight from Beijing to Nanjing and 50 yuan ,which is the expense of airport construction and 20 3man, insurance.

V. Party A shall pay Party B 1100 yuan as a travel allowance if Party B teaches for half a year.

VI. Party A shall pay all the expenses of going through all the formalities, such as residence paper, foreign expert certificate.

VII. When Party. B performs the obligations stipulated in the contract, the lodgings and other facilities provided by Party A are for Party B's private use during his/her service in TJBEMS, such as a TV set, telephone, e-mails, refrigerator, washing machine, and water-heater etc. Party B shall pay for the use of domestic and international telephone calls, fixes and e-mails for his/her private purpose. 八、房屋租赁合同

本合同双方当事人

六、甲方义务

1. 甲方须按时将房屋及附属设施(详见附件)交付乙方使用。

2. 房屋设施如因质量原因、自然损耗、不可抗力或意外事件而受到损坏,甲方有修缮并承担相关费用的责任。如甲方未在两周内修复该损坏物,以致乙方无法正常使用房屋设施,乙方有权终止该合约,并要求退还押金。

3. 甲方应确保出租的房屋享有出租的权利,如租赁期内该房屋发生所有权全部或部分转移、设定他项物权或其他影响乙方权益的事件,甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者能继续遵守本合同所有条款,反之如乙方权益因此遭受损害,甲方应负赔偿责任。

4. 甲方应为本合同办理登记备案手续,如因未办理相关登记手续致该合同无效或损害乙方租赁权利,应由甲方负责赔偿,且甲方应承担该合同相关的所有税费。

七、乙方义务

1. 乙方应按合同的规定按时支付租金及押金。

2. 乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。

3. 未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。

4. 乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。

5. 乙方应承担租赁期内的水、电、煤气、电话费、收视费、一切因实际使用而产生的费用,并按单如期缴纳。

八、合同终止及解除的规定

1. 乙方在租赁期满后如需续租,应提前一个月通知甲方,由双方另行协商续租事宜。在同 49

等条件下乙方享有优先续租权。

Party A and B have reached an agreement through friendly consultation to conclude the following contract.

1. Location of the premises

Party A will lease to Party B the premises and attached facilities owned by itself which is located at and in good condition for .

5. Deposit

1) Guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party B will pay to party A as a deposit before(month) (day) (year). Party A will issue a written receipt after receiving the deposit.

2) Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.

In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A

4) If Party B can’t normally use the apartment because of Party A , Party A should return the deposit to Party B at once. And, Party B has the right to ask for the compensation from Party A

6. Obligations of Party A

1) Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.

2) In case the premise and attached facilities are damaged by quality problems, natural damages or accidents, Party A will be responsible to repair and pay the relevant expenses. If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.

3) Party A will guarantee the lease right of the premises..In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, .party A shall quarantce that the new owner,and other associated ,third parties shall be bound by the terms of this contract.Otherwise, Party A will be responsible to compensate party B’s losses.

4) Party A must register this contract with the relevant government authority If not doing so resulting that this contract is invalid or Party B’s right of leasing may be damaged , Party A should take the all responsibilities. Party A should also bear the all the relevant taxes.

7. Obligations of Party B

1) Party B will pay the rental and the deposit on time.

2) Party B may add new facilities with Party A’s approval. When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.

3) Party B will not transfer the lease of the premises or sublet it without Party A’s approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

4) Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it

5) Party B will bear the cost of utilities such as telephone communications, water, electricity and gas on time during the lease term.

8. Termination and dissolution of the contract

1) Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease. In this situation, two parties will discuss matters over the extension.Under the same terms Party B has the priority to lease the premises.

2) When the lease term expires, Party B will return the premises and attached facilities to Party A within days. Any belongings left in it without Party A’s previous understanding will be deemed to be abandoned by Party B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.

3) This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party’s agreement. Anything not covered in this contract will be discussed separately by both parties.

9. Breach of the contract

1) During the lease term, any party who fails to fulfill any article of this contract without the other party’s understanding will be deemed to breach the contract. Both parties agree that the default fine will be . In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.

1.20 保证期:始于合同项目验收通过之日,在此期间,卖方保证合同项目的正常、稳定运行,并对出现的任何缺陷予以排除。详见本合同附件三规定。

1.21 合同生效日: 本合同经双方当事人各自国家的审批机关批准之日起正式生效。

第二章 合同范围

第四章 支 付

买方在收到卖方提交的下列单据后,分期分批地将合同总价,以付款交单(D/P)或承兑后交单(D/A)的方式支付给卖方。

方案三:

除了预付款和技术服务费外,合同总价以不可撤销的信用证(L/C方式支付。预付款和技术服务费以付款交单(D/P)的方式支付。买方在本合同生效之日____天内出具以卖方为受益人、金额为上述金额的不可撤销信用证。信用证有效期至 ____________。

4.2.1 预付款

买方在收到卖方提交的下列单据经审核无误后__________ 天内,将本合同第3.2.1,

3.2.2,3.2.3,和3.2.5条所规定费用的百分之 ________(_______%),即____________________. (大写:_______________),支付给卖方。

4.2.2 许可的专利和/或专有技术、设计、技术培训和技术文件费用的支付。

4.2.2.1 买方在收到卖方提交的下列单据经审核无误后__________ 天内,凭卖方基本的设计图,将本合同3.2.2,3.2.3和3.2.5条所规定的许可的专利和/或 专有技术、设计、技术培训和技术文件费用的百分之(__________ %),即_________________________.(大写: ______________________________________),支付给卖方。

4.2.2.2 买方在收到卖方提交的下列单据经审核无误后________天内,凭卖 方详细的设计图,将本合同3.2.2,3.2.3和3.2.5条所规定的许可的专利 和/或专有技术、设计、技术培训和技术文件费用的百分之_______(______ %),即____________(大写:________________),支付给卖方。

4.2.3 合同设备价款的支付:

买方在收到卖方提交的下列单据经审核无误后_________ 天内,根据每批装船按比例,将本合同3.2.1条所规定的合同设备的价款的百分之 _______ (_______%),即 _________________(大写:________________),支付给 卖方。

A. 全套清洁、已装船、空白抬头、空白背书、通知并注明运费已付的海运 提单正、副本各三份;

B.全套海运保单或保险凭证正、副本各一式二份,按合同设备的#5@p金额 110%投保一切险、战争险和舱面险(如需注明可按合同货币在中国索赔)。

D.详细的装箱单正本一份,副本五份,注明装箱重量、号码和相应的#5@p 日期;

E.由生产厂家签发的质量合格证正本一份、副本五份;

F.即期汇票一式二份。

G.生产厂家所在国的有关机构或机关签发的产地证书正本一份、副本五 份;

H. 表明承运船只已经买方同意的买方传真一份;

I.装船后卖方立即通知买方的传真一份。

4.2.4 合同项目验收后的支付:

买方在收到卖方提交的下列单据经审核无误后_________ 天内,将本合同第3.2.1,

3.2.2,3.2.3和3.2.5条所规定价款的百分之__________(____________%), 即 _______________(大写:____________),支付给卖方。

4.2.5 合同项目保证期后的支付

A.买方签发的、证明合同项目的保证期到期的证书一份;

4.2.6 技术服务费用的支付:

在卖方第一批技术人员到达工作现场后的每 ___________ 月,且收到卖方提交的下列单据经审核无误后___________天内,买方将本合同第3.2.4条所 规定技术服务费用支付 62

4.3 如果卖方不能按期提交第4.2.3条规定的单据,因此在卸货港所发生的一 切费用(包括但不限于保管费和过期罚款)均由卖方承担。

4.4 如果合同规定的预提税、预定的违约金和/或损害赔偿金应由卖方支付, 买方有权从应支付给卖方的款项中扣除。

4.5 所有在买方银行发生的费用由买方承担,而发生在买方银行以外的费用 均由卖方承担。

第五章 交货和保险

5.1 卖方应于本合同生效日后______个月内分_______批将本合同项目的设 备交付完毕。

5.2 本合同设备的总毛重大约为_____吨,净重为_____吨,总体积大约为 ________立方米。

5.3 本合同项目设备的交货港为_________ ;卸货港为____________.

5.4 卖方应根据本合同附件六所规定的时间表,在合同生效后____月内向买 方提交初步交货计划表一式六份。初步交货计划表包括合同号、项号、设备名称、 型号、规格、数量、单价、总价、大约总毛重、大约总体积、预计交货时间、交 货港口、危险品和/或易燃品的品名及其国际危规号等,并提出超大和/或超重 设备尺码(长、宽、高和体积)和大约重量,以及危险品、易燃品在运输保管方 面的特殊要求和注意事项。

5.5 不能拆卸的单体设备重量最大限度为20公吨,体积最大限度为长、宽、 高分别为12、2.7、3米(12X2.7X3),凡超过此限度的设备卖方应在本合同生效之日后________个月内向买方提供草图 一式六份,经买方同意后,才能安排制 造。买方应于收到上述草图后______ 天内以书面方式予以确认,否则卖方即开始制造。为了方便陆路运输,重量超过40吨的设备制造须提前经卖方确认。

5.6 在本合同生效之日起个 ____月内,卖方应向买方提交最终交货计划一式六份,包括合同号、项号、设备名称、型号、规格、数量、危险品的品名以及 国际危规号、每件设备的大约毛重、净重、单价、总价、每件设备的大约尺码、体 积、交货港、预计的装船如期和超大和/或超重设备的外形包装草图。

5.7 合同设备中如含有危险和/或易燃项目,卖方应提交英文说明书一式六 份,说明名称、特点以及该设备事故处理和防范措施。同时,卖方应指导船公司 在提单上标明该设备的箱号/集装箱。

5.8 合同设备保管如有特殊要求,卖方应提供英文说明书一式六份,说明在 陆地运输和保管中的特别防范措施。

5.9 合同设备的装船应尽可能地单机成套,安装用的专用工具、材料、易损 件应随主机一同交付,如果有通常装在甲板上的设备和材料,卖方应负责进行适 当的包装及采取特殊的保护措施。

5.10 在每批设备备妥待运前不迟于________ 天,卖方应以传真通知买方如下内容:

A.合同号;

B.合同备妥待运日;

C.货物总体积;

D.货物总毛重/总包装件数;

E.装船港口名称;

F.重量超过20吨,或尺寸超过12米 x 2.7米 x 3米的每件设备的名称、总的毛重和总体积;

G.危险品和/或易燃品的名称、重量和国际危险号;

同时卖方还应航寄给买方下列文件,每件一式六份:

A. 发运货物的详细清单,包括合同号、序号、设备和材料的名称、规格、 型号、数量、单价、总价、单重、单体体积和总体积、每件货物的外形尺寸(长X 宽X高)、总件数和装船港口名称;

B. 重量超过20公吨或体积超过12X2.7X3米的每件大件货物的外形包装草 图;

C.易燃品和危险品的名称、性质、特殊防护措施及事故处理方法说明书;

D.合同设备在运输和储藏过程中的特殊防护措施说明书。

上述文件另航寄买方指定的运输代理二份,作为买方安排运输和装卸工作的 依据。

5.11 卖方负责预订船位,可从下列名册中选定船公司:

如果上述所列的船公司不能满足合同项下的运输要求,卖方应向有良好信誉 的船公司租船位,所租船舶不得超过15年船龄,有良好的运输记录,并且所挂旗 帜或船舶国籍属于双方当事人所在国政府接受的。如果该船舶服务年龄超过了15 年,应由卖方支付费用对此予以保险。

每次装船前不迟于___________ 天,卖方应将所建议的船名、船 龄、船舶国籍、登记地、船主、航线、所租船舶的路程、预计离港日期、预计到港日期等 事项通知买方批准。如果买方在收到上述通知后__________ 天内没有书面意见或没有反对,则视为买方同意该建议的船舶。

5.12 非经买方同意,买方不接受“甲板上装运”或“转运”。

5.13 为了方便接收和陆地运输,卖方应在每批设备装船后________小时内, 以传真通知买方下列事项:合同号、合同设备名称、实际 装货数量、总的毛 重、总的体积、船名、装船完成日期或开航日 期、预计到达卸货港日期。如果卖 方实际装船的合同设备件数与卖方前期的通知有差异,该差异应分别说明。

装船后______天内,卖方应分别向买方和收货人航寄提单、签发的商业#5@p、 厂家的质量证书、产地证书、保单或保险凭据和装箱单等 单据各一式一份。

5.14 第三方的海运提单是不被接受的。

5.15 如果卖方不能按照最终的交货时间表交货,卖方应按照下列比例支付其 迟延交货的违约金:

A.第一至第四周,每周的违约金为迟延交付设备价值的百分之________。

B.第五至第八周,每周的违约金为迟延交付设备价值的百分之________。

C.第九周后,每周的违约金为迟延交付设备价值的百分之____. 在计算 违约金时,如不足一周,按一周计。违约金的总量不得超过合同总价的百分之 _______ 。违约金的支付不能免除卖方继续履行交付设备的义务。

5.16 卖方应向信誉卓著的保险公司以买方为受益人按合同设备#5@p金额的 110%投保一切险、战争险和甲板险(如有甲板装运)。按合同金额投保,并表明 可在中国索赔,且不得含有免赔条款。

如果合同设备在运输过程中丢失和/或损坏,卖方应协助买方向保险公司申请赔偿或为买方利益向保险公司提出索赔,如买方要求,卖方应以原合同价格按 原样向买方增补。

第六章 包装与标记

6.1 除非合同另有规定,包装应由卖方负责。卖方交付的所有设备应具有适 合远洋和 65

陆地运输和多次搬运、装卸、新的、坚固的木箱包装,卖方应根据设备 的特点和需要采取防潮、防雨、防锈、防震、防腐蚀和防其它损害等必要的保护 措施,以保证合同设备安全无损地运抵工作现场。

6.2 卖方对包装箱内和捆内的各散装部件均应系加标签,注明合同号、主机 名称、本部件名称以及部件在散装图中的位号、零件号。备件和工具除注明上述 内容外,还需注明“备件”或“工具”字样。

6.3 卖方应在每件包装箱的邻接四个侧面上,用不褪色的油漆以明显易见的 英文字样印刷以下标记:

A.合同号;

B.唛头标记;

C.目的港;

D.收货人;

E.合同设备名称及项号;

F.箱号/件号;

G.毛重/净重;

H.尺码(长x宽x高,以毫米表示)。

6.4 凡重量为2吨或超过2吨的合同设备,应在包装箱的四个侧面以英文及 国际贸易运输常用的标记、图案标明重量及挂绳和重心位置,以便装卸搬运。根 据设备的特点和装卸、运输上的不同要求,在包装箱上应以英文明显地印刷“轻 放”、“勿倒置”、“防雨”等字样以及相同的国际贸易通用的标记图案。

6.5 每件包装箱内,应附有下列文件:

A.详细的装箱单一式二份;

B.质量证书一式二份;

C.与合同设备相关的技术文件一份;

D.需组装的机器与部件的详细装配图一式二份。

6.6 如果是集装箱运输,卖方要仔细检查集装箱以使处于良好状态的集装箱来运输该合同设备。集装箱内要有足够的填充物或楔子以防合同设备在集装箱内 摇晃。卖方应对其 66

疏忽而造成的合同设备损坏承担责任。

6.7 如果合同设备的损坏或丢失是由于不正确的包装和/或不适当的保护措 施所致,卖方应根据合同的规定负责修理、替换和/或赔偿。如果合同设备出现 错运是因为错误或模糊包装和/或装船标志所致,卖方应承担因此而多支出的费 用。

6.8 卖方使用的木制包装物应能防虫害侵袭,如果在检疫检验中发现虫害,卖 方应承担在卸货港对包装予以烟熏消毒或替换而发生的一切费用。

第七章 技术文件

7.1 本合附件二、三、八和附件九 规定了技术文件的内容。除非另有规定,技术文件应采用公制,说明和解释采用英文。

7.2 卖方提供的技术文件,应具有适合长途运输、多次搬运、防潮和防雨的 包装,每包见所未见的封面上应注明下列内容:

A.合同号;

B.收货人;

C.目的地;

D.唛头标记;

E.毛重(公斤);

F.箱号/件号。

每包技术文件应附有技术文件的详细清单一式二份,标明技术文件的序号、 代号、名称和页数。

7.3 在本合同生效之日起__________ 月内,卖方应分批以“DDU目的地机场”价格条件交付技术文件。

7.4 在交付技术文件后__________小时内,卖方应用传真通知买方交付日期、 件数、航班号和大约毛重,并向买方提交下列文件:

A.空运提单二份(注明合同号和收货人);

B.技术文件的详细清单二份。

如果技术文件发生短缺、丢失和损坏,卖方应在收到买方的通知后立即免费 对短缺、丢失和损坏部分予以更换。

7.5 目的地机场在空运提单上所加注的日期应视为技术文件实际的交付日期。

7.6 卖方应根据本合同附件和所规定的时间表交付技术文件。如果卖方没有 按期按批交付技术文件,卖方应按下列比例承担延期交付违约金:

A.第一周,每周按技术文件价值的百分之 ___________;

B.从第二周至第四周,每周按技术文件价值的百分之 __________ ;

C.第五周起,每周按技术文件价值的百分之__________ 。

不足一周按一周计算违约金。不管涉及到哪一部分技术文件延期交付,应将 本合同第

3.2.2和第3.2.3条所规定的技术文件的总价(包括许可费和设计 费)作为计算违约金的基础。卖方延期交付技术文件的违约金的总量不得超过本 合同价的百分之_____,卖方支付违约金不能免除其继续交付技术文件的义务。

第八章 设计和设计联络

8.1 为使本合同项目建设工作的顺利进行,双方应按本合同附件八 和本章的规定实施设计和设计联络。

8.2 买卖双方任何一方所承担的设计范围和所提供的技术文件详见本合同附 件八,买方提交的技术文件应作为初步设计。

8.3 设计联络会议内容、时间、地点、费用、参加人员的人数和资格等,详 见附件八。

8.4 自本合同生效之日起______ 个月内,卖方应自费派遣技术人员参加“协商会”并在会议前向买方提交相关的技术文件,包括本合同附件九所规定的标准 和规范。卖方有权对该标准和规范提出意见。在“协商会”上经双方讨论商定的 标准和规范作为初步设计。

“协商会”期间,双方应签署协商会议纪要,以此作为初步设计。

8.5 自本合同生效之日起 ______个月内,买方应根据附件八的规定派遣技术人员到卖方所在地参见初步设计联络会议,卖方应根据附件的八规定在会议前 向买方提交初步设计文件。买方有权对前述文件提出意见,卖方对此应予充分考 虑并因此修改该设计。初步设计经协商后,双方应签署协议书。该协议书即作为 最终设计的依据。

8.6 自本合同生效之日起 ______个月内,买方将派遣技术人员到卖方所在地参加最终设计协商会议,在此期间,双方应签署协商会议纪要。

8.7 在设计联络会议期间,卖方应协助买方技术人员到生产合同设备的制造 厂参观并回答买方提出的与合同项目技术事项有关的一切问题。

第九章 标准与检验

9.1 卖方对本合同设备的设计、选材、生产和检验等,应根据双方在设计联 络期间签署协议的规定以及卖方和/或买方国家现行标准规范进行,详见本合同 附件九。

9.2 卖方或生产厂家应对合同设备进行检验并向买方提交厂家的质量合格证 书和发货前的检验记录,因此所发生的费用均由卖方承担。

9.3 买方有权派遣检验人员到卖方和/或生产厂家国家同卖方检验人员一起 对主要设备的生产程序和质量进行检验。卖方应免费向买方的检验人员提供工作 设备,包括但不限于必要的技术文件、检验工具和仪器。

卖方应提前_______月将检验日期通知买方,买方应在收到该通知后_____ 日内确认是否派遣技术人员。

9.4 主要设备的装配和检验应有买方检验人员在场,买方检验人员有权参加 与合同设备有关的会议。

9.5 卖方应充分考虑买方检验人员提出的意见,并自费采取必要措施排除缺 陷或不符合本合同规定之处,当缺陷排除后,应再次检验和实验,由此引起的费 用均由卖方负担。

如果买方的技术人员不能按期到场并不属于卖方的过错,卖方有权自行安装 和检验。

9.6 装船前的检验并不能替代卸货港和/或工作现场的检验,也不能免除卖 方基于本合同的担保义务。

9.7 对合同设备的开箱检验应由工作现场的检验机构履行。买方应在开箱检 验前__________天将检验的日期通知卖方,卖方可自费派代表参加。如果卖方代 表不参加开箱检验,该检验机构有权缺席检验。

在开箱检验中如发现设备有短少、缺陷、损坏或其它与合同规定不符的,检 验机构出具的检验证书即作为买方向卖方索赔的有效证据。

9.8 如是集装箱运输,集装箱的开启和返还不属于开箱检验。

9.9 如合同设备在保证期间发现缺陷,无论什么原因,包括但不限于潜在的 缺陷或使用不适当的材料等,买方都有权申请检验机构予以检验,并根据检验证 书向卖方提出索赔。

9.10 如果发现技术文件所规定的标准和规范不完整,检验机构可自主根据买方国家现行标准和/或其认为其它适当标准进行检验。

第十章 安装、试车、投料试生产、性能测试和验收

10.1 安装、试车、投料试生产、性能测试和验收均由买方在卖方的技术指导 下进行, 69

技术服务的范围详见本合同附件四。

10.2 安装开始前_______天,双方各自任命一名工地代表。双方将根据本合 同附件十的规定实施本合同项目的安装、试车、投料试生产、性能测试和验收,详 细情况将记录于工作日志中并由双方的工地代表签署。

10.3 安装应在本合同生效日起___________ 月内实施和完成。当安装符合技术文件的要求时,双方应于完成之日起五日内签署设备安装证书,上述证书的 签字日即被认为是安装完成之日。

10.4 试车应在本合同生效日起___________ 月内实施和完成。如试车顺利实施并符合技术文件的要求时,双方的工地代表应在试车完成之日五天内签署试 车证书。

10.5 投料试生产和性能测试不得超过__________次并在试车完成之日起 _________月内完成。投料试生产和性能测试的详细程序由卖方在完成试车前提 出,最后由双方协商一致。

投料试生产和性能测试,买方应根据本合同附件十的规定,准备足够的维修 工具、实验室及检验设施和熟练技术人员,并准备好所规定数量和质量的全部原 料,有关的公用工程。卖方应准备好本合同附件十所列的熟练技术人员、足够的 配件和其它项目。

买方的采样和化验将在双方工地代表在场的情况下进行。 如果合同项目 在投料试生产上不能符合本合同附件十所规定的要求,双方应对此予以调查,责 任方应采取适当措施消除缺陷。

10.6 如果合同项目在投料试生产中达到良好稳定运行,双方应确定性能测试 的开始日期,性能测试的期间为__________ 天。性能测试的进行应根据本合同附件十,详细情况将记录于工作日志中并由双方的工地代表在性能测试完成后五 天内签署。

如果在性能测试中所有项目实现了附件__________ 所规定的保证数值,双方工地代表应在五天内签署合同项目验收证书一式四份,双方各执二份。

10.7 如果在性能测试中任何一项不能达到本合同附件__________ 所规定的性能或保证数值,双方应会同研究失败的原因,并按以下规定处理:

10.7.1 如果由于卖方原因未能达到性能或保证数值时,卖方应在双方协商的 期限内采取措施消除缺陷,所有涉及的费用,包括但不限于工作小时费用、设备 和原材料费用、交货到工作现场和/或离开工作现场的运输和保险费用以及卖方 技术人员的技术服务费用等,均由卖方负责。

在上述缺陷消除后,应按照本合同附件十的规定尽快进行第二次性能测试。 但卖方进行性能测试的次数只限于三次。如果 由于卖方原因在第三次性能测试中未能达到性能或保证数值时,买方有权根据本合同附件十的规定向卖方索赔违 约金,只有在上一次性能测试结果表明合同项目已经达到本合同附件十规定的技 术性能和保证数值的情况下,违约金规 70

定才不适用。

在收到卖方赔偿的违约金后,买方应签署合同项目验收证书正本一式一份、 副本一式一份。无论如何,卖方应确保合同项目达到本合同附件三规定的性能和 保证数值,违约金的赔偿并不能免除卖方保证期的义务。

10.7.2 如果性能测试的失败属于买方的责任,卖方应协助买方再安排一次测 试,因此所发生的一切费用由买方负责。

如果因为买方原因性能和保证数值在第二次测试中仍不能达到要求,合同项 目应视为买方接收,测试完成后五天内双方的工地代表共同签署一份验收证书, 但卖方应协助买方采取必要措施使合同项目达到性能和保证数值,包括增加的技 术服务费用在内的所有费用均由买方承担。

10.8 如果因为卖方的其它原因导致试车和/或投料试生产和/或性能测试等 延期,和/或导致增加额外费用,买方有权对因此所造成的损失提出索赔。

如果属于买方原因,在最后一次交货提单签发日后_____月内仍然没有进行 性能测试,合同项目视为买方已经验收,但卖方仍应承担在本合同附件四规定的 技术服务范围和金额内协助买方开动和运转合同项目的责任。

10.9 合同项目的验收并不能免除卖方对合同项目的保证责任。

第十一章 保证与担保

11.1 卖方保证本合同项目能安全、稳定运行并能够生产出符合本合同附件三 规定的合格合同产品。

11.2 卖方保证自己是该许可专有技术和/或专利的合法的所有人和/或拥有 者,而且保证自己有权许可该项技术给买方。

买方在许可地域内被第三方指控对上述专有技术和/或专和/其它知识产权 构成非法利用或侵权,买方应通知卖方,卖方应在买方协助下,以买方名义与第 三方进行交涉并赔偿买方因此而受到的一切费用和损害等经济损失。

11.3 卖方保证其提供的专有技术和/或专利符合本合同附件二规定的先进性、 工业化和可开发性。

11.4 卖方保证其提供的合同设备是全新的,工艺是先进的,质量是优良的, 设计无任何缺陷,原材料和工艺均能稳定运行和满足本合同的目的,并符合本合 同附件三的规定。

卖方保证合同设备的使用和/或合同产品在许可地域的生产 与销售不会引 起第三方的侵权指控,如果买方因使用合同设备和/或生产与销售合同产品在许 可地域内遭到第三方的非法利用或侵犯其专有技术和/或专利和/或其它知识产 权的指控,买方应通知卖方,卖 71

方应在买方协助下,以买方名义与第三方进行交 涉,并赔偿买方因此而受到的一切费用和损害等经济损失。

11.5 卖方保证所交付的技术文件完整、清晰、准确,并能满足合同项目的设 计、检验、安装、试车、投料试生产、性能测试、运行和维修的要求。

11.6 卖方保证按期派遣熟练的技术人员向买方提供专业的、正确的和足够的 技术服务和技术培训。

11.7 合同项目的保证期为合同项目验收通过之日起的_______个月。合同项 目的担保具体规定在本合同附件三。在保证期内,如发现属于卖方责任的缺陷,卖 方接到买方的通知后立即予以修理以替换该缺陷设备。修理的或替换的设备保证 期应从买方验收后重新起算。

保证期内,如合同项目因卖方原因必须停止运行,该保证期应相应延长。保 证期满时,买方应签署合同设备保证期满证书正本、副本各一份。

第十二章 改进与回授

12.1 本合同有效期内,如卖方对所许可的专利和/或专有技术有所改进,卖 方应免费许可买方使用这种改进。如有必要,卖方还应提供技术支持以使该技术 改进能顺利投入本合同项目的使用。技术支持所发生的一切费用均由买方根据本 合同附件四所规定的条件负担。

12.2 买方有权在合同项目的运作过程中对许可的专利和/或专有技术予以改进,买方应将其所进行的改进通知卖方并免费回授给卖方,但买方所作的任何技 术改进属于买方独占。

12.3 任何一方有义务对对方提供的技术改进保密,并承诺不将此许可 任何第三方。

第十三章 保 密

13.1 本合同生效后_______年内,任何一方有义务采取适当措施不向任何第 三方透露上述专有技术和相关的技术文件,对参与履行本合同的其他方除外,但 他们必须承担同样的保密义务。

13.2 任何一方应对其和/或其技术人员在履行本合同过程中获得的或接触到 的商业秘密承担保密义务,未经对方事先的书面同意,不得利用或公开该商业秘 密。

13.3 保密义务不适用于下列技术资料:

A.现在或随后已进入公共领域的;

B.可以证明在公开该技术秘密时,该技术秘密已被任何一方所拥有,而且 并非直接或间接地从对方得到;

C.从第三方已合法获得的并不承担保密义务的资料。

第十四章 索 赔

14.1 如果卖方在设计、生产、检验、安装、试车、投料试生产、性能测试和 保证期等过程中,未能履行本合同规定的任何义务,买方有权采取下列补救措施 向卖方提出索赔:

14.1.1 卖方负担费用修理有缺陷的合同设备或消除合同设备的缺陷或与合同 规定不符之处,如果卖方不能派遣技术人员到工作现场,买方有权自行消除该缺 陷或与合同规定不符之处,费用由卖方负担。

14.1.2 卖方负担费用重新替换缺陷的合同设备或错误的技术文件或补充缺漏 的合同设备或技术文件,卖方保证替换品的质量并重新计算保证期。上述替换品 或补充品由卖方自担费用和风险运送到工作现场,紧急需要的设备应空运到工作 现场。

14.1.3 根据劣质程度、损害范围和买方实际遭受损失的数额,降低合同设备的价格。

14.1.4 赔偿因卖方过错而造成的其它损失和损害。

14.2 在保证期满后30日内,买方出具的在保证期内发现的设备缺陷的索赔 通知仍然有效。

14.3 如果卖方在接到买方的索赔通知后14日内未予以答复,该索赔被视为 卖方已经接受。

第十五章 解除合同

15.1 对于卖方的下列违约,买方向卖方发出书面违约通知后提前全部或部分 解除合同,但并不损害买方可采取其它补救措施的权利:

A.在规定的交付合同设备和/或技术文件时间之后________天内仍未交 付;

B.未能使合同项目达到本合同附件十规定的性能和保证数值的最低水平;

C.未能履行合同规定的其它义务,但微小的缺陷除外,在收到买方的违约 通知后__________天内仍未弥补其过失。

15.2 如果一方破产或无力偿还债务,另一方可随时向其发出书面通知解除本 合同,解除合同并不损害或影响任何其它可能的补救措施。

15.3 如果买方全部或部分解除本合同的,买方可依据适当的条件从别处取得 与卖方未交付和/或未履行相类似的设备、技术文件和/或技术服务,卖方承担 因此而多支出的费用。无论如何,卖方应继续履行合同中未解除的部分。

第十六章 不可抗力

16.1 任何一方由于战争及严重的火灾、台风、地震、水灾和其它不能预见、 不可避免和不能克服的事件而影响其履行合同所规定的义务的,受事故影响的一 方将发生的不可抗力事故的情况以传真通知另一方,并在事故发生后十四天内以 特快专递将有权证明的机构出具的证明文件提交另一方证实。

16.2 受影响的一方对因不可抗力而不能履行或延迟履行合同义务不承担责任。 然而,受影响的一方应在不可抗力事故结束或消除后尽快以传真通知另一方。

16.3 双方在不可抗力事故停止后或影响消除后立即继续履行合同义务,合同 条件相应延伸,如果不可抗力事故持续一百二十天以上时,任何一方有权书面通知对方终止本合同。

第十七章 税 费

17.1 中国政府依据其现行的中华人民共和国税法对买方课征与本合同有关或 因执行本合同所发生的各项税费,均由买方支付。

17.2 中国政府根据其中国税法和与卖方国家政府关于避免双重征税和防止偷 逃所得税的协定而向卖方课征的各项税费均由卖方支付。

买方依据中国税法有义务对根据本合同而应得的收入按比例代扣一定的税费 并代向中国相关的税务机关缴纳,在收到税务机关出具的关于上述税款税收单据 后,买方应毫不迟延地转交给卖方。

17.3 中华人民共和国以外所发生的与本合同有关和履行本合同的各项税费均 由卖方承担。

第十八章 仲 裁

18.1 凡因本合同引起的或与本合同有关的任何争议,均应提交中国国际经济 贸易仲裁委员会深圳分会,按照申请仲裁时该会现行有效的仲裁规则进行仲裁, 仲裁裁决是终局的,对双方均有约束力。仲裁适用中华人民共和国法律。

18.2 除非另有规定,仲裁不得影响合同双方继续履行合同所规定的义务。

第十九章 合同的生效及其它

19.1 本合同在双方授权代表签字后,如果需要,由各方分别向本国政府当局 申请批准。双方应尽一切努力使合同在签字后30天内获得各自国家当局的批准, 各方应立即将批准日期书面通知对方。最后一方的批准日期为本合同生效日期。

19.2 本合同有效期为________ 年。本合同期满时,合同项下的任何未了的债权债务 74

不受合同期满的影响,债务人应对债权人继续偿付未了债务。

19.3 本合同用中英文两种文字写成,两种文字具有同等效力。本合同正本一 式四份,买卖双方各二份。

19.4 本合同的附件为本合同不可分割的组成部分,与合同正文具有同等法律 效力。如附件与正文有冲突之处,正文内容优先。

19.5 对本合同条款的任何修改、增减和变更,须经双方授权代表以书面形式 做成和签字。

19.6 除非合同另有规定,本合同条款的解释适用于国际商会《20xx年国际 贸易术语解释通则》和国际商会《跟单信用证统一惯例》(UCP500)。

19.7 任何一方未经另一方书面同意,不得将本合同项下的任何权利或义务转 让给第三者。

19.8 双方之间的联系应以书面形式进行,涉及重要事项的传真应随后立即以 航空挂号信件或特快专递确认。

附件四:技术服务的范围和卖方技术人员的待遇

1. 为了合同项目的顺利建设,卖方应派遣技术熟练的、身体健康的、称职的 技术人员到工作现场提供技术服务。如有必要,双方可根据合同项目的进展情况 通过协商调整本附件所规定的任何事项。

2. 卖方应在技术人员到达工作现场两个月前就将有关情况通报买方包括所派 技术人员的姓名、性别、出生日期、籍贯、护照号码、专业、资格、职业、工作 地点和外语能力,以取得买方的协助与确认。出发前七天,卖方应向买方通报所 派技术人员的姓名、具体的出发日期、航班号、到达日期、行李件数和重量。

3. 卖方应从所派遣的技术人员中指定一名作为其工地代表,以解决与合同项 目有关的技术问题。

4. 买方技术人员到达工作现场后,双方的工地代表应对一份总的进度表和月 度的工作计划进行协商并达成一致。对工作进度的修改必须经双方工地代表协商 解决。卖方技术人员应根据双方同意的工作进度开展工作。

5.在合同项目的安装、试车、投料试生产、性能测试、运行和维修期间,卖 方技术人员应详细解释技术文件,对买方提出的技术问题应给予必要示范操作和 全面回答。

6.卖方技术人员每周工作四十小时(每周五天,每天八小时。每天的上下班 时间按工作现场的规章制度。中华人民共和国的所有星期六、日和公共假日均为 卖方技术人员的无薪假日。

如果需要加班,双方工地代表应事先协商达成一致,正常工作日八小时以外 的工作时间或星期六、日及公共假日的工作时间等均视为加班。但卖方技术人员 在合同项目投料试生产、性能测试期间的每周四十个小时内的倒班不算加班。

加班后,应尽量在短期内安排倒休。如不能安排倒休,加班一小时按一个半 小时计算, 76

连续加班超过六小时的技术人员,应允许休假一天。

7.卖方技术人员的实际工作小时和加班时间应按日记载在“计时卡”一式二 份,由双方工地代表签字,“计时卡”作为计算技术服务费和卖方技术人员加班费 的依据。买方将按下列 比例支付卖方技术人员每天的技术服务费:

10. 工作进度、每天完成的主要工作、发生的问题或责任事故以及解决的办 法等,都应以中、英文记载在工作日志中,每天由双方工地代表签字一式两份,双 方各执一份。

11. 买方应对卖方技术人员出入中国国境和在中国居留提供便利,所有费用 由卖方承担。

12. 根据中国海关的规定,买方协助卖方技术人员办理适量的生活用品和提 供技术服务必须的技术文件、工具和仪器的入、出中国国境的手续,费用由卖方 负担.上述物品在运进或运出前,卖方须将品名、规格、数量、重量、航空单号、 金额和进出日期等预先通知买方。

13. 买方为卖方技术人员安排膳食、带有必要家俱和卫生设备的住房、办公 室、安全用品、必要的工作用具、交通工具、工作现场翻译等,费用由卖方负担。

14. 其 它:

14.1 如果认为卖方的技术人员不够称职,买方有权要求卖方予以更换,更换 所发生的一切费用由卖方负担。

14.2 在不影响现场工作的前提下,经买方同意,卖方可以自费更换其技术人 员,即使是交接工作的两位技术人员都在现场,买方只负担一人的技术服务费用。

14.3 卖方技术人员在中国居留期间,应遵守中华人民共和国的法律和法规以 及工作现场的规章制度。

附件五:技术培训和买方技术人员的待遇

1.卖方同意接受买方技术人员 _________名到卖方工厂进行培训共______ 天,包括往返路程。

2.技术培训期间,卖方应选派技术熟练的、称职的技术人员对买方技术人员 进行技术指导并解释买方技术人员在执行合同中可能遇到的一切技术问题。

3.卖方应于培训前三个月向买方提出初步培训计划供买方确认,买方应于培 训前一个月通知卖方受培训人员的姓名、性别、出生日期、籍贯、职务和专业。最 终培训计划应由双方根据买方技术人员的实际需要通过协商决定。

4.卖方应保证买方技术人员在上述项目各个不同岗位进行培训,以使他们懂 得和掌握合同项目的工艺、操作、检验、修理和维修。培训开始前,卖方应向受 培训人员详细解释操作规则和工作注意事项。

5.卖方应免费向买方技术人员提供培训期间的试验仪器、工具、技术文件、 图纸、参考资料、工作服、防护用具、其它必需品和合适的办公室。

6.卖方应向买方技术人员提供住房、膳食和交通便利,费用由买方负担。

7.卖方应协助买方技术人员办理出入卖方国家的签证和居留期间的一切手 续。

This Contract is made and entered into through friendly negotiation by and between China ____________________Corporation, a corporation organized and existing under the laws of the People's Republic of China (hereinafter referred to as "the Buyer"), as one party and__________, a corporation organized and existing under the laws of __________ (hereinafter referred to as "the Seller"), as the other party, under the following terms and conditions:

Chapter 1 Definition

In the Contract unless the context otherwise defines,

1.1 Contact Equipment means the equipment, materials, spare parts or any part thereof supplied by the Seller including those with which Contract Products are produced, details of which are specified in Appendix 1 and 3 to the Contract.

1.2 Contract Plant means the plant comprised of Contract Equipment, Technology and the complete sets of auxiliary facilities, details as per Appendix 3 to the Contract.

1.3 Contract Product means the products manufactured in the Contract Plant, the technical specifications, performance and guarantee indices of which are specified in Appendix 3.

1.4 Contract Price means the sum payable to the Seller under the Contract for full and proper performance of its contractual obligations, details of which are specified in Appendix 7.

1.5 Contract Currency means the currency in which the payment is made under the Contract, namely____________________ .

1.7 Erection means the installation of the equipment, spare parts and materials including placing and connecting the parts to their positions according to the design drawing, details of which are specified in Appendix 10.

1.8 Test Runs means the test conducted respectively on the individual equipment and a series of equipment after Erection in order to check the mechanical performance of Contract Equipment, details of which are specified in Appendix 10.

1.9 Commissioning means the initial production of the Contract Plant for the purpose ofcarrying out the Performance Test after the utilities being connected and the raw materials being put into the Contract Plant, details of which are specified in Appendix 10.

1.10 Performance Test means the tests conducted pursuant to Appendix 10, in order to identify whether the Contract Plant and the Contract Product have achieved the technical performance and guarantee indices specified in Appendix 3.

1.11 Acceptance means the Buyer accepts the Contract Plant after it reaches the technical performance and guarantee indices specified in Appendix 3.

1. 12 Port of Shipment and Unloading refers to____________________ port, as Port of Shipment;____________________ port as Port of Unloading.

1.16 Technical Documentation means the technical indices, specifications, drawings and documents related to Design, Inspection, Erection, Test Runs, Commissioning, Performance Test, operation and maintenance of Contract Plant, details of which are specified in Appendix 2, 3, 8 and 9.

1.17 Technical Service means the technical instruction, assistance and supervision rendered by the Seller to the Buyer with respect to Erection, Test Runs, Commissioning, Performance Test, operation, maintenance and other work related to the Contract Plant, details of which are specified in Appendix 4.

1.18 Technical Training means the training rendered by the Seller to the Buyer with respect to Erection, Test Runs, Commissioning, Performance Test, operation, maintenance and other work 83

related to the Contract Plant, details of which are specified in Appendix 5.

1.19 Inspection Authorities refers to the local inspection branch of State Administration for Entry-Exit Inspection and Quarantine of PRC located at/near the Port of Unloading and/or the Job Site.

1.20 Warranty Period means a period starting from the date of acceptance, during which the Seller warrants the proper and stable operation of the Contract Plant and is responsible for eliminating any defects with respect to the Contract Plant, detail of which are specified in Appendix 3.

1.21 Effective Date of the Contract means the date when the contract is approved by competent authorities of the respective Party's countries.

Chapter 2 Scope of the Contract

2.1 The Buyer agrees to buy from the Seller and the Seller agrees to sell to the Buyer __________(Contract Plant), including the Contract Equipment, licensed patent and /or know-how, design, Technical Documentation, Technical Service and Technical Training, contents of which are specified in Appendix 1, 2, 4, 5, 8 and 9.

2.2 The Seller shall supply the Contract Equipment listed in Appendix 1. The technical specification, performance and guarantee indices of the Contract Equipment are specified in Appendix 3.

2.3 The Seller agrees to grant the Buyer a exclusive/or non-exclusive and transferable/or non-transferable license to use the patent and/or know-how in order to manufacture and sell the Contract Product within the territory of PRC, and export to__________ (country), details of which are specified in Appendix 2.

The Seller shall not prohibit the Buyer from using the patent and / or know-how after the expiration of the Contract.

2.4 The Seller shall undertake the design work with respect to the Contract Plant, details of which shall be as per Appendix 8.

2.5 The Seller shall submit to the Buyer the Technical Documentation as specified in Appendix 2,3,8, and 9.

2.6 The Seller shall dispatch its experienced, healthy and competent technical personnel to the Job Site to render Technical Service, details as per Appendix 4.

2.7 The Seller shall render Technical Training to the technical personnel dispatched by the 84

Buyer. The number of personnel, training place and the extent of training are shown in Appendix 5.

2.8 The Seller shall, at the Buyer's request, provide the Buyer with spare parts for normal operation of the Contract Plant at favorable prices within_____years after the Acceptance of the Contract Plant. A separate agreement will be signed between the two Parties at that time.

Chapter 3 Price

3.1 The total Contract Price for Contract Equipment, license of patent and/or know-how, design, Technical Documentation, Technical Service and Technical Training to be rendered by the Seller under the contract _________(say: __________only).

3.3 The total Contract Price as specified in Article 3.1 is a fixed and firm price.

3.4 The Technical Service fee specified herein is the ceiling price for all theservice necessary for the performance of the contract. In case the service actually performed is less than estimated, the Buyer will pay the Seller the actual amount duly calculated.

3.5 The price for Contract Equipment as specified in Article 3.2.1 is for delivery CIF (liner term) Port of Unloading and the price for Technical Documentation as specified in Articles 3.2.2 and 3.2.3 is for delivery DDU Destination Airport.

3.6 The itemized price list of the Contract Plant in Appendix 7.

Chapter 4 Payment

4.1 All payments to be made by the Buyer to the Seller shall be effected through the Buyer's Bank and the Seller's Bank in Contract Currency.

4.2 The Buyer shall make the payment in the following method:

Option One:

The total Contract price shall be Paid by Telegraphic Transfer (T/T) according to the following installments and percentage upon presentation of the following documents.

Option Two:

The total Contract Price shall be paid by Documents against Payment (D/P) or Documents against Acceptance (D/A) according to the following installments and percentage upon presentation of the following documents.

Option Three:

The total Contract Price, except the advance payment and the Technical Service fee, shall be paid by Irrevocable Letter of Credit. The advance payment and the Technical Service fee shall be paid by Documents against Payment (D/P). The Buyer shall, within _____days after the Effective Date of the Contract, open an Irrevocable Letter of Credit, in favor of the Seller for thesaid amount. A. One (1) original and two (2) duplicate copies of the valid export license issued by relevant authorities of the Seller's and/or manufacture's country or a statement of relevant authorities/agency certifying that no export license is required;

B. One (1) original and one (1) duplicate copy of the Irrevocable Letter of Guarantee for advance payment issued by the Seller's Bank in favor of the Buyer covering__________(say__________only), specimen of which is specified in Appendix 11;

C. Five (5) copies of pro-forma invoice covering the Contract Price;

D. Five (5) copies of manually signed commercial invoice indicating the amount to be paid and the portion related to the licensed patent and/or know-how;

E. Two (2) copies of sight draft.

4.2.2 Payment for license, design, Technical Training and Technical Documentation

4.2.2.1 ____Percent (_____ %) of the price for license, design, Technical Training and Technical Documentation as specified in Article 3.2.2,3.2.3 and

3.2.i.e.____________________(say ____________________only) shall be paid by the Buyer to the Seller upon delivery of the basic design package by the Seller and within_____days after the following documents have been received and found in order:

A. One (1) original and three (3) duplicate copies of the airway bill marked "REIGHT PREPAID"or receipt of registered airmail for the delivery of basic design package;

B. Five (5) copies of manually signed commercial invoice indicating the amount to be paid and the portion related to license of patent and/or know-how;

C. Two (2) copies of sight draft.

4.2.2.2 ________ Percent (_____%) of the price for license, design, Technical Training and Technical Documentation as specified in Article 3.2.2,3.2.3 and 3.2.5 i.e. __________________(say__________________only) shall be paid by the Buyer to the Seller upon delivery of the detailed design package by the Seller and within_____days after the following documents have been received and found in order:

A. One (1) original and three (3) duplicate copies of the airway bill marked "REIGHT PREPAID" or receipt of registered airmail for the delivery of detailed design package;

B. Five (5) copies of manually signed commercial invoice indicating the amount to be paid 87

and the portion related to license of patent and/or know-how;

C. Two (2) copies of sight draft.

4.2.3 Payment of Contract Equipment

_____Percent (_____%) of the price for Contract Equipment as specified in Chapter 3.2.1, i.e. (say__________only) shall be paid by the Buyer to the Seller pro rata upon each shipment and within_____days after the following documents have been received and found in order:

A. Three (3) originals and three (3) duplicate copies of clean on board ocean Bill of Lading made out to order, blank endorsed, notifying________and marked "REIGHT PREPAID";

B. Two (2) originals and two (2) duplicate copies of ocean transportation insurance policy or certificate for 110% of the invoice value of Contract Equipment showing claims payable in China in Contract Currency and covering all risks, war risk and on deck risk if applicable;

C. Five (5) copies of manually signed commercial invoice indicating the amount to be paid and the itemized price;

D. One (1) original and five (5) duplicate copies of detailed packing list indicating the shipping weight, number and the date of the corresponding invoice;

E. One (1) original and five (5) duplicate copies of ex-works quality certificate issued by the manufacturer;

F. Two (2) copies of sight draft;

G. One (1) original and five (5) duplicate copies of certificate of origin issued by relevant authorities or agency of the manufacture's country;

H. One (1) copy of the Buyer's fax showing that the carrying vessel has been approved by the Buyer;

I. One (1) copy of fax advising the Buyer of the shipment immediately after it is made.

4.2.4 Payment after the Acceptance of the Contract Plant

_____Percent (_____%) of the price as specified in Article 3.2.1, 3.2.2, 3.2.3 and 3.2.5, i.e.____________________(say____________________only) shall be paid by the Buyer to the Seller within_____days after the following documents have been received and found in order:

A. One (1) copy of the Acceptance Certificate of the Contract Plant signed by the Site Representatives of two Parties;

B. Five (5) copies of manually signed commercial invoice indicating the amount to be paid and the portion related to the licensed patent and/or know-how;

C. Two (2) copies of sight draft.

4.2.5 Payment after the Expiration of the Warranty Period of the Contract Plant

_____Percent (_____%) of the contract price as specified in Article 3.2.1, 3.2.2, 3.2.3 and

3.2.5,i.e.____________________(say ____________________only) shall be paid by the Buyer to the Seller within _____days after the following documents have been received and found in order:

A. One (1) copy of the Certificate certifying the expiration of the Warranty Period of the Contract Plant issued by the Buyer;

B. Five (5) copies of manually signed commercial invoice indicating the amount to be paid and the portion related to license of patent and/or know-how;

C. Two (2) copies of sight draft.

4.2.6 Payment for Technical Service

The Technical Service fee as specified in Article 3.2.4 shall be paid by the Buyer to the Seller once every _____months after the arrival of the first group of the Seller's technical personnel at the Job Site and within _____days after the following documents have been received and found in order:

A. Five (5) copies of manually signed commercial invoice indicating the amount to be paid and the portion related to license of patent and/or know-how;

B. Two (2) copies of time sheets signed by the Site Representatives of two Parties;

C. Two (2) copies of sight draft.

4.3 If the Seller fails to submit the documents specified in Article 4.2.3 in due time, all the costs thus incurred at the Port of Unloading including but not limited to storage expenses and overdue fine shall be borne by the Seller.

4.4 In case the Seller is liable for paying the withholding taxes, liquidated damage and/or compensation under the Contract, the Buyer has the right to deduct such amount from any payment due.

4.5 All the banking charges incurred in the Buyer's Bank shall be borne by the Buyer while those incurred outside the Buyer's Bank shall be borne by the Seller.

Chapter 5 Delivery and Insurance

5.1 The Seller shall complete the delivery of Contract Equipment in _____ lots within _____ months after the Effective Date of the Contract.

5.2 The Contract Equipment is approximately __________ metric tons in gross weight, __________ metric tons in net weight and __________ metric tons in total volume.

5.3 The Port of Shipping the Contract Equipment is_____________, the port of unloading is_________________.

5.4 The Seller shall, in accordance with the delivery schedule as specified in Appendix 6, submit six (6) copies of preliminary delivery schedule to the Buyer within _____ months after the Effective Date of the Contract. The preliminary delivery schedule shall include Contract No., item No., name and type of Contract Equipment, specification, quantity, unit/total price, the approximate total gross and volume, expected delivery time, Port of Shipment, name of dangerous and/or inflammable goods and their IMCO No.(as per International Maritime Dangerous Goods Code), the dimension (length, width, height and volume) and approximate weight of the oversize and/or overweight Contract Equipment as well as special requirements and precautions for the transportation and storage of dangerous and/or inflammable goods.

5.5 The maximum weight of each inseparable/integrated Contract Equipment is twenty (20) metric tons while the maximum measurement is 12 x 2.7 x 3 meters. The Seller shall present the Buyer six (6) copies of the sketch for those Contract Equipment beyond the said limits for discuss within _____ months after the Effective Date of the Contract, and only after having the Buyer's confirmation can the Seller arrange the production of such Equipment. The Buyer shall confirm it by writings within _____ days after having received the said sketch, otherwise the Seller can start the fabrication.

5.6 Within _____ months after the Effective Date of the Contract, the Seller shall submit to the Buyer the final delivery schedule in six (6) copies, which shall include the following items: Contract No., name and type of Contract Equipment, item No., specification, quantity, name of dangerous and/or inflammable goods and their IMCO No.(as per International Maritime Dangerous Goods Code), the approximate total gross and volume, unit/total price, the dimension (length, width, height and volume), port of Shipment and expected loading date, as well as the overall packing sketch of oversize and/or overweight Contract Equipment

5.7 If any Contract Equipment contains dangerous and/or inflammable items the Seller shall submit an English description in six (6) copies indicating the name, characteristic, special handling and protective measures in case of accidents in respect of such items. The Seller shall instruct the shipping company to indicate in the Bill of Lading the case No./container

5.8 For the Contract Equipment that requires special storage, the Seller shall present English 90

description in six (6) copies stating special precautions in inland transportation and storage.

5.9 Each piece of Contract Equipment shall be shipped in complete set whenever possible. The special tool for Erection, materials and easily worn-out parts shall be dispatched along with the main equipment concerned. In case any Contract Equipment is agreed to be shipped on deck, the Seller shall take special protective measures.

5.10 Not later than _____ days before the readiness for each shipment, the Seller shall notify the Buyer by fax of the following contents:

A. Contract No.;

B. Date of readiness for the shipments;

C. Total volume;

D. Total gross weight/total number of packages;

E. Port of Shipment;

F. Name, total gross weight and measurements of each piece exceeding twenty (20) metric tons in weight or 12 x 2.7 x 3 meters in measurement;

G. Name, weight, IMCO No. (as per International Maritime Dangerous Goods Code) of the dangerous and/or inflammable goods.

In the meantime the Seller shall airmail the following documents in six (6) duplicate copies to the Buyer:

A. The details list of the shipment covering Contract No., item No., name of the Contract Equipment, specification, type, quantity, unit/total price, unit weight, unit/total volume, the overall dimensions of each package (length x width x height), total number of packages and Port of Shipment.

B. Overall packing sketch for each large piece exceeding twenty (20) metric tons in weight or 12 x 2.7 x 3 meters in measurement;

C. Description of any dangerous and/or inflammable goods indicating names, properties, special protective measures and handling methods in case of accident;

D. Description of the special precautions for the Contract Equipment that requires special storage and transportation.

Another duplicate copy of the said documents shall be airmailed to the transportation agent 91

appointed by the Buyer as the basis of arranging inland transportation, loading and unloading of the Contract Equipment.

5.11 The Seller shall be responsible for booking the shipping space and may choose any shipping company from the following list: ______________.

In case the shipping company listed above cannot provide the vessel to meet the shipping requirement under the Contract, the Seller shall charter a vessel from a shipping company with good reputation. The chartered vessel shall not exceed fifteen (15) years of service with a good record of carrying goods and shall be of any flag or nationality acceptable to the governments of two parties' countries. If the vessel has been in service for more than fifteen (15) years, old age vessel insurance shall be covered by the Seller at its own cost.

Not later than _____ days before each shipment, the Seller shall notify the Buyer of the information including the name of the proposed vessel, age, nationality, the registered place, owner, shipping line, the shipping route and the estimated date of departure from Port of Shipment and the estimated date of arrival at Port of Unloading for approval. In case no written comment or disapproval is given within _____ days upon the Buyer's receipt of the said notification, the proposed vessel shall be deemed as approved.

5.12 Unless otherwise agreed by the Buyer, "shipped on deck" or "transshipment" is not acceptable.

5.13 In order to facilitate the receipt of the Contract Equipment and inland transportation, the Seller shall, within _____ hours after loading, inform the Buyer by fax of the following information: Contract No., name of Contract Equipment, actual loading quantity, total gross weight, total volume, vessel name, completion date of loading or sailing date, the estimated date of arrival at the Port of Unloading. If the actual loading details of large pieces of Contract Equipment are different from those indicated in the Seller's prior notification, the differences shall be stated respectively.

Within _____ days after loading the Contract Equipment, the Seller shall airmail one (1) duplicate copy of the Bill of Lading, manually signed commercial invoice, ex-works quality certificate of origin, certificate or policy of insurance and packing list to the Buyer and the consignee respectively.

5.14 The third party ocean Bill of Lading is not acceptable.

5.15 In case the Seller fail to make delivery in accordance with the final delivery schedule,the Seller shall pay the liquidated damages for late delivery at the following rates:

A. From the first to the fourth week, the liquidated damage shall be ____ percent of the value of the delayed Contract Equipment per week.

B. From the fifth to the eighth week, the liquidated damage shall be ____ percent of the value of the delayed Contract Equipment per week.

C. After the ninth week, the liquidated damage shall be percent of the value of the delayed Contract Equipment per week.

Odd days less than one (1) week shall be counted as one week for calculating the liquidated damage. The total amount of the liquidated damages shall not exceed _____ percent of the total Contract Price. The payment of liquidated damages shall not release the Seller from its obligation to deliver the delayed Contract Equipment.

5.16 The Seller shall effect insurance against all risks, war risk and on deck risk if applicable, with a first class insurance company covering 110% of the invoice value of the Contract Equipment with the Buyer as the beneficiary. The insurance has to be covered in the Contract Currency showing claims payable in China and with no deductible clause.

In case the Contract Equipment are lost and/or damaged in the ocean transportation, the Seller shall assist the Buyer to apply to the insurance company for compensation or lodge claims against the insurance company on behalf of the Buyer and effect, upon the Buyer's request, supplementary supply of the same at the original Contract Price.

Chapter 6 Packing and Marking

6.1 Unless otherwise specified in the Contract, the Contract Equipment shall be packed by the Seller in new and wooden cases and necessary measures shall be taken to protect the Contract Equipment from moisture, rain, rust, corrosion, shock and damages according to their different shapes and special features so as to make the Contract Equipment withstand numerous handling, loading and unloading as well as long distance ocean and inland transportation to ensure the Contract Equipment safe arrival at the Working Site without any damage or corrosion.

6.2 The loose accessories in package or bundle shall be labeled by the Seller indicating Contract No., name of main equipment, name of accessories and their position number and accessory number marked on assembling drawings. Spare parts and tools shall be marked with the words "SPARE PARTS" or "TOOLS" besides the above mentioned particulars.

6.3 The Seller shall, on four (4) adjacent sides of each package, mark conspicuously the following items in English with indelible paint:

A. Contract No.;

B. Shipping Mark;

C. Destination;

D. Consignee;

E. Name of Contract Equipment and Item No.;

F. Case No./Bale No.;

G. Gross/Net weight;

H. Measurement (length X width X height in cm).

Should the Contract Equipment weight 2 or more than 2 metric tons, the weight, gravity and hoisting position shall be marked in English and with international trade transportation practice marks illustrative marks on the four adjacent sides of each case so as to facilitate and loading, unloading and handling. In accordance with the characteristics and different requirements in loading, unloading and shipping different equipment, the package shall be conspicuously marked with "HANDLE WITH CARE", "RIGHT SIDE UP", "KEEP DRY", etc, in English and with appropriate international trade practice marks and illustrative marks.

6.4 The following documents shall be enclosed in each package of the Contract Equipment:

A. Two (2) duplicate copies of detailed packing list;

B. Two (2) duplicate copies of quality certificate;

C. One (1) copy of Technical Documentation for relevant Contract Equipment;

D. Two (2) copies of systematic assembling drawings for the machine and parts to be assembled.

6.5 In case of container transportation, the Seller shall examine the conditions of the containers so that only those in good conditions shall be used for delivery of the Contract Equipment. Sufficient shores or chocks shall be provided in order to prevent the Contract Equipment from moving inside the containers. The Seller shall be liable for any damage to the Contract Equipment thus incurred due to the negligence of the Seller.

6.6 If any of the Contract Equipment is damaged or lost due to improper packing and/or inadequate protective measures, the Seller shall be responsible for repair, replacement and/or compensation in accordance with the Contract. If the Contract Equipment are mistransported due to mistake or ambiguousness in package and/or shipping marks, the Seller shall bear additional expenses thus incurred.

6.7 The Seller shall use wooden package free from any insect infestation. Should insect infestation be found in quarantine inspection, the Seller shall bear the cost incurred in fumigation or replacement of package at the Port of Unloading.

Chapter 7 Technical Documentation

7.1 The contents of the Technical Documentation are specified in Appendix 2,3,8 and 9. The Technical Documentation shall be drafted in metric system and be stated and explained in English, unless otherwise provided.

7.2 The Technical Documentation provided by the Seller shall be properly packed to make them withstand numerous handling, long-distance transportation and to be protected against damages from moisture and rain. The surface of each package shall be painted with the following items:

A. Contract No.;

B. Consignee;

C. Destination;

D. Shipping Mark;

E. Gross weight;

F. Case No./Bale No.

Two (2) copies of list indicating series No., code, title and pages of documentation shall be enclosed in each parcel of the Technical Documentation.

7.3 The Technical Documentation provided by the Seller shall be delivered DDU the Destination Airport in lots within _____ months after the Effective Date of the Contract.

7.4 Within _____ hours after dispatching the Technical Documentation, the Seller shall notify the Buyer by fax of the dispatching date, number of parcels, flight No., and approximate gross weight, and submit to the Buyer the following documents:

A. Two (2) copies of airway bill (marked with the Contract number and the consignee);

B. Two (2) copies of detailed list of Technical Documentation. In case of any shortage, loss or damage in respect of the Technical Documentation, the Seller shall effect promptly supplementary delivery of any omitted, lost or damaged part without any charge upon receipt of the Buyer's notification.

7.5 The date stamped on the airway bill by the Destination Airport shall be deemed as the actual delivery date of the Technical Documentation.

7.6 The Seller shall deliver the Technical Documentation in accordance with the schedule specified in Appendix 2 and 8. Should the Seller fail to deliver any lot of the Technical Documentation or any part thereof in due time, the Seller shall be penalized for late delivery at the following rates:

A. For the first week, ____ percent of the value of the Technical Documentation per week;

B. From the second to the fourth week, _____ percent of the value of theTechnical Documentation per week;

C. From the fifth week, _____ percent of the value of the Technical Documentation per week.

Odd days less than one (1) weed shall be counted as one week for calculating the liquidated. The aggregated value of the Technical Documentation specified in Article 3.2.2 and Article 3.2.3 including the license fee and design fee shall be taken as the basis for calculating the liquidated damage, despite any portion of Technical Documentation is involved in late delivery. The total amount of liquidated damages paid by the Seller for late delivery of Technical Documentation shall not exceed _____ percent of the Contract Price. The payment of liquidated damages by the Seller shall not release the Seller from its obligation to deliver the delayed Technical Documentation.

Chapter 8 Design and Design Liaison

8.1 Both parties shall carry out and complete design and design liaison in accordance with Appendix 8.

8.2 The scope of design undertaken by either party and submission the Technical Documentation are specified in Appendix8. The documentation submitted by the Buyer shall be taken as the design basis.

8.3 The contents, time schedule, place, cost, the number and qualification of participants of the design liaison meetings are specified in Appendix 8.

8.3.1 Within ______ months from the Effective Date of the Contract, the Seller shall, at its own cost, dispatch its technical personnel to participate in the kick-off meeting and submit to the Buyer before the meeting the relevant documentation including the standards and codes specified in Appendix 9. The Buyer is entitled to put forward its opinions on the submitted standards and codes. The standards and codes shall be decided on the kick-off meeting and be taken as the design basis. During the kick-off meeting, both parties shall sign the kick-off meeting protocol, which shall be taken as the basis of basic design.

8.5 Within _____ months from the Effective Date of the Contract, the Buyer shall, in accordance with Appendix 8, dispatch its technical personnel to the Seller's office to participate in 96

the basic design review meeting. The Seller shall submit the basic design documentation to the Buyer before the meeting as per Appendix 8. The Buyer is entitled to put forward its opinions on the submitted documentation. The Seller shall take the Buyer's opinions into consideration and modify its design accordingly. The basic design review meeting protocol shall be signed by both parties through consultation and shall be taken as the basis of detailed design.

8.6 Within _____ months from the Effective Date of the Contract, the Buyer shall dispatch its technical personnel to the Seller's office to participate in the detailed design review meeting during which the detailed design review meeting protocol shall be signed by both parties.

8.7 During the design liaison meetings, the Seller shall assist the Buyer's personnel in visiting the factories manufacturing Contract Equipment and answer the questions put forward by the Buyer in connection with the technical matters of the Contract plant.

Chapter 9 Standards and Inspection

9.1 The Seller shall carry out design, selection of materials, manufacture and inspection of the Contract Equipment according to the protocols signed by two parties during design liaison and existing standards and codes of the Seller's country and/or of the Seller itself, which is specified in Appendix 9.

9.2 The Seller or the manufacturer shall inspect the Contract Equipment and issue the ex-works quality certificates as well as pre-delivery inspection records, all expenses involved shall be for the Seller's account. The ex-works quality certificates and pre-delivery inspection records shall be submitted to the Buyer.

9.3 The Buyer is entitled to send its inspectors to the Seller's and/or manufacturer's countries to inspect the manufacturing process and quality of the main equipment together with the Seller's inspectors.

The Seller shall notify the Buyer of the inspection date _____ month in advance, The Buyer shall confirm whether it will dispatch the inspectors within _____ days upon receipt of such a notice.

9.4 The main equipment shall be assembled in the presence of the Buyer's inspectors. The Buyer's inspectors have the right to attend the meetings related to the quality of the Contract Equipment.

9.5 The Seller shall give full considerations to the opinions put forward by the Buyer s inspectors, and shall take necessary measures at its own costs to eliminate the defect or discrepancy, if any, thus a second inspection shall be conducted by the Seller for its own account.

In case the Buyer'inspectors are not present in due time not due to the Seller's fault, the Seller has the right to carry out the assembly and the inspection on its own.

9.6 The pre-delivery inspection shall not substitute the inspection of the Contract Equipment at the port of Unloading and/or the Job Site and shall not release the Seller from its guarantee obligations as further specified in the Contract.

9.7 The open-package inspection on the Contract Equipment shall be performed by the Inspection Authorities at the Job Site. The Buyer shall inform the Seller the date of the inspection____ days before the open-package inspection. The Seller may send its representatives at its own expenses to be present in the inspection. If the Seller's representatives are not present in the open-package inspection, the Inspection Authorities have the right to conduct the inspection in their absence.

Should any shortage, defect, damage or other non-conformity with the Contract be found with the delivered Contract Equipment during the open-package inspection, the inspection certificate issued by the Inspection Authorities shall be taken by the Buyer as effective evidence to claim against the Seller

9.8 In case of container transportation, the opening and return of the containers shall not be regarded as the open-package inspection.

9.9 Should Contract Equipment be found defective before the expiration of Warranty Period for any reason, including but not limited to latent defect or the use of unsuitable materials, the Buyer has the right to apply to the Inspection Authorities for inspection and claim against the Seller on the strength of the inspection certificate.

9.10 If the standards and codes specified in the Technical Documentation are found incomplete, the Inspection Authorities will, at their discretion, carry out the inspection according to the current standards of the Buyer's country and/or other standards considered suitable by the Inspection Authorities.
