双方同意按下列条款由买方售出下列商品：

The Buyers agree to buy and the Sellers agree to sell the following goods on terms and conditions as set forth below：

1. 货物名称、规格、数量及价格：                 

1. Name of Commodity, Specifications, Quantity and Price.

2. 质量标准：产品设计，制造执行ISO9002体系。                                    

2. Quality Standards: Products are designed and manufactured in accordance with ISO9002.

3. 供方对质量负责的条件及期限：质保期为泵运行一年或泵到现场18个月，先到为准，易损件除外。

3. Supplier’s responsibility on warranty period and conditions: 12 months after placement in service or 18 months after delivery, whichever occurs earlier, except for wearing parts.

4. 包装标准、包装物的供应与回收：按供方厂标执行。                              

4. Packing standards and packages materials supply and recycling: According to supplier’s relevant standards.

5. 随机的必备品、配件、工具数量及供应办法。  无。

5. Supplies and quantity of spare parts, special tools with the goods, free of charge: N.A.

6. 货物所有权自交货时转移，但需方未履行交付价款义务的，货物属于供方所有。

6. The title to the goods is vested in the buyer at moment of the consignment. The seller has the title of the goods, however, under the condition that the buyer doesn’t pay according to the contract.

7. 交货时间、地点及运输责任：   现货，供方负担国内运输到需方国内指定地点。    

7. Delivery, transport and destination: In stock. The supplier takes charge of the transport and insurance.

8. 结算方式：电汇，合同签订后付30日内付清。。                               

8. Payment: 100% by TT in 30 days after the order placing

9. 本合同的解除的条件：  不可抗力。                                              

9. Condition of the contract termination:    If either party fails on account of force majeure.    

10. 违约责任：   按《合同法》相关条款执行。                                     

10. Liabilities for breach of contract: Both parties of the contract comply with The Chinese Law of Contract.

11. 合同争议的解决方式：本合同在履行过程中发生争议，由双方当事人协商解决；也可由当地工商行政管理部门调解；协商或调解不成的，按下列第  a  种方式解决；（a）提交  当地  仲裁委员会仲裁；（b）依法向大连人民法院起诉。

11. Contract dispute: During the period of the contract performance, any dispute settled through consultation by both parties, also by the mediation of local industrial and commercial administrative departments. Whenever negotiation or mediation fails, must settle according to   No, a  of the following means; (a) to the local Arbitration Committee; (b) according to the Dalian court.

12. 本合同自双方盖章签字之日起生效。

12. This contract will come into force at the date when it is signed and stamped by two parties.

13. 其他约定事项：未尽事宜，双方协商解决。

第二篇：工业品买卖合同(采购合同)

工业品买卖合同

第一条：标的物：

第二条：质量要求、验收标准：符合国家强制标准和行业标准，符合_____电力公司及所属______区县供电公司和电力设备安装公司的验收标准、要求。

第三条：交货时间、地点：在____年__月__日前由出卖人送到            交货，由出卖人承担运费。

第四条：包装标准、包装物：按统一包装，包装物不回收，合同标的货物无损送达。

第五条：附随文件、工具、配件、必备品：标准配置、完整技术资料、合格证、出厂检测报告、3C、说明书。

第六条：验收方式、时间：本产品为：    _______合同使用的元器件，买受人只对产品的外观、型号、数量进行核对；产品的质量及性能待产品验收送电运行经第三方（____电力公司及相关合同甲方）检验合格后，买受人方可认定此产品为合格产品对其办理入库；本合同所订产品，出卖人应给予买受人进行无条件免费退换。

第七条：成套设备的安装、调试：出卖人配合买受人进行设备技术指导和无偿技术服务。

第八条：出卖人质保：质保期为设备运行十二个月，产品缺陷责任终身负责，产品应符合国家规定的使用寿命。

第九条：结算方式：双方签定合同后付30%货款_____元，货物验收合格后__月开齐增值税发票付60%的货款____元，质保期满付清10%的货款_______元。

第十条：违约责任：出卖人没有按期交货，超过一日按合同货款5‰承担违约金；超过五日没有交货或部分交货，可以认定出卖人不能履行合同，买受人可以解除本合同，由出卖人按本合同货款的一倍承担违约金，并承担买受人相关合同的违约金赔偿及另行采购的额外开支等损失；如出卖人产品存在质量问题、不符合验收标准，出卖人全额退货，承担给买受人及相关合同甲方的一切经济损失。

第十一条：合同争议解决：双方在履行合同中发生争议，按照合同法协商解决；协商不成，依法向北京市丰台区人民法院起诉。

第十二条：本合同传真件、复印件同原件具有同等效力。

第十三条：本合同附件：出卖人的营业执照、相关资质证书复印件。

第十四条：其他事项：本合同的相关合同为买受人的：   _______合同，甲方为该合同的甲方，第三方包括______电力公司及所属相关区、县供电公司和项目中的相关电力设备安装公司。

第十五条：本合同在双方盖章签字之日生效，一式两份，双方各持一份。
