This Contract is made by and between the buyers and sellers, whereby the buyers agree to buy and the sellers agree to sell the under-mentioned goods subject to the terms and conditions as stipulate here;

For Sellers;

1.      The sellers should provide the goods as the contract, including the color, size, materials and date of delivery

2.      Insurance paid by the sellers

3. The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fifth teen days there after. The Sellers shall send by email to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.

For Buyers:

1. The buyers must pay for the sellers        in advance,           are paid in        .

2. Claims; Within 45 days after the arrival of the goods at the destination, should the quality, Specifications or quantity be found not in conformity with the stipulations of the contract except those claims for the sellers.

3. If the goods delayed at the delivery, the buyers should have the right on claims about           .

绿化工程实行合同谈判的请示

xx市交通运输局：

xx市xx镇xx公路xx绿化工程经xx市发展和改革局x发改投[xxxx]xx号文批准同意建设，目前道路改造已经完成，招标的绿化施工合同段经两次公开招标均未成功，现请示对本项目绿化施工合同段实行合同谈判以确定绿化施工单位。二次公开招标具体情况如下：

招标人于xxxx年x月x日在xx市公共资源交易中心网发布了第一次公开招标公告，至x月x日投标报名截止时间，投标报名单位只有2家，未满足开标条件，招标人按本项目招标文件规定进行重新招标。招标人于xxxx年x月x日在xx市公共资源交易中心网发布了第二次绿化施工招标公告，至x月x日投标报名截止时间，未有绿化施工单位前来投标。

根据《招投标法》及项目招标文件有关招标不成功处置的规定，现要求对本项目绿化施工合同段不再招标，以合同谈判形式确定施工单位，鉴于项目道路改造已完成绿化施工时间紧迫，望贵局能予以尽快批复。
