根据《中华人民共和国外资企业法》及其《实施细则》以及其他适用法规,** Limited(“投资方”)拟在中国**市设立一家外商独资企业,从事**业务。该拟建公司的名称为**有限公司(“公司”)。特此上报本可行性研究报告。

This Feasibility Study Report is submitted in connection with the application of **Limited (“Investor”) to establish a wholly foreign owned enterprise (the “WFOE”) in **, People’s Republic of China (“PRC”) to engage in ** business. The WFOE to be established will be named as ** Limited (the “Company”).

三、           公司的主要经营项目及相关情况

3.                      整体规划

投资方将在中国开展业务,招聘中国员工、与中国的公司和企业直接开展业务,并按当地货币(人民币)开立帐单和收取款项。鉴于技术能力和市场能力的不断加强,公司计划开业后立即开始提供开展业务。公司预计,从一开始它就会是一个可以获取利润的公司,因为相关的业务开办费用较低,公司提供的产品市场需求又已经存在。

1)        公司预计聘用一名总经理以及_**_名资历不等的员工。

公司预计的雇佣人员情况如下:

公司初步计划下设采购部、销售部、行政部和财务部。在公司运作初期,公司可以根据企业经营实际情况依法将相关部门的工作外包给有相关资质的中介机构,待企业发展成熟后逐步健全和完善相关部门的职能。

综上,独资企业的组织机构如下图所示:

 

2)        工人安全保护

公司将对雇员进行全面的工作安全教育,其中包括针对各种操作过程设计的基本和具体的培训。公司计划定期进行培训活动。公司将严格遵守有关政府规章制定安全守则并严格执行。在选购设备时,公司将特别注意员工工作安全。

3)        聘用和解雇

公司将与雇员直接或通过有资质的人员雇佣公司签订劳动合同并约定试用期。公司从满足所要求的工作岗位的条件的应聘者中选拔出最适合的人员并决定雇佣。劳动合同可以续签。公司的目标是最大限度地减少员工的流动并鼓励员工对公司的忠诚、诚信和安全的工作态度。

依据有关法律,公司保留以不同的条件、在中国不同的地区雇佣人员的权利和雇佣临时工的权利。公司还将使用外籍人员以补本地雇员之不足,虽然公司的目标是逐步减少外籍佣工数量而代之以雇佣本地人员。

5)        报酬

为了实现其目标,公司将运用多种形式的工资和福利方案。所有方案都须符合有关法律法规的要求。

6)        工作时间

在正常情况下,公司根据中国劳动法的要求,采用每周5天,每天8小时工作制,节假日按照中国法定节假日休息。根据提供服务的需求情况,公司可要求雇员根据中国劳动法律规定加班。

6.                      办公地区选择

公司已签订租赁协议,地址为____________________。办公场所将为员工营造一个友好的及有利于提高工作效率的环境。

1)        土地、水电和其他能源的需求

公司非生产型企业,公司在商业办公楼应有的足以使办公设备(计算机、复印机、传真机、照明等)运转的水电煤燃气及其他能源供应之外无其他特殊要求。

2)        办公设备

公司将购置的办公设备包括基本的家具、复印机、传真机、桌椅和电脑等。所有提供服务必需的办公设备均从中国采购,除非中国市场买不到符合质量要求的产品。

7.                      项目投资规模

1)        投资方投资总额:**欧元

2)        注册资本:**欧元。注册资本将由投资方以欧元现汇方式出资。

3)        注册资本和出资安排

除非遇到不可抗力发生或持续,投资方计划在公司营业执照颁发之日起3个月内缴付注册资本总额的20%,剩余注册资本在公司营业执照颁发之日起1年内缴清。如果在上述期间内,发生了不可抗力并且不可抗力一直持续影响公司的设立,投资方有权按公司章程规定的方式解散公司。

8.                      公司营业场所的环境影响

公司将在其经营活动中贯彻一切经营活动都须符合有关环保、卫生和防火的法律法规要求。这项政策将通过包括自我监督和职工培训等在内的各种措施在实践中贯彻执行。

9.                      现金流和外汇

公司 经营刚开始需要初期投资并能够很快维持足量的现金流。公司预计成立后          **个月开始赢利并创汇。公司期待投资方的母公司可以为公司介绍生意,公司将在中国为客户提供服务,交纳税金并创汇。

III.             The Main Business of the Company

3.        General Plan

The Company is the primary legal structure by which the Investor will conduct business in China. The Company will freely hire Chinese personnel and will also conduct business with other Chinese firms directly and invoice and receive payment in Renminbi and other foreign currencies. The Company plans to begin the business immediately as the demand for the products is significant. The Company anticipates that from its inception it will be a profitable entity as the start-up costs associated with its business will be lower and the market for the products already exists.

4.        Business Plan

The Company expects to begin the trading business in China. The following table details the sales plan from first year of operation to fourth year of operation (in ‘000 RMB)

5.        Personnel Requirement and Hiring Practices; Management of the Company.

1)        It is estimated that the Company will employ a general manager along with                    ___**__ employees of varying degrees of experience.

Estimated employment headcount at the proposed facility for the office is summarized in the following table:

The Company is contemplating to establish Purchasing department, Sales department, Administrative department and Finance department. During the initial operation period the Company may outsource parts of some departs’ functions to a qualified agency according to the situation of the Company, and gradually develop and improve the functions of relevant departments

2)        Worker Safety Protection

The Company will extensively train employees in worker safety, including basic and specific programs tailored to various operations. The Company plans to have regularly scheduled training sessions. The Company will issue and enforce vigorously safety procedures prepared in accordance with relevant government regulations. In selecting equipment, the Company will emphasize worker safety including the use and wearing of personal protection equipment.

3)        Hiring and Termination of Employment

Employees will be hired on an individual labor contract basis either directly or through a licensed employment agency with a probationary period.  Hiring decisions will be made by the Company on the basis of those applicants best suited to fulfill the requirements of the position under review.  Labor contracts may be renewed; it is the objective of the Company to minimize employee turnover to the extent possible and to foster strong employee loyalty, commitment and safe work attitudes to the Company.

Subject to compliance with applicable law, the Company reserves the right to hire employees under different conditions and from different locations in China and to utilize temporary employees.  The Company may also utilize expatriates to supplement the local workforce, although it is the objective of the Company to minimize the number of expatriate personnel in favor of hiring local personnel.

4)        Compensation

The Company will utilize a variety of wage and benefit schemes to promote the attainment of its goals and objectives.  All schemes will comply with applicable legal and regulatory requirements.

5)        Operating Hours

The Company will, under normal conditions and in accordance with Chinese labor law, have its employees work 5 days a week, 8 hours a day.  During the Chinese public holidays, the Company’s employees will not come to work.  Depending on the demand for its Services the Company may require employees to work overtime in accordance with China labor laws and regulations.

6.        Office Premises

The registered office of the Company will be located at**. The facilities will have an environmentally friendly and energy-efficient environment.  Overall, the office site will project a positive image.

1)        Tools and land usage

Since the Company will not be involved in manufacturing of equipment and all of its work will be in office environment, there is no unusual usage of water, electricity, coal, gas and other energy resources.

2)        Office Equipment

Office equipment will consist primarily of furniture, copy machine; fax machine, desks, chairs and computers. All office equipment necessary to carry out the business will be purchased from China unless there are no products available on the China market with required quality.

3)        Schedule for Registered Capital Contributions:

Provided no force majeure event shall have occurred or be continuing, 20% of the total amount of the registered capital shall be paid within three months after the date of issuance of the Company’s business license and the remaining shall be paid within one year.

If, within the time period noted, the force majeure event shall not have ceased to exist, Investor shall have the right to initiate dissolution of the Company in accordance with the provisions of the Company’s articles.

8.        Environmental Impact at Company Premises

The Company will operate under a policy that requires that all operations be conducted in compliance with all applicable environmental, sanitation and fire protection laws and regulations in China. This policy is enforced in practice through various measures including self-audit and employee training. 

9.        Cash flow and Foreign exchanges

The Company will require initial investment to operate the company, and it should be able to maintain cash neutral to positive position almost immediately. It is expected to generate profit within the first 14 months and generate positive foreign exchanges. We expect that the Investor’s parent company will direct business to the Company, and the Company will invoice for the services in China, pay taxes in China and generate positive foreign exchange from its inception.

四、   资金平衡

公司根据对资金的需求预测,结合公司设立后的营运收入,平衡公司的资金流量。其中外汇收支由公司自行平衡。

IV.              Balance of Fund

The Company will balance the capital flow of the Company according to the predicted capital requirement in conjunction with operational revenue after the Company is established. The Company shall balance the revenue and expenditure of foreign exchange by itself.

五、   结论

改革开放三十年的中国,孕育着巨大的投资市场,位于改革前沿阵地的深圳更以其优良的投资环境吸引着各国投资者。而且,人们生活水平的提高和环境意识的加强, 对环保产品的需求更加旺盛。因此项目有足够的市场需求,而且从收益分析上来讲本项目也是切实可行的。

本可行性研究报告由投资方授权代表签署,并自获得相关部门批准后生效。

V.           Conclusion

China is a huge investment market after more than 30 years of opening to the outside world. Shenzhen as the front area of reform and opening is particularly attractive to investors from various countries. Furthermore, with the improvement of people’s lives there are more needs for environmental friendly products. This project has enough market and is feasible in reward.
