合同简要说明 西双版纳国际度假区市政道路及管线工程六标段施工总承包 受益人名称和地址 西双版纳国际旅游度假区开发有限公司 西双版纳州景洪市民航路34号 合同中称为(业主) 我方已获知，云南杨桥建工有限公司（以下称为“委托人”）是你方在该合同下的承包商，合同要求其取得一份最高担保金额人民币 贰佰柒拾陆万伍仟捌佰玖拾壹元贰角正的履约保函。 应委托人请求，我方中国建设银行股份有限公司深圳市景苑支行（银行名称）在此不可撤消地承诺，在我方收到你方的书面要求、本保函原件和以下事项的书面说明后，向你方，受益人/业主，支付总额不超过最高担保金额 _贰佰柒拾陆万伍仟捌佰玖拾壹元贰角正_ （“保证金额”,即：_￥2,765,891.2元 ）的任何一笔或几笔款额：

(a) 委托人违反合同规定的义务。

任何付款的要求都必须有你方盖章。在你方按照上述约定第一次书面提出要求得到前述金额内的任何付款时，我方即在30工作日内予以支付。送达，当日营业时间结束送达视为下一个银行工作日送达。

我方放弃你方应先向委托人要求赔偿上述金额后再向我方提出要求的权利。本保函项下的权利不得转让或设定担保。

我方进一步同意在你方和委托人之间的合同条款、合同项下的工程或合同文件发生变化、补充和修改后，我方承担本保函的责任也不改变（包括不得加重），有关上述变化、补充和修改也无须通知我方。本保函项下的合同或基础交易不成立、不生效、无效、被撤销、被解除，本保函无效。

本保函有效期自开立之日起生效，至该合同约定的该合同项下工程竣工之日的3个月止，但最终有效期不得超过 年 月 日。届时，本保函即失效，我行保函责任解除，此后提出索赔我行无义务赔付。

本保函应受中华人民共和国（为本招标及合同目的，不包含港、澳、台地区）法律管辖。

This Guarantee is hereby issued to serve as the Performance Security of ______________(hereinafter called the Seller), for Contract No. ________ dated ___________ between you and the Seller for supply of ________ for _______________ Project (hereinafter called the “Project”).

The ___________________(hereinafter called the “Bank”) hereby unconditionally and irrevocably guarantees and binds itself, its successors and assigns to pay you, without recourse, up to the total amount of ______________(currency used in the Contract) representing percent of the Contract Price in____________(name of currency )and accordingly covenants and agrees as follows:

(1) On the Seller’s failure of the faithful performance of all the Contract

Documents and agreed modification, amendments, additions and alterations

thereto that may hereinafter be made including replacement and/or making good

of defective Goods (hereinafter called the failure of performance) and

determined by you notwithstanding any objection by the Seller, the bank shall

immediately, on your demand in a written notification stating the failure

of performance by the Seller, pay you such amount or amounts as required by

you not exceeding the aggregate total as stated above in the manner specified

in the said notification.

(2) Any payment hereunder shall be made free and clear of and without deduction

for or on account of any present or future taxes, duties, charges, fees,

deductions or withholding of any nature whatsoever and by whoever imposed.

(3) The covenants herein contained constitute an unconditional and irrevocable

direct obligation of the Bank. No alteration in the terms of the Contract

to be performed thereunder and no allowance of time by you or any other act

or omission by you which but for this provision might exonerate or discharge

the Bank shall in any way release the Bank from any liability hereunder.

(4) This guarantee shall remain valid and in full force and effect until the

expiration of the guarantee period.

履约保函格式

——————号合同履约保函 本保函作为贵方与卖方于 年 月 日就 项目（以下简称“项目”）项下提供 货物（以下简称“货物”）签订的 号合同的履约保函。

银行（以下简称“银行”）无条件地、不可撤销地具结保证本行、其继承人和受让人无追索地向贵方以 （货币名称）支付总额不超过__________（合同中使用的货币），即相当于合同价格 的款项。并以此约定如下：

a．如卖方未能忠实地履行所有合同文件的规定和双方此后可能作出的达成一致的

修改、补充和变动，包括更换或修补贵方认为对有缺陷货物（以下简称“违约”），

则只要贵方确定，无论卖方有何反对，本行将凭贵方的书面违约通知，立即按贵

方提出的不超过上述累计总额的金额和按该通知中规定的方式付给贵方。

b．本保函项下的任何支付应为免税和净值，无论任何人以何种理由提出扣减现有或

未来的税费、关税、费用或扣款，均不能从本保证金中扣除。

c．本保函的规定构成本行无条件的、不可撤销的直接义务。今后任何对合同条款的

修改、贵方在时间上的通融、其他宽容、让步或由贵方采取的除了本款以外都适

用的可能免除本行责任的任何删除或其他行为，均不能解除或免除本行在该保函

项下的责任。

d．本保函在本合同规定的保证期期满前完全有效。
