FORCE MAJEURE不可抗力

例1 买卖双方除履行付款义务外, 因以下事由造成买卖任一方无法履行合同规定的义务或履行延误的, 买卖任一方均不对此承担任何责任, 事由具体内容如下: 因不可抗力所致超出买卖任一方力合理控制范围内的不可抗力事件, 不可抗力发生, 及出现的不可抗力情况, 包括不影响前述事由的一般情况; 天灾,罢工,火灾,洪水,材料损毁; 事故, 恶劣天气所致无法履行义务或造成义务履行延误; 海难, 禁运, 事故, 政府当局公布的限制规定(包括配给, 优先事项, 征用, 报价和价格控制等等)造成义务无法履行或义务履行延误.

Neither seller nor buyer shall be liable in damages or otherwise for any failure or delay in performance of any obligation hereunder other than obligation to make payment, where such failure or delays is caused by force majeure, being any event, occurrence of circumstance reasonably beyond the contral of that party, including without prejudice to the generality of the foregoing, failure or delay caused by or resulting from acts of god, strikes, fires, floods destruction of the material, delays of carriers due to breakdown or adverse weather, perils of the sea, embargoes, accidents, restrictions imposed by any governmental authority (including allocations, priorities, requisitions, quotas and price controls).

例2 因前述条款说明的事由所致, 造成发货期货物交货延迟或无法交货, 合同规定的卖方发货和买方接收货物的时间在此交货期则应顺延, 顺延期: 30(叁拾)日.

The time of seller to make, or buyer to receive, delivery hereunder shall be extanded during any period in which delivery shall be delayed or prevented by reason of any of the foregoing clauses. Up to a total of thirty (30) days.

例3 合同规定的交货若交货延迟或无法交货达30(叁拾)日以上 ,买卖任一方就此情况向合同另一方出具书面通知书之后, 有权终止本合同.

If any delivery hereunder shall be so delayed or prevented for more than thirty (30)

days, either seller or buyer may terminate this contract with respect to such delivery upon written notice to the other party.

例4 如果遭遇无法控制的时间或情况应视为不可抗力,但不限于火灾、风灾、水灾、地震、爆炸、叛乱、传染、检疫、隔离。如要是不可抗力一方不能履行合同规定下义务,另一方应将履行合同的时间延长,所延长的时间应于不可抗力事件的时间相等。 Any event or circumstance beyond control shall be regarded as Force Majeure but not restricted to fire, wind, flood, earthquake, explosion, rebellion, epidemic, quarantine and segregation. In case either party that encounters Force Majeure fails to fulfill the obligation under the contract, the other party should extend the performance time by period equal to the time that Fore Majeure will last.

例5 如果不可抗力持续6个月以上,合同双方应尽快通过友好协商的方式调整继续履行合同事宜。如果双方不能达成协议,则根据合同中第12条款通过仲裁决定。 If the Force Majeure last over 6 months, the two parties of the contract should settle the case of continuing the contract by friendly negotiation as soon as possible. Should the two parties fail to reach an agreement will be settled by arbitration according to Clause 12 of the contract thereof.

例6 如果遭遇无法控制的时间或情况应视为不可抗力,但不限于火灾、风灾、水灾、地震、爆炸、叛乱、传染、检疫、隔离。如要是不可抗力一方不能履行合同规定下义务,另一方应将履行合同的时间延长,所延长的时间应于不可抗力事件的时间相等。

Any event or circumstance beyond control shall be regarded as Force Majeure but not restricted to fire, wind, flood, earthquake, explosion, rebellion, epidemic, quarantine and segregation. In case either party that encounters Force Majeure fails to fulfill the obligation under the contract, the other party should extend the performance time by period equal to the time that Fore Majeure will last.

例7 如果不可抗力持续6个月以上,合同双方应尽快通过友好协商的方式调整继续履行合同事宜。如果双方不能达成协议,则根据合同中第12条款通过仲裁

决定。

If the Force Majeure last over 6 months, the two parties of the contract should settle the case of continuing the contract by friendly negotiation as soon as possible. Should the two parties fail to reach an agreement will be settled by arbitration according to Clause 12 of the contract thereof.

例8 因人力不可抗拒事故使卖方不能在本售货合约规定期限内交货或不能交货,卖方不负责任,但是卖方必须立即以电报通知买方。如果买方提出要求,卖方应以挂号函向买方提供由中国国际贸易促进委员会或有关机构出具的证明,证明事故的存在。买方不能领到进口许可证,不能被认为系属人力不可抗拒范围。 The Sellers shall not be held responsible if they fail, owing to Force Majeure cause or causes, to make delivery within the time stipulated in this Sales Contract or cannot deliver the goods. However, the Sellers shall inform immediately the Buyers by cable. The Sellers shall deliver to the Buyers by registered letter, if it is requested by the Buyers, a certificate issued by the China Council for the Promotion of International Trade or by any competent authorities, attesting the existence of the said cause or causes. The Buyers’ failure to obtain the relative Import Licence is not to be treated as Force Majeure.

例9 如果任何一方由于自然灾害、战争、类似于战争的情况、禁令、骚乱、罢工、封锁和其他不可预见和不受控制的、若没有额外的成本和时间是不能得到解决的意外事故,而不能履行或迟延履行本合同的义务,则该方不应对另一方承担任何责任。

如果发生了不可抗力,受影响方应在不可抗力发生后的7天内及时通知另一方,并在不可抗力发生后的15天内提交由当地相关部门印发的用于证明不可抗力发生的文件材料。双方当事人应当协商并形成最佳解决方案,用于解决因不可抗力而导致的对本合同的迟延和中断履行。如果不可抗力持续严重影响本合同项下重要义务的履行达3个月之久,则任何一方均有权以书面形式提前30天通知终止本合同。7 cany Party does not or delays to fulfil the obligations in this Contract

directly or indirectly due to natural disaster, wars, situations similar to war, embargo, disturbance, strike, blockade and other unpredictable and uncontrollable accidents which may not be solved without additional cost and time, this Party shall not bear any responsibility for the other Party.2 j: a' f) j3 D% i1 N

In case of force majeure, the affected Party shall inform the other Party within seven days after occurring of such case and submit documents issued by local relevant department used to prove the occurrence of force majeure within 15 days after occurring of such case. Both parties shall negotiate and reach an optimal solution used to solve the delay and interruption problem of this Contract due to force majeure. If the force majeure continues to seriously impact implementation of crucial obligation under this Contract for three months, either of the Party shall have the right to terminate this Contract by written notice 30 days in advance.$ A6 O+ M3 v" U2 j$ M , C0 p0

如果合同一方由于不可抗力因素而不能履行合同,比如地震、台风、洪水、火灾、战争及其他无法预见的事件,其发生和后果也无法阻止、无法避免的,该方应立刻以电报通知对方,并在其后十五天内提交公证机关出具的详细的事件描述及有效文件,用以解释其无法履行合同全部或部分条款的原因。双方应通过协商,根据事件对履行合同的影响程度,确定是终止合同或是免除履行合同的责任,或延长合同的履行。

Should either of the parties to the contract be prevented from executing the contract by force majeure, such as earthquake, typhoon, flood, fire and war and other unforeseen events and their happening and consequences are unpreventable and unavoidable, the prevented party shall , by cable, notify the other party without any delay, and shall , within 15 days thereafter, provide the detailed information of the events and a valid document for evidence issued by the relevant public notary organization for explaining the reason of its inability to execute or delay the execution of all or part of the contract. The parties to the contract shall, through consultations, in accordance with the effects of the events on the performance of the contract, decide whether to terminate the contract or to exempt the part of obligations for implementation of the contract or whether to delay the execution of the contract.

 

第二篇:Force Majeure and Notice(5330)

Force Majeure and Notice

1:Force majeure means an event beyond the control of a Party, as a result of which the Party is unable to perform its obligations under this Contract. An event of Force Majeure includes, but is not limited to, prohibition or acts by government or public agency, riot, war, hostility, public disturbance, strikes, other labor disputes and work stoppages, failure or interruption of transportation or other utilities, epidemic, fire, flood, earthquake, storm, tidal wave or other acts of nature.

Force majeure preventing a party from performing any of its obligation under this Contract, in whole or in part, may be asserted against the other party only if the prevented party gives notice by registered mail of the inception and cessation of the force majeure within fifteen (15) days in each case enclosing a confirmation by the proper authorities or published information attesting the reality of the facts and the accuracy of the data supplied. A party claiming force majeure has the burden to prove the direct relationship between the force majeure and the non-performance of its obligations under this Contract.

不可抗力是指在一方的控制能力之外的事件,并导致该方不能够履行本合同项下的义务。不可抗力包括但不限于:政府和公共机构的禁令和法令、暴乱、战争、敌对状态、公共骚乱、罢工、其他的劳工纠纷和停工、交通或其他公共设施的瘫痪或中断、流行病、火灾、地震、暴风雨、海啸或其他的自然灾害。

对于使乙方受到阻碍而不能履行本合同项下的全部或部分的义务的不可抗力,受阻方应在不可抗力发生和终止的十五(15)天内,分别以挂号邮寄的方式将不可抗力的开始和结束时间明确通知另一方,并随信附上有关机构的证明或其公开发布的信息,以之证明事实的真实性和所提供的数据的准确性。声称发生不可抗力的一方有义务证明不可抗力与其不能履行本合同项下的义务之间有直接联系。

不可抗力是指一方的不能控制的、导致该方不能够履行其在本合同项下义务的事件。不可抗力事件包括但不限于:政府或公共机关的禁令或行为、动乱、战争、敌对行动、民众骚乱、罢工、其他的劳动纠纷和停工、交通或其他公用事业的停顿或中断、流行病、火灾、水灾、地震、风暴、海潮或其他自然灾害。

一方因遭受不可抗力而不能全部或部分的履行其在本合同项下的任何义务,可以通知另一方不可抗力的存在,条件是受阻方应在不可抗力发生和终止后十五(15)日内,分别用挂号信向另一方发出该不可抗力的起始和终止的通知,并附上有关当局的证明或其公开发布的信息,证明事实真相和所提供的材料的准确性。声称不可抗力的一方有举证责任,证明不可抗力与未履行本合同规定的该方义务有直接联系。

2:Should any Party be directly prevented from executing this Agreement or be delayed in performing this Agreement by any event of force majeure, such as earthquake, typhoon, flood, fire and war and other unforeseen events, the happening and consequences of which are unpreventable

and unavoidable, the affected Party shall notify the other Parties without delay and, within fifteen

(15) days thereafter, provide detailed information regarding the events of force majeure and sufficient proof thereof, explaining the reason for its inability to perform or the delay in the execution of all or part of this Agreement. A certificate issued by the Chamber of Commerce or other appropriate authority where such circumstances occur shall be sufficient proof of the existence of such circumstances and their duration. The Parties shall, through consultations, decide whether to alter the Agreement to reflect the effects of the event of force majeure on the performance of this Agreement or to terminate the Agreement in the event that such force majeure persists for a period of six (6) months or more.

如果任何一方受到如:地震、台风、洪水、火灾、战争或其他不可预见的事件等不可抗力的阻碍而不能履行或不能如期履行本协议,并且该等不可抗力的发生是不可阻挡和不可避免的,遭受方不能拖延,必须在不可抗力发生的十五(15)天内及时通知另一方,向之提供与该不可抗力有关的详细信息和充足证据,并解释其不能履行或不能及时履行全部或部分协议的原因。对此来说,不可抗力发生地的商务部门或其他有关当局的发放的证明该不可抗力的存在和延续时间的证明可作为充足的证据。另一方可以通过协商,以决定是否对协议进行修改,使之反映出不可抗力对履行本协议的影响,或者,如果不可抗力持续六(6)个月或六个月以上,该方也可以就此终止本协议。

如果任何一方因不可抗力事件,如地震、台风、水灾、火灾、战争、其发生和后果不可预防和不可避免的其他意外事件的直接影响,而不能履行或延迟履行本协议,受影响的伊方应立即通知另一方,并在此后十五(15)日内提供有关不可抗力事件的详情和足够的证明材料,解释其不能履行或延迟履行本协议全部或部分条款的理由。不可抗力发生地的商会或其他有关部门出具的证明,应足以证明不可抗力事件的存在和及其延续的时间。如果不可抗力事件持续时间超过六个月,双方应通过协商决定变更协议以反映不可抗力事件对履行本合同的影响,抑或终止本协议。

3:If one Party is prevented from performing any of its obligations under this Agreement due to an event of force majeure, the time for performing the obligation under this Agreement specifically prevented from performance by such event of force majeure shall be extended by a period equal to the period of delay caused by such event of force majeure. The party claiming inability to perform its obligations due to an event of force majeure shall take appropriate measures to minimize or remove the effects of the event of force majeure and, withing the shortest possible time, do its best to resume performance of the obligation(s) affected by the event force majeure. If an event of force majeure occurs, neither party shall be responsible for any damage, increased cost or loss which the other party may sustain by reason of such a failure or delay of performance, and such failure or delay shall not be deemed a breach of this Agreement. All other obligations under this Agreement and the time for performance thereof shall not be affected thereby.

如果一方因不可抗力事件而未能履行其在本协议项下的任何义务,则在不可抗力事件结束后,该方履行其在本协议项下义务的时间应向后顺延,顺延时间长度与其受不可抗力事件影响的具体的时间长度相同。声称因不可抗力事件而不能履行其义务的一方,应采取适当的措施在最短的时间内,尽量减少或消除不可抗力事件的影响,并尽最大努力继续履行其受不可抗力事件影响未能履行的义务。一旦不可抗力事件发生,各方均不必为因未能履行或延迟履

行义务而可能使另一方要承担的任何损害、增加的费用或损失负责,而且该等未能履行或延迟履行义务不能视为违反协议。本协议项下的所有其他义务和履行该等义务的时间均不受不可抗力事件影响。

如果一方因不可抗力事件而不能履行其在本协议项下的任何义务,受不可抗力事件影响的本协议项下的义务的履行时间应予以延长,延长的时间相等于该不可抗力事件所导致的延误时间。声称遭受不可抗力事件而不能履行义务的一方,应采取适当的措施以减少或消除不可抗力事件的影响,并努力在尽可能短的时间内恢复履行受不可抗力事件影响的义务。如果发生不可抗力事件,任何一方无须因不可抗力事件未能或延迟履行其义务,而对另一方可能蒙受的任何损害、费用增加或损失承担责任,且该等未能履行或延迟履行不应被视为对本协议的违约。本协议规定的所有其他义务和及其履行时间不受此影响。

4:Notices or other communications required to be given by one Party pursuant to this Agreement shall be written in Chinese and may be delivered personally, sent by registered airmail (postage prepaid), by courier service or by facsimile transmission to the address of the other party set forth below or to such other address as may from time to time be designated by such party through notification to the other party. The dates on such notices shall be deemed to have been effectively given shall be determined as follow:

(a) Notices given by personal delivery shall be deemed effectively given on the date of

personal delivery, provided that receipt shall be acknowledged in writing by the

receiving party;

Notices sent by registered airmail (postage prepaid) shall be deemed effectively

given on the tenth (10th) day after the date on which they were mailed (as indicated

by the postmark);

Notices sent by courier shall be deemed effectively given on the third (3rd) day after

they were sent by courier service;

Notices sent by facsimile transmission shall be deemed effectively given on the first

(1st) business day following the date of transmission, as indicated on the document

in question. (b) (c) (d)

During the valid term of this Agreement, if any party changes its address at any time, it shall

forthwith notify the other party in writing of such change.

依照本协议要求一方出具的通知或其它通讯,应采取用中文写就的书面形式,并通过专人送达、先付邮资的航空挂号邮件、航空特快专递或是传真依照下面所列出的另一方的地址(或另一方随时用通知告知该方的地址)送交另一方。该等通知的生效日期的规定如下:

(a) 由专人送达的通知,自送达之日起开始生效,由接收方签署收据的除外;

(b) 通过航空挂号的方式送达的通知,自该通知交付邮寄之日(以邮戳显示日期为准)

的十日后开始生效;

(c) 通过航空特快专递送达的通知,自交付邮寄之日的三日后开始生效;

(d) 通过传真送达的通知,自传真发送后的第一个工作日起开始生效,传真发送的日期

以文件上的日期为准。

在本协议的有效期内,如果以方在任何时候变更其地址,应提前以书面通知另一方。 一方根据本协议要求发出的通知或其它信件应以中文书写,可由专人递送、以航空挂号(预付邮资)、快递或是传真方式发往收件方以下的地址,或该方不时地通知发件方的指定地址。通知视为有效送达的日期按以下方法确定:

(e) 专人递送的,在专人送达之日视为有效送达,但收件方应书面确认已收到通知; (f) 以航空挂号(预付邮资)邮寄的,在寄出日(以邮戳为凭)后的第十(日)视为有

效送达;

(g) 交快递发送的,在快递发送后的第三(日)视为有效送达;

(h) 以传真发出的,在传送日(以所传文件上的日期为凭)后的第一(1)个营业日视

为有效送达;

在本协议的有效期内,如果以方在任何时候变更其地址,应立即书面通知另一方。

5:If one Party prevented from performing its responsibilities stipulated in this Contract because of an Event of Force Majeure, it shall notify the other Party in writing within fifteen (15) days after the occurrence of such Event of Force Majeure, and both Parties shall use reasonable endeavors to mitigate damages, to the extent possible. If an Event of Force Majeure occurs, neither Party shall be responsible for any damages, increased costs or loss which the other Party may sustain by reason of such a failure or delay of performance, and such failure or delay shall not be deemed a breach of this Contract. A Party claiming inability to perform due to an Event of Force Majeure shall take appropriate means to minimize or remove the effects of the Event of Force Majeure and, within the shortest possible time, attempt to resume performance of the obligation affected by the Event of Force Majeure.

如果一方因为不可抗力事件而未能履行其在本合同中规定的责任,就应该在该等不可抗力事件发生的十五(15)天内将不可抗力事件的发生书面通知另一方,双方应在尽可能的范围内采取合理的措施减少损失。如果不可抗力事件发生,各方均不用对于因不可抗力事件的影响未能履行或延迟履行本合同,而可能使另一方遭受的任何损害、费用的升高和损失承担责任。声称因不可抗力事件未能履行合同的一方应采取相应的措施减少或消除不可抗力事件的影响,并努力在尽可能短的时间内恢复履行受不可抗力事件影响的义务。

若一方由于不可抗力事件无法履行本合同所规定的义务,应在该不可抗力事件发生后的十五

(15)天内以书面形式通知另一方,且双方应采取合理措施尽量减少损害。若发生不可抗力事件,任何一方无须于因其未能履行或延迟履行本合同,而对另一方可能遭受的损害、费用的增加和损失承担责任。声称由于不可抗力事件未能履行合同的一方应采取适当的方式减少或消除不可抗力事件的影响,并在尽可能短的时间内,努力重新履行受不可抗力事件影响的义务。

6:Any notice required to be given hereunder shall be considered properly given if sent by registered airmail or courier or by facsimile to the address of the other Party indicated below or to such other address as the addressee shall have furnished in writing to the addresser and shall take effect on the date of dispatch.

依照本协议的要求发出的通知,若用航空挂号寄往,或以快递或传真发送往另一方的如下地址或该收件人以书面形式向发件人提供的其他地址,应视为有效送达,并在发送之日生效。 7:Notices required or permitted under this Contract shall be effective if given in writing, written in English, sent by registered airmail, or by telex or facsimile confirmed by registered air mail letter, return receipt requested, addressed as follows; unless otherwise specified in this Contract, notices shall be effective from the date of receipt of the telex or facsimile or in the event a telex or facsimile is not received, eight (8) days after the service of the registered letter.

本合同所要求或认可的通知,如果采用英文写就的书面形式,通过航空挂号邮寄,经电传或传真发送,并通过航空挂号邮件回执、按要求出具的写有收件地址的收据即被视为有效送达。除非本合同中具体规定有其他方式,该等通知自电传或传真地接收之日起开始生效,如果接到的是航空挂号信,则自邮件回执的日期后的第八(8)天开始生效。

本合同所要求或许可的通知,应以英文书写的书面形式,用航空挂号信邮寄,或用电传或传真发出,以航空挂号信确认,并随附回执,寄致下列地址方能生效。除非本合同中另有规定,通知收到电传或传真之日起生效,或者在未收到电传或传真的情况下,挂号信寄出八(8)天后生效。
